BRIEF-Seat PG strikes debt covenant deal with RBS

MILAN, Dec 23 (Reuters) - Italy's biggest yellow pages company Seat Pagine Gialle (PGIT.MI: Quote, Profile, Research) said in a statement on Tuesday:

* deal reached with Royal Bank of Scotland (RBS.L: Quote, Profile, Research) to change covenants on senior debt

* approved guidelines of 2009-2011 business plan

* sees 2009 EBITDA of around 560 million euros

* called shareholder meeting on 200 million euro capital hike

* capital increase would be priced at maximum 3 eurocents a share, before a reverse stock split
