Name Description

Stanley Dunford

Mr. Stanley George Dunford serves as Independent Chairman of the Board of the company. Mr. Dunford has significant experience in the management and stewardship of companies, including having served as the Chairman and Chief Executive Officer of Contrans Group Inc. (formerly Contrans Income Fund) since 1988; until its recent sale in 2014, as the Chairman, Chief Executive Officer and sole proprietor at Peterbilt of Ontario Inc., which owns and operated all the Peterbilt truck dealerships in Ontario; as a director at Brick Brewing Co. Ltd. since June 2008; as a director of the Ontario Trucking Association; as a director of Aumento Capital II Corporation since February 2014; and as a director TransForce Inc. from April 2015 to April 2016.

Riadh Zine

Mr. Riadh Zine serves as President, Chief Executive Officer, Director of the company. Mr. Zine has served as a director of the Company since its amalgamation on August 12, 2015 and is to continue to serve as a director until the next annual meeting of shareholders or until such time as his successor has been duly elected or appointed. Mr. Zine’s interests in the Company are held either directly by him or indirectly by Z Strategies Inc., a privately-owned investment vehicle. Before his involvement with the Company, Mr. Zine was a Managing Director in Global Investment Banking at a leading Canadian investment bank, where he was responsible for providing strategic and financial advice to many of Canada’s largest corporations, entrepreneurs and private equity firms. He has over 15 years of experience executing public or private equity and debt financings, as well as mergers and acquisitions for a wide range of Canadian companies in the consumer, retail, healthcare, transportation and industrials sectors. Mr. Zine also worked at a leading Canadian bank on a number of strategic projects. As part of the Texas Acquisition, the PMI Sellers required Z Strategies Inc. to enter into the Put and Call Option Agreement, pursuant to which Z Strategies Inc. agreed to grant an option to the PMI Sellers to put certain optioned shares to Z Strategies Inc., and the PMI Sellers agreed to grant an option to Z Strategies Inc. (or its nominee(s)) the right to call the optioned shares from the PMI Sellers. Under this agreement, Z Strategies Inc. would be entitled to call, and the PMI Sellers would be required to sell to Z Strategies Inc. (or its designated nominee(s)), up to $3.5 million worth of common shares at a price of $3.50 per common share. Mr. Zine holds a M.Sc. in Financial Engineering from École des Hautes Études Commerciales, University of Montréal.

Mohammad Saleem

Mr. Mohammad Saleem serves as Chief Financial Officer, Corporate Secretary of the company. Before joining the Company, Mr. Saleem worked for approximately nine years in the M&A investment banking group at a leading investment bank in Toronto, most recently as a director in M&A. At the investment bank, he worked on M&A transactions involving some of Canada’s largest corporations and across a broad industry spectrum (retail, telecom, resources, financial, real estate, etc.). Prior to joining the aforementioned investment bank, Mr. Saleem worked in equity research at another leading investment bank in Toronto for approximately four years, including as an equity research analyst covering the non-bank financial services sector. Prior to joining the aforementioned investment bank, Mr. Saleem worked as a management consultant at A.T. Kearney in Toronto for approximately two and half years, serving clients in industries such as banking, telecom, healthcare and transport services. Mr. Saleem is a Chartered Accountant (UK), a Chartered Financial Analyst and holds an MBA from the University of Chicago, Booth School of Business.

Rohit Navani

Mr. Rohit Navani serves as Chief Operating Officer, Executive Vice President of the company. Mr. Navani was a leader in the integration and divestiture advisory practice of an international accounting firm. He has over fifteen years’ experience providing a suite of M&A services to private equities and strategic companies globally, from emerging businesses to Fortune 50 leaders. Mr. Navani has extensive experience executing separations and integrations. His responsibilities on transactions have included leading integration and separation management offices and functional leadership roles in finance and accounting, information technology, supply chain, day one readiness, communications, organizational development and human resources activities. Mr. Navani’s projects have included: (a) the integration of Entertainment One’s acquisition of Alliance Films, realizing $35 million in synergies through headcount and back-office reduction; (b) the separation and creation of Choice Properties REIT from Loblaw Companies; (c) the buy-side of a $150 million US telecom company acquiring a $750 million division from the largest telecom and networking corporation, managing the overall separation from seller and integration into buyer; and (d) the integration and synergy realization for a $4 billion acquisition of Symbol, an enterprise computing, networking and RFID company for Motorola. Mr. Navani holds a Bachelor of Science degree in Accounting from Binghamton University, USA.

Amy Adams

Ms. Amy Adams serves as Senior Vice President - Clinical Development of the company. After obtaining her MBA in Healthcare Organizational Management from Texas Tech University, Ms. Adams began her career as a Clinic Administrator for Concentra Medical Centers, the nation’s largest network of occupational medical centers. In 2003, she joined the PMI team and assisted with the development and start-up of PMI’s centers. As PMI expanded in 2006, Ms. Adams was promoted to Director of Operations, overseeing the company’s six imaging centers. In this role, she was instrumental in the growth of the organization to include revamping the Clinic Administrators’ financial responsibilities, developing training programs for new employees, and the implementation of new policy and procedures. With her strengths in organization and structure, Ms. Adams used her past experience to assist in the start-up of new centers while maintaining the overall day-to-day operations of PMI. PMI continued its growth and in 2009, she was promoted to Vice President of Operations and appointed to the Executive Committee, where her focus became strategic planning and business expansion outside the medical imaging arena. In January 2012, Ms. Adams assumed the role of President of PMI and oversaw the dynamic and growing organization that then included 24 medical imaging centers in three states. She was also named President of the Texas Independent Diagnostic Testing Facilities Association during this time period. She has a passion for patient care and an active interest in the betterment of the outpatient radiology industry.

Laura Kassa

Ms. Laura Kassa serves as Senior Vice President - Operations of the company. Ms. Kassa served the prior company in multiple management roles including, Clinical Director, Operations Manager and Regional Vice President, North Florida beginning October 4, 2004. She has over 20 years of experience in radiology clinical implementation, 15 of those years directly in operational management. Through her tenure in the outpatient imaging sector, Ms. Kassa has successfully implemented centralized shared services on both a regional level and currently company-wide, efficiency strategies at the patient level, training projects for marketing, and clinical quality improvement processes. The outcomes of these projects produced average yields of patient throughput of up to 10% annually, with minimal cost. Ms. Kassa served as a member of the Compliance Committee and served as Red Flags Rule Officer. In this role, she conducted annual compliance and regulatory training. Before joining the previously amalgamated Company in 2004, Ms. Kassa was a Senior Imaging Technologist at a medical imaging center for over 10 years, where she was responsible for providing purchasing and supply inventory management for multiple radiology departments, serving as Clinical Director and perform patient imaging across three disciplines in the operating, emergency, inpatient and outpatient settings. She worked closely with radiologists and management to improve the department efficiency and cross-training of technologists. Ms. Kassa provided planning and implementation counsel to the medical imaging center’s Schools of Medicine Director of Education for additional programs for Ultrasound, Computed Tomography and Magnetic Resonance Imaging. The medical imaging center was the first in the area to graduate these class of students. Ms. Kassa graduated from St. Vincent’s Schools of Medical Science in 1997 as valedictorian and received the dedicated Excellence Award for Outstanding Academic Achievement.

Murray Lee

Mr. Murray Lee serves as Lead Independent Director of the company. Murray Lee is a Certified Public Accountant. He graduated in 1983 with a Masters of Accounting (Tax) degree from Brigham Young University. After graduating, Mr. Lee moved to Dallas, Texas where he worked for five years before re-locating to Calgary, Canada where he focused exclusively on Canada/U.S. cross-border transactions. In Calgary, Mr. Lee spent 20 years as a partner of two different “big four” accounting firms, establishing and leading their Canada/U.S. cross-border tax practices, which included a three year role as human resources leader for a tax practice consisting of approximately 100 personnel. He has assisted both large and small clients in all aspects of Canada/U.S. taxation including reorganizations, mergers and acquisitions, cross-border financing and cross-border initial public offerings. He is the person who conceived and primarily developed the Canada/U.S. cross-border income trust structure and was heavily involved in its development and implementation assisting several businesses in going public using the structure. Mr. Lee has written several articles and made numerous presentations on various U.S. and cross-border issues. Since 2015, Mr. Lee has served as the Vice President, Finance of a privately held business which owns and manages several hotels and restaurants.

Thomas Davies

Mr. Thomas (Tom) Davies serves as Independent Director of the company. In his various roles, including, since July 2006, his principal occupation as Executive Vice President at the Remington Group, Mr. Davies has been directly responsible for successfully initiating and negotiating more than $100 million of real estate development and other business opportunities. From September 1996 until October 1998, he served as Chief Financial Officer of Canadian Medical Laboratories Limited, where he gained public company experience relating to executive compensation matters. Mr. Davies has served and continues to serve as a member of the board of directors of several private companies. Mr. Davies is a Certified Public Accountant (CPA/CA) and holds a Bachelor of Commerce degree from the University of Toronto.

James Webb

Mr. James Webb serves as Independent Director of the company. James Webb founded PMI with two other partners in 2000. Since its inception, Mr. Webb was instrumental in driving the growth of PMI. Prior to founding PMI, Mr. Webb held leadership positions in several diagnostic imaging companies, including founding and later selling a diagnostic imaging company with locations in South Florida, the Caribbean and Latin America. Mr. Webb has several entrepreneurial ventures in the development of healthcare focused organizations, including ambulatory surgery centers, toxicology labs, billing and collections, human resource management and wellness clinics. Mr. Webb began his career as a registered radiologic technologist and holds a Master’s degree in Health Administration
