Name Description

Charles Giancarlo

Mr. Charles H. Giancarlo is Chairman of the Board of Directors of Avaya Holdings Corporation. He has been a member of board of directors since June 30, 2008 and has been Chairman of the board of directors since December 22, 2008. He served as President and Chief Executive Officer from June 30, 2008 until December 22, 2008. Mr. Giancarlo has been a Managing Director of Silver Lake since 2007. Prior to joining Silver Lake in 2007, he was employed by Cisco Systems, Inc., a provider of communications and networking products and services, which he joined in 1994 and where he was Executive Vice President and Chief Development Officer from 2004 to 2007. Mr. Giancarlo is also on the boards of directors of Accenture Ltd., a management consulting business, Netflix, Inc., an online movie rental subscription service, and various private companies. Mr. Giancarlo’s related industry experience, experience in financial matters, service as an executive officer and director of other companies, service as Chief Executive Officer, experience in working with companies controlled by private equity sponsors, and affiliation with Silver Lake, which, prior to the completion of this offering, has the right to select three of directors, led to the conclusion that he should serve as a director of Company.

Kevin Kennedy

Mr. Kevin J. Kennedy is President, Chief Executive Officer, Director of Avaya Holdings Corporation since December 22, 2008. Previously, from September 2003 to December 2008, he served as Chief Executive Officer of JDS Uniphase Corporation, or JDSU, a provider of optical communications products, and from March 2004 until December 2008, he also served as President of JDSU. He joined JDSU’s board of directors in November 2001 and, since December 2008, has served as Vice Chairman of their board of directors. Mr. Kennedy is also on the board of directors of KLA-Tencor Corporation, a supplier of process control and yield management solutions for the semiconductor industry. Mr. Kennedy served on the boards of directors of Rambus Inc., a developer of a high-speed chip-to-chip interface technology from April 2003 until July 2008, Freescale Semiconducter, Inc., an embedded processing semiconductor and solutions company, from July 2004 until December 2006, and Polycom Inc., a provider of telepresence, voice and video conferencing solutions, from May 2008 until January 2009. Mr. Kennedy was selected to serve as a director in light of his role as Chief Executive Officer, the management perspective he brings to board deliberations, his management experience and his experience on multiple public company boards.

David Vellequette

Mr. Dave Vellequette serves as Chief Financial Officer, Senior Vice President of Avaya Holdings Corp. He has more than 20 years of financial experience with a diverse set of technology companies. Prior to joining the company in October 2012, Vellequette served most recently as the chief financial officer of JDS Uniphase Corporation (JDSU), a role he held since June 2005. He joined JDSU in 2004 as vice president and operations controller. Prior to joining JDSU, Vellequette was vice president of worldwide sales and service operations at Openwave Systems. Between 1992 and 2002, he held positions of increasing responsibility at Cisco Systems, first as corporate controller of StrataCom Corporation (acquired by Cisco in 1996) and later as vice president of finance supporting Cisco's service provider line of business.

James Chirico

Mr. James M. Chirico, Jr., is Executive Vice President - Business Operations of Avaya Holdings Corporation since June 14, 2010. Previously, from February 3, 2009 until June 14, 2010, he served as Chief Restructure Officer and President, Operations. From January 2, 2008 until February 3, 2009, he served as Senior Vice President and President, Operations. From February 1998 to November 2007, Mr. Chirico held various senior management positions at Seagate Technology, a designer, manufacturer and marketer of hard disc drives, including Executive Vice President, Global Disc Storage Operations, from February 2006 until November 2007, and Senior Vice President and General Manager, Asia Operations, from September 2000 to February 2006.

Pamela Craven

Mrs. Pamela F. Craven is Senior Vice President, Chief Administrative Officer of Avaya Holdings Corporation. In that role, she continues to serve as General Counsel, which is a position she has held since September 2000. She also served as Corporate Secretary from September 2000 to January 2007. She was a Senior Vice President from August 2002 to August 2006.

Stephen Gold

Mr. Stephen J. Gold is Senior Vice President, Chief Information Officer of Avaya Holdings Corporation since May 24, 2010. Previously, from July 2009 until May 2010, he served as Executive Vice President, Chief Information Officer and Corporate Chief Technology Officer at GSI Commerce, Inc., a provider of e-commerce and digital marketing solutions, and, from February 2005 until July 2009, he served as Executive Vice President and Chief Information Officer. Gary Barnett

Mr. Gary E. Barnett is Senior Vice President, General Manager - Avaya Collaboration Platforms of Avaya Holdings Corp., since April 2011. He has most recently been the UC Applications team. Gary is also a domain experience who was a founding engineer at Octel, the founder and CEO of Prospect Software, and later served as president and CEO of Aspect Communications. As executive vice president and Chief Technology Officer at Aspect Software, Gary was responsible for corporate planning, product architecture and lifecycle management. He directed strategic partnerships and long-term product integration plans that support enterprise-level applications. Gary has delivered leadership and stakeholder value as either a Chief Executive Officer or Chief Technology Officer for over 20 years and is recognized worldwide as an authority on contact center technologies and solutions. In 2006, Mr. Barnett was recognized by the contact center industry with a Lifetime Achievement Award.

Jesse Hackney

Mr. Joel Hackney, Jr., is Senior Vice President - Global Sales & Marketing, President - Field Operations of Avaya Holdings Corporation since June 14, 2010. From December 19, 2009 until June 14, 2010 he was Senior Vice President and President, Avaya Government and Data Solutions. Previously, he spent four years at Nortel Networks Corporation where, from September 2007 to December 2009, he served as President, Nortel Enterprise Solutions and, from December 2005 to September 2007, he served as Senior Vice President of Global Operations and Quality. Prior to that, he spent 14 years at General Electric, a diversified technology, media and financial services company most recently as Division General Manager, GE Consumer and Industrial.

Mr. Roger C. Gaston is Senior Vice President - Human Resources of Avaya Holdings Corporation since May 2006. From March 2001 to September 2005 he was Corporate Vice President, Human Resources at Storage Technology Corp., a technology storage solutions provider.

Mohamad Ali

Mr. Mohamad S. Ali is Senior Vice President; President of Avaya Global Services of Avaya Holdings Corporation since April 2011. Prior to that time, he served as Senior Vice President, Corporate Development and Strategy since December 2009 and, prior to that time and since July 15, 2009, he was Senior Vice President, Corporate Development. Pierre-Paul Allard

Mr. Pierre-Paul Allard is Senior Vice President - Corporate Strategy and Development of Avaya Holdings Corp. He directs corporate strategy initiatives for Avaya, including strategic alliances, mergers and acquisitions, strategic planning, and analyst relations. He is based at Avaya headquarters in Santa Clara, Calif. He joins Avaya from Cisco Systems, where he was most recently Vice President Sales and Operations, Global Enterprise. In this role, he was responsible for all sales, support and field operations of Cisco's Global Industries Client segment. The Global Enterprise Client is an extremely segment of Cisco's business, as it includes the top enterprise client base, and accounts for more than $2.5B of product and services revenue. Prior to this role, Pierre-Paul served as Vice President of Worldwide Enterprise Marketing, marketing strategy and execution for Cisco's global Enterprise market. Previously, he was President of Cisco Systems Canada. He joined Cisco in 1993 from IBM, where he served in roles of increasing responsibility over a period of 11 years. Pierre-Paul has served as a Director for many technology companies in Canada and the USA. He is currently a member of the Board of Directors of EXFO. In 2003, he received the Golden Jubilee Medal from Queen Elizabeth II, which highlights contributions to Canada by an individual. In the same year, he was also awarded the prestigious Trudeau Medal from the University of Ottawa, Tefler School of Management. He holds an Honors B.Com degree in Finance and a Bachelor degree in Business Administration from the University of Ottawa.

Alan Baratz

Dr. Alan E. Baratz, Ph.D., is Senior Vice President, President - Global Communications Solutions of Avaya Holdings Corporation since October 2, 2008. From June 1, 2007 to January 31, 2008, Dr. Baratz served as Senior Vice President of the Network Software and Systems Technology Group at Cisco Systems, Inc., a provider of communications and networking products. Previously, he served as President and Chief Executive Officer of NeoPath Networks, a provider of network file management solutions, from February 25, 2005 until it was acquired by Cisco on March 13, 2007. From August 11, 2003 to February 14, 2005, Dr. Baratz served as President and Chief Executive Officer of Versata, Inc., a software company serving the distributed enterprise applications market.

Christopher Formant

Mr. Christopher M. Formant is Senior Vice President of Avaya Holdings Corporation and President of Avaya Government Solutions, subsidiary of the Company since August 16, 2010. Previously, from February 25, 2008 until August 16, 2010, he served as Senior Vice President and President, Avaya Global Services. Mr. Formant was previously Executive Vice President and Executive Committee Member at Bearing-Point, Inc., a consulting firm, from February 2003 to January 2008.

Thomas Mitchell

Mr. Thomas G. Mitchell is Senior Vice President, President of SME and Avaya Go to Market of Avaya Holdings Corporation since March 2011. In this role, Tom oversees the team to bring cross-functional discipline, strategy and accountability to the critically important task of creating and operationalizing Company's customer focused, channel engaged go-to-market strategy. Tom leads channel transformation efforts along with the architecture and policy management for the Reseller, System Integrator and Service Provider channels. Tom is responsible for accelerating the velocity of Company's SME, Data and Video Go-to-Market efforts while creating new paths for capturing market share in areas such as cloud computing. Tom has a proven track record developing and implementing complex global go-to-market strategies. Prior to joining Avaya in 2010, Tom had been a consultant for 6 plus years specializing in developing and refining those strategies in the IT marketplace. His clients have ranged from small companies to established multinational corporations with product and service revenue streams. From 1992-2002, Tom was Senior Vice President at Cisco, recruited to design and implement one of the first "high-touch" channel models in the industry. In that role, he led some 1800 employees in Cisco's channel sales and marketing, telesales, field sales engineering and professional services sales organizations. Before joining Cisco, Tom spent nine years at Motorola in roles of increasing responsibility within the sales and marketing organization.

Michael Runda

Mr. Michael Runda is Senior Vice President, President - Avaya Client Services of Avaya Holdings Corp. He has an accomplished career in the technology industry that has spanned over thirty years with numerous Fortune 100 companies. In his current role, Mike leads Avaya Client Services, which includes oversight of revenue, regional execution and global offers for Avaya's holistic suite of support and managed services. Prior to this assignment, Mike was vice president of Avaya Global Support Services where he led the delivery team for maintenance services. Before joining Avaya, Mike served as CEO of the KCS Academy, where he focused on bringing innovation around knowledge capture and effective re-use across support and services in a variety of industries. Previously, Michael led support for a variety of high tech firms as the VP of Global Support at Intuit, Symantec and Oracle. He drove innovations in processes and technology that transformed these support organizations into engaged employee teams that significantly improved the customer experience while dramatically increasing operational efficiency. Mike started his career in sales at IBM, and has held additional management positions in development, field support and IT in Sperry-Univac, Harris, and McKesson corporations. He enjoys teaching and coaching, having taking a year off to teach AP computer science at a private high school in Florida, while also teaching MIS courses at night at the University of Central Florida and coaching varsity tennis and track teams at local high schools.

Brett Shockley

Mr. Brett A. Shockley is Senior Vice President - Corporate Development and Strategy of Avaya Holdings Corporation since April 2011. Prior to that time, from July 2009 to April 2011, Mr. Shockley served as Vice President of Emerging Products and Technology. From January 2002 to October 2008, Mr. Shockley was Chairman, Chief Executive Officer and President of Spanlink Communications, Inc., a provider of unified communications and contact center solutions. Mr. Shockley is on the board of directors of Wireless Ronin Technologies, Inc., a wireless communications development company focused on digital signage.

Stephen Bandrowczak

Mr. Stephen J. Bandrowczak is Vice President, General Manager - Data Solutions of Avaya Holdings Corporation since June 14, 2010. Previously, from December 18, 2009 until June 14, 2010, he served as Vice President, Sales and Marketing for the Avaya data business. From January 1, 2009 until December 18, 2009, Mr. Bandrowczak was the President, Enterprise Sales Americas for Nortel Networks Inc. and, from July 16, 2007 until January 1, 2009, he served as Chief Information Officer for Nortel Networks Corporation and Nortel Networks Limited. Previously, from September 2005 until July 2007, he served as Senior Vice President and Chief Information Officer for Lenovo Group Ltd., a global producer of PC products and value-added professional services. Prior to that, he served as Executive Vice President and Chief Information Officer at DHL Worldwide, a global market leader in the international express and logistics industry.

Eugene Frantz

Mr. Eugene J. Frantz is Director of Avaya Holdings Corporation since October 26, 2007. Mr. Frantz joined TPG Capital in 1999 and is a Partner. Mr. Frantz sat on the board of directors of SMART Modular Technologies, Inc., a provider of memory products and liquid-crystal displays, from April 2004 until January 2010. Afshin Mohebbi

Mr. Afshin Mohebbi is Director of Avaya Holdings Corporation since April 2011. Mr. Mohebbi is a Senior Advisor to TPG, supporting the firm’s portfolio of private and public companies throughout the world. Most recently, he was president and chief operating officer of Qwest Communications International Inc., a provider of broadband Internet-based data, voice and image communications, from April 2001 to December 2002. Mr. Mohebbi served on the board of directors of Hanaro Telecom, a provider of long distance service and wholesale of IT-related products, from March 2005 until December 2007. Prior to joining Silver Lake in 1999, he was a principal at TPG and an investment banker at Goldman, Sachs & Co., a global investment banking and securities firm. Mr. Mondre is also on the boards of directors of various private companies. Kevin Rollins

Mr. Kevin B. Rollins is Director of Avaya Holdings Corporation since October 26, 2007. Mr. Rollins has been a senior advisor focusing on investment strategies in global technology at TPG since he joined in 2007. From April 1996 to January 2007, Mr. Rollins held various positions at Dell, Inc., or Dell, a technology solutions, services and support provider, including President and Chief Executive Officer, from March 2004 to January 2007, and President and Chief Operating Officer, from 2001 to March 2004. Mr. Rollins served on the board of directors of Sears Holdings Corporation, a broadline retailer, from February 2008 until May 2010. On July 22, 2010, the SEC filed a civil injunctive action involving Dell, which included allegations against Dell and certain of its senior officers, including Mr. Rollins, concerning the failure to provide adequate disclosure in its SEC filings with respect to Dell’s commercial relationship with Intel Corp. Dell and the relevant officers, including Mr. Rollins, agreed, without admitting or denying the allegations, to settle the matter, and the U.S. District Court for the District of Columbia approved such settlement on October 13, 2010. Mr. Rollins’ settlement included a monetary penalty and a permanent injunction prohibiting violations of Sections 17(a)(2) & (3) of the Securities Act and violations, including aiding and abetting violations, of Section 13(a) of the Securities Exchange Act of 1934, or the Exchange Act. Mr. Rollins’ industry experience, service as an executive officer and director of other companies, experience in working with companies controlled by private equity sponsors, experience in financial matters and affiliation with TPG, which, prior to the completion of this offering, has the right to select three of directors, led to the conclusion that he should serve as a director of Company.

David Roux

Mr. David J. Roux is Director of Avaya Holdings Corporation. Mr. Roux has been a member of board of directors since October 26, 2007 and served as Chairman of the board of directors from November 2, 2007 until December 22, 2008. Mr. Roux is Chairman of Silver Lake. Prior to co-founding Silver Lake in 1999, he served as Chairman and Chief Executive Officer of Liberate Technologies, a software company specializing in telecommunications technology, Executive Vice President at Oracle Corporation, a software and technology company, and Senior Vice President at Lotus Development Corporation, a software manufacturer that was acquired by IBM in 1995. Mr. Roux is also on the boards of directors of various private companies.
