Biographies

Name Description

Sean Gray

Mr. Sean A. Gray serves as Acting President and Chief Executive Officer and Acting Chief Executive Officer of the Bank of the Company. Mr. Gray has been President and Chief Operating Officer of Berkshire Bank since November 2018, and also served as Senior Executive Vice President of Berkshire Hills Bancorp, Inc. from 2015. Prior to his appointment as Bank President, he previously served as Senior Executive Vice President and Chief Operating Officer of Berkshire Bank from 2015. Mr. Gray joined Berkshire in 2007 as First Vice President, Retail Banking and has held various positions including Executive Vice President, Retail Banking. In addition to his current management responsibilities, Mr. Gray has also overseen Human Resources, Marketing, Investor Relations, and Facilities. He also currently serves as President of Berkshire Bank Foundation. Prior to joining the Bank, Mr. Gray was Vice President and Consumer Market Manager at Bank of America in Waltham, Massachusetts.

James Moses

Mr. James M. Moses serves as Senior Executive Vice President, Chief Financial Officer of the Company; Chief Financial Officer - Berkshire Bank of the Company. Mr. Moses joins Berkshire from Webster Bank where he served as Senior Vice President and Asset/Liability Manager. His responsibilities included strategic planning and forecasting, capital strategies, DFAST stress testing, and business line profitability modeling. He joined Webster in 2011 from M&T Bank where he spent four years in various roles including head mortgage trader, deposit products pricing manager and consumer credit card product manager. Before that, he was in bond and mortgage trading and securitization with United Benelux Investments and with Credit Suisse. Mr. Moses has a bachelor’s degree in finance from St. Bonaventure University and an MBA from Cornell University.

Malia Lazu

Ms. Malia C. Lazu serves as Executive Vice President, Chief Experience and Culture Officer of Berkshire Bank of the Company. Ms. Lazu previously served as a consultant for the Bank, spearheading diversity and inclusion initiatives at Berkshire . " In her time working with us as a consultant Malia put her mark on our efforts to truly connect with the communities we serve. She was critical in the launch of our Be FIRST initiative where we are building programs that include high school internships, our storefront initiative, and more to better connect with our neighbors. Ms. Lazu earned her Bachelor's degree in Political Communication from Emerson College and completed a two year fellowship with the MIT Department of Urban Studies and Planning.

George Bacigalupo

Mr. George F. Bacigalupo serves as Senior Executive Vice President, Commercial Banking - Berkshire Bank of the Company. Mr. Bacigalupo is responsible for commercial banking, including the middle-market, business banking and asset based lending teams in Eastern and Central Massachusetts and Connecticut. Previously, Mr. Bacigalupo was EVP of Specialty Lending at TD Banknorth, where he established the ABL and other middle-market lending groups. Subsequently, at TD Bank, he was the Senior Lender for New England.

Tami Gunsch

Ms. Tami F. Gunsch serves as Senior Executive Vice President and Director of Relationship Banking - Berkshire Bank of the Company. In this role, Ms. Gunsch will develop and lead the relationship banking strategy across all lines of business. She is further responsible for all aspects of the retail banking consumer experience, including branch operations, consumer lending, call center, and electronic/mobile banking. Ms. Gunsch has previously held the positions of EVP, Retail Banking and Senior Vice President since October 2011. Ms. Gunsch joined Berkshire from Citizens Bank in 2009 as First VP of Retail Banking.

Gregory Lindenmuth

Mr. Gregory D. Lindenmuth serves as Senior Executive Vice President, Chief Risk Officer - Berkshire Bank of the Company. Mr. Lindenmuth is responsible for enterprise risk management as well as loan review, information security and strategic services. Mr. Lindenmuth joined Berkshire in 2016 from the FDIC where he was employed for 24 years and held multiple positions including Senior Risk Examiner for the Division of Risk Management Supervision and Acting Regional Manager for the Division of Insurance and Research. With the FDIC, Mr. Lindenmuth was also a Capital Markets, Mortgage Banking and Fraud Specialist.

Gordon Prescott

Mr. Gordon Prescott serves as Executive Vice President, General Counsel and Corporate Secretary - Berkshire Bank of the Company. Mr. Prescott joined Berkshire in 2008 as VP, General Counsel and Corporate Secretary. Mr. Prescott has 30 plus years of experience in the legal profession, including extensive experience as in-house corporate counsel, and holds a law degree from Boston University School of Law.

Rheo Brouillard

Mr. Rheo A. Brouillard serves as Director of the Company. He has more than 40 years of experience in the financial services industry, holding key roles at multiple financial services institutions. Mr. Brouillard most recently served as Director, President and CEO of SI Financial Group, Inc. Berkshire recently acquired SI Financial, together with its Willimantic CT based subsidiary, Savings Institute Bank & Trust. Mr. Brouillard has been a staunch supporter of community development associations throughout his career and a champion for the communities he serves in Southeast New England. He joins the Compliance and Regulatory Committee and the Risk Management and Capital Committee.

Robert Curley

Mr. Robert M. Curley serves as Director of the Company. He served as Chairman and President for Citizens Bank in New York from 2005 to 2009. Prior to joining Citizens, Mr. Curley served at Charter One Bank where he was President for New York and New England. During the period of 1976 to 1999, Mr. Curley was employed by KeyCorp., where he rose to the position of Vice Chairman of KeyBank N.A., and served as President and Chief Executive Officer of four subsidiary banks. Mr. Curley was hired by the Company and the Bank as Chairman of their New York bank and appointed as a director of the Company and the Bank in December 2009.

Baye Adofo-Wilson

Mr. Baye Adofo-Wilson Esq. serves as Independent Director of the Company. He has over 20 years of experience in law and business development, with a focus on community development, including the position of Deputy Mayor/Director, Economic and Housing Development for the City of Newark, New Jersey. Currently, Mr. Adofo-Wilson is Of Council at Rainon, Coughlin & Minchello focusing on redevelopment law and specializing in New Jersey’s urban transitioning communities and municipalities, while also serving as CEO of BAW Development, LLC, a national real estate development company concentrating on redevelopment and consulting services in diverse communities. He joins the Audit Committee and the Corporate Responsibility and Culture Committee.

David Brunelle

Mr. David M. Brunelle serves as Independent Director of the Company. He is Co-Founder and Managing Director of North Pointe Wealth Management in Worcester, Massachusetts. He has over 20 years of experience in financial services working with businesses, individuals, families and charitable foundations. Mr. Brunelle is a former Director of Commerce Bancshares Corp. and Commerce Bank & Trust Company and served on Commerce's audit and loan committees. Mr. Brunelle has served as trustee or corporator for many non-profit entities in and around Worcester, including The Nativity School of Worcester, The Worcester Regional Research Bureau, The Worcester Educational Development Foundation, the UMass Memorial Foundation, Becker College and the Greater Worcester Community Foundation.

John Davies

Mr. John B. Davies serves as Independent Director of the Company. He is a former Executive Vice President of Massachusetts Mutual Life Insurance and is currently an Agent Emeritus with Massachusetts Mutual providing high net worth counseling with a focus on tax efficiency and intergenerational transfers of wealth. Mr. Davies is a former director of Woronoco Bancorp.

J. Williar Dunlaevy

Mr. J. Williar Dunlaevy serves as Independent Director of the Company. He is the former Chief Executive Officer and Chairman of the Board of Legacy Bancorp, Inc. and Legacy Banks (collectively, “Legacy”). Mr. Dunlaevy served as the Chief Executive Officer and Chairman of the Board of Legacy since 1996, and he currently serves as the Chairman of the Berkshire Bank Foundation — Legacy Region, Inc.

William Hughes

Mr. William H. Hughes III serves as Independent Director of the Company. He has over 30 years of business experience with expertise in strategy development and execution, technology services and cybersecurity. Mr. Hughes is the founder and President of Open4 Learning, an advisory business that is focused on innovation and growth in the education technology and employment technology sectors. He is also the founding Manager of CyberHabits LLC, which is a learning-centered cybersecurity solutions company. A Boston-area resident, Mr. Hughes joins the Compensation Committee and the Risk Management and Capital Committee.

Cornelius Mahoney

Mr. Cornelius D. Mahoney serves as Independent Director of the Company. He served as President, Chief Executive Officer and Chairman of the Board of Woronoco Bancorp and Woronoco Savings Bank before their merger with the Company and the Bank in June 2005. He is a former Chairman of America’s Community Bankers and the Massachusetts Bankers Association and a former Director of the Federal Home Loan Bank of Boston. He was a member of the Thrift Institution Advisory Council to the Federal Reserve Board of Governors and is a past Chairman of the Board of Trustees at Westfield State College.

Sylvia Maxfield

Ms. Sylvia Maxfield serves as Independent Director of the Company. Additionally, She is currently the Dean of the Providence College School of Business and was previously Chairman of the Faculty and MBA Program Director at Simmons University in Boston. Additionally, she serves as voting member of the Rhode Island State Investment Commission, where she oversees fund performance, including asset allocation and all investment-related contracting. Maxfield also votes on shareholder proxy activity on behalf of the State. Previously, she has served on the boards of the Greater Providence Chamber of Commerce, Social Enterprise Greenhouse and the 21st Century Fund. She earned her B.A. in government and economics from Cornell University, and her Ph.D. in political economy from Harvard University.

Laurie Moffatt

Ms. Laurie Norton Moffatt serves as Independent Director of the Company. She is the Director and Chief Executive Officer of the Norman Rockwell Museum, Stockbridge, Massachusetts. Since 1986, Ms. Moffatt has overseen the expansion of the museum’s facilities and the creation of a scholars’ research program. Her efforts resulted in the Museum receiving the National Humanities Medal, America’s highest humanities honor. Ms. Moffatt is also an active community leader. She is a founder of 1Berkshire and Berkshire Creative Economy Council and serves as a trustee of Berkshire Health Systems. Ms. Moffatt also holds a business degree from the University of Massachusetts.

Jonathan Shulman

Mr. Jonathan I. Shulman serves as Independent Director of the Company. He is previously served as Executive Vice President & Treasurer at KeyCorp, a publicly traded U.S. bank. Shulman possesses deep commercial banking experience that includes financial markets, governance, and balance sheet and risk management disciplines. He began his career with KeyCorp in 1989 and served in leadership roles in financial market strategy, asset liability management, wholesale funding and capital planning. Shulman has also held committee membership positions on KeyCorp’s Asset Liability Committee, Market Risk Committee, Model Risk Committee and Funds Transfer Pricing Committee.

D. Jeffrey Templeton

Mr. D. Jeffrey Templeton serves as Independent Director of the Company. He is the owner and President of The Mosher Company, Inc., located in Chicopee, Massachusetts, a manufacturer of buffing and polishing compounds, abrasive slurries and a distributor of related grinding, polishing and lapping machinery. Mr. Templeton is a former director of Woronoco Bancorp and provides experience and perspective as a successful business owner in our Springfield and Central Massachusetts markets.
