Name Description

Alain-Pierre Rheaume

Mr. Alain-Pierre Rheaume CPA serves as Independent Chairman of the Board of the Company. Alain Rhéaume is Co-founder and Managing Partner of Trio Capital Inc., a private investment company. He is also a corporate director. Mr. Rhéaume has been Chair of the Board of Directors of Boralex since March 9, 2017. He has more than 25 years of experience holding senior executive positions in the public and private sectors. In 1996, he joined Microcell Telecommunications Inc. as Chief Financial Officer. Subsequently, he held positions as President and Chief Executive Officer of Microcell PCS (2001 to 2003) and President and Chief Operating Officer of Microcell Solutions Inc. (2003 to 2004). Until June 2005, he was Executive Vice President, Rogers Wireless Inc., and President of Fido Solutions Inc. (a division of Rogers Wireless Inc.), positions to which he was named when Microcell Telecommunications Inc. was acquired by Rogers in 2004. From 1974 to 1996, he was employed by the Québec Ministry of Finance and served as Associate Deputy Minister of Finance from 1988 to 1992 and as Deputy Minister from 1992 to 1996. Mr. Rhéaume holds a licence in Administration and Business (finance and economics) from Laval University.

Patrick Lemaire

Mr. Patrick Lemaire is no longer serves as President, Chief Executive Officer, Director of the Company effective 12/31/2020. Patrick Lemaire has been President and Chief Executive Officer of Boralex since September 2006. He was previously Vice President and Chief Operating Officer (Containerboard) for Norampac Inc. Mr. Lemaire graduated with a degree in mechanical engineering from the Laval University (Québec).

Bruno Guilmette

Mr. Bruno Guilmette CPA serves as Chief Financial Officer, Vice President of the Company. He is in charge of several divisions at the company: Finance and Accounting, Taxation, Investor Relations, and Risk Management and Internal Controls. Known for his leadership skills and his in-depth knowledge of capital markets, Mr. Guilmette has a wealth of experience in financial management and in the acquisition and financing of infrastructure projects around the world. Before joining Boralex, he served as Interim Chief Investment Officer at the Canada Infrastructure Bank, where he established the organization’s initial processes and policies on investment and consulting. He previously served as the Senior Vice President of Infrastructure Investments at PSP Investments, where he worked for 10 years. In this position, he developed a new group and an investment fund of nearly $9 billion. He has also served as the Senior Director, Private Equity Investments, at the Caisse de dépôt et placement du Québec. Bruno Guilmette is currently on the Board of Directors of the Canada Infrastructure Bank. He holds a bachelor's degree in Commerce from HEC Montréal, along with an MBA from McGill University and an ICD.D designation from the Institute of Corporate Directors. He is also a Chartered Professional Accountant (CPA, CA) and holds the Chartered Financial Analyst designation (CFA).

Patrick Decostre

Mr. Patrick Decostre has been appointed as President, Chief Executive Officer of the Company effective 12/31/2020. When he joined the adventure in 2001, Patrick was Boralex’s first employee of the company in Europe. By overseeing development and operations, he has largely contributed to what the company has become: the largest independent player in the wind sector in France. Before joining Boralex, Patrick held various positions within the EDF group (Électricité de France), successively as a dispatcher on the electricity transmission network, as management controller and then as industrial project manager. Between 1997 and 1999, he was part of the EDF electricity sales team on the Anglo-Welsh electricity pool. He holds a degree in civil engineering from the École Polytechnique (Brussels) and a diploma in specialized studies in management from the École de commerce de Solvay (Brussels).

Nicolas Wolff

Mr. Nicolas Wolff was General Manager - Vestas Western Mediterranean of the Company. Today France’s largest independent producer of wind power with a headcount of nearly 200 and operating almost 1,000 MW in the country, Boralex is recognized for its industry approach and unique operating and maintenance model. Previously with Vestas Group from 2007 to 2019, Nicolas’ positions included General Manager of French subsidiary Vestas France, and later Vice President and General Manager of Vestas Western Mediterranean, with responsibility for France, Spain, Portugal, the Maghreb and West Africa. Prior to that, he was Commercial Director, Europe, with Morpho (SAFRAN Group), responsible for biometric solutions, and served for four years as Managing Director of the SAGEM Group subsidiary covering the Pacific region (Sagem Australia, Sydney). Nicolas also has international experience gained with Arjowiggins Group, and Thales Group in Caracas. In addition to his other duties, Nicolas served as chair of France Énergie Éolienne (FEE) between 2009 and 2013, transitioning subsequently to sit as a director and as chair of FEE’s Industry Committee. In December 2019, Nicolas was re-elected to the Presidency of France Energie Eolienne. Nicolas Wolff is a graduate of ISC Paris Business School and has completed the IMD Executive Program.

Pascal Hurtubise

Mr. Pascal Hurtubise serves as Vice President, Chief Legal Officer and Corporate Secretary of the Company. He is responsible for Boralex’s corporate governance and supervises the team in charge of all legal aspects related to the company’s transactions, development and operation of assets. He is part of the management team of the Company. Mr. Hurtubise has held this position since 2017, after having risen through the ranks at Boralex since his arrival in 2005. He leads a team of 15 people located both in North America and France and actively participates in promoting a stimulating and inclusive workplace. His colleagues recognize his judgment, his passion, his work dedication and his deep commitment to his business partners and his collaborators. Before joining Boralex, Mr. Hurtubise practiced business law at Stikeman Elliott mainly in the areas of financing, mergers and acquisitions, capital markets and securities. He holds a law degree from the University of Montreal with honours. Mr. Hurtubise won the Prix du Conseiller juridique d'Avenir at the 2012 Prix des Conseillers Juridiques du Québec, after being a finalist for the same award in the previous edition in 2010.

Marie-Josee Arsenault

Ms. Marie-Josee Arsenault serves as Vice President - Talent and Culture of the Company. With more than 25 years of experience in human resources, Marie-Josée Arsenault joined Boralex in 2015 after 20 years of service at Cascades. She held the position of Corporate Director, Human Resources at the time of her appointment and had developed extensive experience in talent acquisition and employee engagement. Her vision, leadership and expertise for coordinating teams have been instrumental in achieving Boralex's employer brand. In the role of Vice President, Talent and Culture, Marie-Josée will be responsible for continuing to drive the company’s transformation toward a talent-based model, focused on our vital workforce.

Julie Cusson

Ms. Julie Cusson serves as Vice President - Public and Corporate Affairs of the Company. She developed and consolidated the synergy between Boralex's public affairs and communications resources, in addition to increasing the company's visibility among its various audiences. In June 2019, she was given the mandate of coordinating the internal deployment of strategic review. Her diligence, energy, courage and diverse skills make Julie an outstanding manager whose top priority is collaboration. As Vice President, Public and Corporate Affairs, Julie will continue fulfilling all of her mandates, which will be divided between four areas of expertise: government affairs, organizational and corporate communication as well as the internal deployment of strategic review. In 2019, Julie was named as one of the Montreal Top 10 Most inspirational Women according to L'Effet A, an initiative that promotes the professional engagement of women in Québec.

Hugues Girardin

Mr. Hugues Girardin serves as Vice President - Development of the Company. Mr. Hugues Girardin is the Vice President, Development of Boralex. First with Cascades Energy and then with Boralex, Hugues Girardin has over 25 years experience in renewable energy. He has actively contributed to Boralex’s success over the years by leading major projects such as The Seigneurie de Beaupré Wind Farms, which is currently of Canada’s largest wind power projects, and the Niagara Region Wind Farm, among many others. He has also worked to built strong partnerships with several municipal districts. More recently, Mr. Girardin has successfully led the completion of all of the economic interests of Invenergy Renewables LLC in 5 wind farms in Québec, totaling 201 MW of net installed capacity, for a total cash consideration of $215 million. Mr. Girardin has an extensive breadth of knowledge and experience in the North American wind industry and a passion for the environment and the role that renewable energy can play in supporting the sustainability of our planet for future generations. Mr. Girardin’s creativity and dedication are complemented by his commitment to continued innovation.

Andre Courville

Mr. Andre Courville CPA serves as Independent Director of the Company. André Courville is a corporate director and chartered professional accountant. Previously a senior audit partner at Ernst & Young until June 30, 2014 with 37 years of experience working with Canadian, U.S. and International listed companies in various industries. From September 18, 2018 to May 1, 2019, Mr. Courville was Interim President and Chief Executive Officer of Uni-Select Inc., where he was Chairman of the Board since May 2016. From 2015 to 2017, he was President and Chief Executive Officer of the Institute of Corporate Directors (Québec Chapter). Mr. Courville is also a director, Chair of the Audit and Finance Committee and member of the Executive Committee of the Montreal Heart Institute Foundation.

Lise Croteau

Ms. Lise Croteau serves as Independent Director of the Company. Lise Croteau is a corporate director. From 2015 to 2018 she was Executive Vice President and Chief Financial Officer of HydroQuébec, having served as Interim President and Chief Executive Officer of Hydro-Québec from May to July 2015. Ms. Croteau began her career as an auditor and joined Hydro-Québec in 1986, successively holding control and financial management positions. A chartered professional accountant since 1984, Ms. Croteau holds a Bachelor’s in business administration and was named Fellow of the Ordre des comptables agréés du Québec in 2008 in recognition of her exceptional contribution to the profession.

Ghyslain Deschamps

Mr. Ghyslain Deschamps serves as Independent Director of the Company. Ghyslain Deschamps is a business executive with over 25 years of experience in project management and business operations around the world. He currently serves as Executive Vice President, Building Division of EBC Inc., a company active in the building, civil works and mining sectors. After graduating in engineering, Mr. Deschamps held various prominent positions in Canada and abroad. He worked for Hydro-Québec, Babcock & Wilcox, SNC-Lavalin ad Director, Englobe Corp. as Senior Vice-President/North America and from 2013 to 2018 as Senior Vice President/Infrastructure for the Telecon Group. He has competed leadership and min-MBA programs at McGill University.

Marie-Claude Dumas

Ms. Marie-Claude Dumas serves as Independent Director of the Company. Marie-Claude Dumas is a Global Director, Major Projects & Programs of WSP Global and Executive Market Leader for the Quebec since January 2020. Ms. Dumas has 25 years of experience in the field of project delivery and business management. She has worked for Nortel, Bain & Company and SNC-Lavalin. She holds a Bachelor’s in Engineering and a Master’s in Applied Science from École Polytechnique. She also holds a Master’s of Business Administration from École des Hautes Études Commerciales de Montréal (nowadays HEC Montréal).

Marie Giguere

Ms. Marie Giguere serves as Independent Director of the Company. Marie Giguère is a corporate director. Until 2016 she was Executive Vice President, Legal Affairs and Secretariat of the Caisse de dépôt et placement du Québec. She was a long-standing partner at Fasken Martineau LLP, where she began her career. From 1997 to 1999, she was Senior Vice President, Institutional Affairs and General Secretary of the Montreal Exchange. From 1999 to 2005, she was Senior Vice President, Chief Legal Officer and General Secretary of Molson Inc. Ms. Giguère holds a Bachelor of Civil Law from McGill University

Edward Kernaghan

Mr. Edward H. Kernaghan serves as Independent Director of the Company. Edward H. Kernaghan holds a Master of Science degree from the University of Toronto. He is Senior Investment Advisor of Kernaghan & Partners Ltd., a brokerage firm. Mr. Kernaghan is also President of Principia Research Inc., a research and investment company, and of Kernwood Ltd., an investment holding company.

Yves Rheault

Mr. Yves Rheault serves as Independent Director of the Company. Yves Rheault is a corporate director and consultant. He acts as a consultant for the Caisse de dépôt et placement du Québec in the field of energy and infrastructure. He serves on the board of directors of Hydrosolution Ltd., a private company. Mr. Rheault has held executive positions in various companies operating in the energy field, including as chair of the board of directors of Gaz Métro (nowadays Énergir) for 8 years. He served as Vice President, Business Development of Boralex from 1997 to 2002. A graduate of the University of Montreal, Mr. Rheault holds a Bachelor of Commerce Degree and a Master’s Degree in Administration

Dany St-Pierre

Ms. Dany St-Pierre serves as Independent Director of the Company. Dany St-Pierre is President of Cleantech Expansion LLC, a renewable energy consulting firm. She has 25 years of professional experience, including 15 in the energy sector in Canada, the United States and Latin America, having worked for companies like Nordex USA, Alstom Power and Siemens Power Generation. Her corporate experience includes marketing, sales, business development and mergers and acquisitions. Ms. St-Pierre earned a Bachelor’s Degree in Business Administration (marketing) from Université du Québec à TroisRivières, and a Master’s Degree in Business Administration (M.B.A.) from Laval University.
