Name Description

Aaron Regent

Mr. Aaron W. Regent, CPA is Chairman of the Board of the Company. He is the Founding Partner of Magris Resources Inc. and Chairman and Chief Executive Officer of Niobec Inc., companies involved with the acquisition, development and operation of mining assets on a global basis. He was President and Chief Executive Officer of Barrick Gold Corporation from January 2009 to June 2012. Previously, Mr. Regent was Senior Managing Partner of Brookfield Asset Management and Co-Chief Executive Officer of the Brookfield Infrastructure Group, an asset management company, and President and Chief Executive Officer of Falconbridge Limited. Mr. Regent holds a B.A. from the University of Western Ontario and is a chartered accountant and a Fellow of CPA Ontario.

Brian Porter

Mr. Brian J. Porter is President, Chief Executive Officer, Director of the Company. He joined Scotiabank in 1981, and has progressed through a series of increasingly senior positions across the bank. Mr. Porter served as the bank’s Chief Risk Officer from 2005 to 2008, as Group Head of Risk and Treasury from 2008 to 2010 and as Group Head of International Banking from 2010 to 2012. He was appointed President of Scotiabank in November 2012. He assumed the role of Chief Executive Officer on November 1, 2013. Mr. Porter’s current board memberships include Business Council of Canada, the Council of the Americas, and the Washington-based Institute of International Finance (IIF) where he serves as Vice Chairman and Treasurer. He is also Chair of the University Health Network (UHN) Board of Trustees as well as the Chair of the 2018 United Way Greater Toronto campaign. Mr. Porter earned a B.Comm. from Dalhousie University, and has been awarded an Honorary Doctor of Laws (LLD) from Dalhousie University (2008) and Ryerson University (2018). He is a graduate of the Advanced Management Program of the Harvard Business School.

Rajagopal Viswanathan

Mr. Rajagopal Viswanathan is Chief Financial Officer, Executive Vice President of the Company. Mr. Viswanathan joined Scotiabank in 2002 and has held progressively senior positions in internal audit and finance since that time. In 2014, he was appointed Senior Vice President & Chief Accountant responsible for overseeing the chief accountant’s group which includes group responsibilities for: capital management, accounting policies and procedures, and financial analysis and reporting. Mr. Viswanathan also led the bank’s multi-year finance transformation project.

Gillian Riley

Ms. Gillian Riley is President, Chief Executive Officer,Tangerine, Executive Vice President of the company. Gillian Riley is Executive Vice President, President & CEO, Tangerine. She was appointed to this role in December, 2018, with responsibility for setting and driving Tangerine’s strategic objectives to solidify its position as Canada’s leading digital bank. She is also the Chair of Roynat Capital and the lead executive champion of The Scotiabank Women Initiative. Since joining Scotiabank in 1994, Gillian has held senior leadership positions in Retail, Small Business, Commercial Banking and Operations groups. In her previous position as Executive Vice President, Canadian Commercial Banking, Gillian directed the management of several integrated businesses providing corporate finance solutions to businesses across Canada. Gillian holds an MBA from the Barney School of Business at the University of Hartford in Connecticut and a BA in Economics from the University of Western Ontario. Barbara Mason

Ms. Barbara F. (Barb) Mason is Group Head and Chief Human Resources Officer of The Bank of Nova Scotia. She has been with Scotiabank for 31 years and is currently Executive Vice President, Global Wealth Management, responsible for profitable growth and development of all Scotiabank's wealth businesses globally. She previously held the positions of Executive Vice President, Wealth Management and Executive Vice President, Marketing, Sales & Service, Canada. She has also held progressively senior roles in marketing and sales and service in Canadian Banking. Ms. Mason graduated from the University of Waterloo with a Bachelor of Environmental Studies (honours), and is also a graduate of the Queen's University. She is a board member with the Toronto Board of Trade, as well as Toronto's Ronald McDonald House.

Maria Theofilaktidis

Ms. Maria Theofilaktidis is Executive Vice President, Chief Compliance Officer, Head of Enterprise Risk of the company. Maria Theofilaktidis is Executive Vice President, Chief Compliance Officer & Head of Enterprise Risk, with responsibility for the implementation of an enterprise-wide strategy for effectively managing compliance risk across the Scotiabank group, aligned with corporate strategies and regulatory requirements. Previous to this position Maria was Executive Vice President, Retail Distribution, Canadian Banking, responsible for defining and implementing the strategic direction, goals and execution of key initiatives for Retail and Small Business Distribution in Canada. Since joining Scotiabank in 2002, Maria has held various positions including Senior Vice President of Retail, Small Business & Wealth Management, Senior Vice President and Chief Accountant, Vice President, Financial Accounting and Reporting, Vice President, Capital Management, and Vice President, Professional Practice and Executive Office Audit. Maria is a strong advocate for Diversity and Inclusion. She is also the Executive Champion for Women at Scotiabank.

Ian Arellano

Mr. Ian Arellano is appointed as Executive Vice President, General Counsel of the company effective Jan. 2, 2018. He graduated with an LLB from the University of Toronto and was called to the Bar in 1986. Over thirty years of practice, he has held increasingly senior roles and developed extensive experience across the mining and financial services sectors in M&A, joint ventures and strategic alliances, licensing and other contractual matters. At Torys LLP, Mr. Arellano is Co-head of the firm's International Initiative and a senior partner in the corporate transactions practice. Mr. Arellano has advised Scotiabank on many transactions, including acquisition of a 51% stake in Banco Colpatria in Colombia, the acquisition of Citigroup's retail and commercial banking assets in Panama and Costa Rica, and of our 51% stake in Cencosud's S.A.'s financial services business in Chile. Mr. Arellano has been recognized by numerous organizations for his work including being named a Leading Lawyer in Corporate Law by Best Lawyers in Canada (2013-2017).

Tom McGuire

Mr. Tom McGuire is appointed as Executive Vice President, Treasurer of the Company with effective February 11, 2019. Tom joined Scotiabank in 2018 as Senior Vice President and Deputy Treasurer, where he was responsible for managing the Bank's funding and liquidity. Previously, he held the position of Treasurer for Barclays Americas and Barclays Group U.S. LLC, an intermediate holding company. Prior to becoming Treasurer, he worked in the office of the CEO Americas where he focused primarily on regulatory reform initiatives. He also held lead roles in the capital markets groups of Goldman Sachs, Lehman Brothers and Barclays. Tom was an infantry officer in the United States Marine Corps and holds a Bachelor of Arts degree from Harvard University and a Doctor of Jurisprudence from the University of Virginia School of Law.

John Doig

Mr. John Doig is Executive Vice President, Retail Distribution of the company. ohn was appointed Executive Vice President, Retail Distribution in December, 2018. In this role he is responsible for defining and implementing the strategic direction, goals and execution of key initiatives for Retail Banking in Canada. John oversees all of Canadian Branch Banking and Small Business Banking. John joined the Bank in 1998 and has held progressively senior positions in Wealth Management, Marketing and Retail Banking. Most recently he was Executive Vice President and Chief Marketing Officer, responsible for all global marketing, sponsorship, philanthropy, and corporate social responsibility activities, including securing the 20-year partnership between Scotiabank and Maple Leaf Sports & Entertainment and the naming of Scotiabank Arena in Toronto. He is also the Chief Executive Officer of SCENE.

Michael Henry

Mr. Michael Henry is Executive Vice President, Enterprise Risk Governance of the company. Mike Henry was appointed Executive Vice President, Enterprise Risk Governance for Scotiabank in June 2019. In this role, Mike is accountable for the Bank’s Enterprise Risk framework, with responsibility for oversight of operational risk and other non-financial risks. Mike joined Scotiabank in 1996 and has held progressively senior positions in Sales Management, Marketing, Wealth Management, Retail Banking and Product Development. Most recently, he led the creation and implementation of Scotiabank’s enterprise-wide data strategy as Executive Vice President and Chief Data Officer. Shawn Rose

Mr. Shawn Rose is Executive Vice President, Chief Digital Officer of the Company. As Executive Vice President, Chief Digital Officer, Shawn Rose is responsible for building an enterprise-wide digital banking team to execute on the Bank’s digital transformation. He first joined Scotiabank in June 2016 as Executive Vice President, Digital Banking and was appointed to this position in November 2017. Shawn leads a new team that brings together the digital functions across the Bank to drive the innovation agenda and build out Scotiabank’s digital sales and marketing capabilities to deliver the best customer experience and operational efficiency in our markets. Shawn has more than 20 years of experience in digital transformation and product management in globally complex and FinTech organizations. Prior to joining Scotiabank, he served as Group Chief Product Officer at Moneysupermarket (MSM) Group PLC, a British price comparison service specializing in financial services, and previously as a Chief Technology Officer and Vice President of Core Platforms at Pearson PLC, the largest education company and book publisher in the world. He also held senior roles at Ustream, FOX Broadcasting and CBS Interactive, served as an advisor at Hulu.com, and as a technical product lead and manager at AltaVista, AOL and Yahoo! Inc.

Anya Schnoor

Ms. Anya Schnoor is Executive Vice President, Retail Products of the company. Anya Schnoor was appointed Executive Vice President, Retail Products for Canadian Banking in November 2017. In this role, Anya and her team are responsible for designing and delivering financial solutions that drive growth through Scotiabank’s Canadian branch network, call centres and digital channels. A native of Jamaica, Anya’s experience in the financial services sector in the Caribbean spans more than 25 years in the areas of wealth management, insurance and banking. She is widely-recognized as a strong business leader in the Caribbean Region. Anya first joined Scotiabank Jamaica in 2006 as Senior Vice President, Investments & Wealth, International Banking based in Jamaica. Since that time, she has taken on increased levels of responsibility for Scotiabank business across the region including, Senior Vice President and Managing Director, Trinidad & Tobago, International Banking from 2012-2016, and most recently Senior Vice President and Head, Caribbean South & East, International Banking from 2016-2017 with responsibility for the Bank’s business across 12 countries in the Caribbean.

Michael Zerbs

Mr. Michael Zerbs is Group Head, Chief Technology Officer of the company. As Group Head and Chief Technology Officer at Scotiabank, Michael has responsibility for the advancement of Scotiabank’s overall technology strategy while planning jointly the digital strategy. His mandate includes overall responsibility for Information Technology & Solutions (IT&S), globally. Before joining Scotiabank in 2014 as Senior Vice President & Head, Risk Management Information Technology, Michael held senior positions in IT, including President and Chief Operating Officer at Algorithmics and Vice President, Risk Analytics at IBM. Most recently, he was Chief Technology Officer and prior to that appointment, Executive Vice President and Co-Head of Information Technology, Enterprise Technology. He was also instrumental in building Scotiabank’s initial digital blueprint and launching the Digital Factory.

Daniel Moore

Mr. Daniel Moore is Chief Risk Officer of the Company, since April 3, 2017. Mr. Moore became executive vice-president and chief market risk officer in November, 2016. Previously he ran the global banking and markets business in Asia Pacific. Mr. Moore joined Scotiabank in 1997 in risk management, and his previous roles include launching the global banking and markets business in Ireland; head of cross markets and structured products; and senior roles in energy, credit, and equity derivatives. He brings a strong focus in developing risk management strategies that align with the bank's risk tolerance, business objectives and customer focus.

Ignacio Deschamps

Mr. Ignacio Deschamps is Group Head - International Banking and Digital Transformation of the company. Nacho was appointed as Strategic Advisor to the President and CEO, for Global Digital Banking, in January 2016. He was subsequently appointed Group Head, International Banking and Digital Transformation, in February 2016. As a Group Head with executive responsibility for International Banking, Nacho oversees all of the International Bank’s personal, small business and commercial banking operations globally outside of Canada. Nacho also has executive responsibility for leading the digital transformation of Scotiabank, reimagining and simplifying the customer experience. Prior to joining Scotiabank, Nacho was a member of the Global Executive Committee of a leading European-based global bank, where he was Chairman and CEO of Mexico’s largest bank, Head of South America, and Global Head of Retail Banking.

Jake Lawrence

Mr. Jake Jean Lawrence is Co-Group Head, Global Banking and Markets of the company. Jake Lawrence was appointed Co-Group Head, Global Banking and Markets in December, 2018. In this role, Jake specifically holds oversight of Scotiabank’s Global Capital Markets businesses, focused on building alignment across product groups and priority markets to best serve our clients throughout our global footprint. He continues to provide leadership and management of Scotiabank’s Global Banking and Markets in the U.S. including the overall strategic direction and execution of Scotiabank’s U.S. businesses. Jake joined Scotiabank in 2002 and has held progressively senior roles in the Finance and Group Treasury and Global Banking and Markets teams. He was previously Senior Vice President and Deputy Treasurer, responsible for Scotiabank’s wholesale funding activities, including securitization and regulatory capital, as well as liquidity management. Jake also served as Senior Vice President, Investor Relations for the Bank, and was responsible for the coordination of the office of Scotiabank’s President and CEO and related communications activities. Jake holds an Honours BA from Lakehead University and an MBA from Wilfrid Laurier School of Business and Economics.

James Neate

Mr. James Neate is Co-Group Head, Global Banking and Markets of the company. In his current role as Co-Group Head, James has global management responsibility for Investment Banking, Global Business Payments and Corporate Banking. His focus is on leading strategic direction and alignment, leveraging key growth opportunities and enhancing customer relationships while strengthening risk and governance oversight. He was appointed to this position in December, 2018. Since joining Scotiabank in 1985, James has held a variety of leadership positions in areas including: Retail Banking, Commercial Banking, Wealth Management, International Banking and Global Banking and Markets. Most recently, James held the position of Global Head of Corporate and Investment Banking. James earned a BA in Economics and Political Science at McMaster University and completed the Ivey Executive Program at Ivey Business School at the University of Western Ontario.

Dan Rees

Mr. Dan Rees is Group Head, Canadian Banking of the company. Dan Rees was appointed Group Head, Canadian Banking in June 2019. In this role, Dan leads our Personal and Commercial Banking and Insurance businesses in Canada. Dan also oversees Global Operations with Nacho Deschamps, Group Head, International Banking & Digital Transformation. Over the course of his career, Dan has developed a track record of success in driving results and building strong teams. He first joined Scotiabank in 2000 and has held a number of increasingly senior roles in Canadian Banking, Wealth Management, Global Banking and Markets, Global Risk Management and International Banking. He was, most recently, Group Head, Operations responsible for developing a bank-wide approach to efficiency and continuous improvement and for ensuring that key functional areas partner effectively with the business lines to improve our customer experience. Prior to that appointment, Senior Vice President, Leadership in Human Resources, responsible for recruiting and developing the most senior level talent at the Bank.

Nora Aufreiter

Ms. Nora A. Aufreiter is an Independent Director of the Company, since August 2014. Ms. Nora Aufreiter is a corporate director and former senior partner of McKinsey and Company, an international consulting firm. Throughout her 27 year career at McKinsey, she held multiple leadership roles including Managing Director of McKinsey’s Toronto office, leader of the North American Digital and Omni Channel service line and was a member of the firm’s global personnel committees. She has worked extensively in Canada, the United States and internationally serving clients in consumer-facing industries including retail, consumer and financial services, energy and the public sector. Ms. Aufreiter holds a B.A. (Honours) in business administration from the Ivey Business School at the University of Western Ontario and an M.B.A from the Harvard Business School. She was recognized in 2011 as one of “Canada’s Most Powerful Women: Top 100”. In June 2018, Ms. Aufreiter was awarded an Honorary Doctor of Laws at the University of Western Ontario

Guillermo Babatz

Mr. Guillermo E. Babatz is an Independent Director of the Company. Guillermo Babatz is the Managing Partner of Atik Capital, S.C., an advisory firm that specializes in structuring financial solutions for its clients. Previously, he was the Executive Chairman of Comisio´ n Nacional Bancaria y de Valores in Mexico from July 2007 to December 2012. Mr. Babatz holds a B.A. (in economics) from the Instituto Tecnolo´ gico Auto´ nomo de Me´ xico (ITAM) in Mexico City, and a Ph.D. (in economics) from Harvard University.

Scott Bonham

Mr. Scott B. Bonham is an Independent Director of Company. Scott Bonham is a corporate director and the co-founder of Intentional Capital, a privately-held real estate asset management company. Mr. Bonham is also an active board member of the C100, an association that connects Canadian entrepreneurs and companies with its Silicon Valley network. From 2000 to 2015, he was co-founder of GGV Capital, an expansion stage venture capital firm with investments in the U.S. and China. Prior to GGV Capital, he served as Vice President of the Capital Group Companies, where he managed technology investments across several mutual funds from 1996 to 2000. Mr. Bonham has a B.Sc. (in electrical engineering) from Queen’s University and an M.B.A. from Harvard Business School.

Charles Dallara

Dr. Charles H. Dallara, Ph.D., is an Independent Director of the Company. Charles Dallara is Chairman of the Americas, Partner and a member of the board of directors of Partners Group Holding AG, a private market investment and asset management firm based in Switzerland. He has 42 years of industry experience. Prior to joining the Partners Group in 2013, he was the Managing Director and Chief Executive Officer of the Institute of International Finance from 1993 to 2013. Previously, he was a Managing Director at J.P. Morgan & Co. In addition, Dr. Dallara has held senior positions in the U.S. Department of the Treasury and with the IMF. He holds a B.Sc. (in economics) from the University of South Carolina, a M.A., a M.A.L.D. (in law and diplomacy) and a Ph.D. from the Fletcher School of Law and Diplomacy at Tufts University.

Tiff Macklem

Mr. Tiff Macklem, Ph.D., is an Independent Director of the Company. Tiff Macklem is Dean of the Rotman School of Management at the University of Toronto. Previously, he served as Senior Deputy Governor and Chief Operating Officer of the Bank of Canada (from July 2010 to May 2014). Prior to his appointment at the Bank of Canada, Dr. Macklem served as Associate Deputy Minister of the federal Department of Finance and Canada’s finance deputy at the G7 and G20. He also served as Chair of the Standing Committee on Standards Implementation of the Financial Stability Board. Dr. Macklem holds a B.A. (Honours) in economics from Queen’s University, and a M.A. and a Ph.D. (in economics) from the University of Western Ontario.

Michael Penner

Mr. Michael D. Penner serves as an Independent Director of the Company. He is the Chairman of the Board of Directors of HydroQue´ bec, Canada’s largest electric utility and power generation company and the world’s fourth largest hydropower producer. He was the President and Chief Executive Officer of Peds Legwear prior to selling his company to Gildan Activewear Inc. in August 2016. Mr. Penner has been active in the community, serving last year as Chair of the Montreal Museum of Fine Arts’ annual fundraising activity and in the past as a member of the Board of Directors of Les Grands Ballets Canadiens de Montre´ al, Selwyn House School, Hofstra University School of Law and McGill University Football. Mr. Penner holds a Bachelor of Arts degree from McGill University and a Juris Doctor from Hofstra University in New York.

Una Power

Ms. Una M. Power is an Independent Director of the Company. Una Power is a corporate director and the former Chief Financial Officer of Nexen Energy ULC, a former publicly-traded energy company that is a wholly-owned subsidiary of CNOOC Limited. During her 24 year career with Nexen, Ms. Power held various executive positions with responsibility for financial and risk management, strategic planning and budgeting, business development, energy marketing and trading, information technology and capital investment. Ms. Power holds a B.Comm. (Honours) from Memorial University and CPA, CA and CFA designations. She has completed executive development programs at Wharton Business School and INSEAD.

Indira Samarasekera

Dr. Indira V. Samarasekera, Ph.D., is an Independent Director of the Company. Indira Samarasekera is a senior advisor at Bennett Jones LLP, a law firm, and a corporate director. Dr. Samarasekera was President and Vice Chancellor of the University of Alberta from 2005 to 2015 and prior to that, the Vice President, Research at the University of British Columbia from 2000 to 2005. She is a member of the Trilateral Commission. Dr. Samarasekera holds a B.Sc. (in mechanical engineering) from the University of Ceylon (Sri Lanka), a M.Sc. (in mechanical engineering) from the University of California, as a Hayes Fulbright Scholar, and a Ph.D. (in metallurgical engineering) from the University of British Columbia. She is an Officer of the Order of Canada, a Foreign Associate of the US National Academy of Engineering, and was awarded an honorary D.Sc. at Queen’s University in May 2018.

Susan Segal

Ms. Susan L. Segal is an Independent Director of the Company. Susan Segal was elected President and Chief Executive Officer of the Americas Society, an organization dedicated to education, debate and dialogue in the Americas, and Council of the Americas, a business organization whose members share a common interest in the western hemisphere, in August 2003. Previously, she was a banker for over 25 years with JPM Chase and its predecessor banks. Ms. Segal received a B.A. from Sarah Lawrence College and an M.B.A. from Columbia University. In 1999, she was awarded the Order of Bernardo O’Higgins, Grado de Gran Oficial in Chile. In 2009, President Alvaro Uribe of Colombia honored her with the Cruz de San Carlos award and in September 2012, Mexican President Caldero´ n awarded her with the Aguila Azteca, the highest award given to a foreigner. In 2013, the North American-Chilean Chamber of Commerce recognized her as the Honorary Chilean of the Year. In 2018, Ms. Segal was awarded Peru’s Order of “Merit for Distinguished Services” in the rank of Grand Official on behalf of President Martín Vizcarra.

Barbara Thomas

Ms. Barbara S. Thomas is an Independent Director of the Company. Barbara Thomas is a corporate director, following retirement from a broad career in brand management and consumer goods. Ms. Thomas was a director and Interim Chief Executive Officer of Ocean Spray Company and served as a director of Blue Cross Blue Shield of Florida, Spectrum Brands, Inc. and The Dial Corporation. Ms. Thomas received her B.A. from the University of Michigan and attended the Total Quality Management Program at Washington University.

L. Scott Thomson

Mr. L. Scott Thomson is an Independent Director of the Company. Scott Thomson is the President and Chief Executive Officer of Finning International Inc., the world’s largest Caterpillar equipment dealer. Prior to joining Finning in 2013, Mr. Thomson was Chief Financial Officer of Talisman Energy Inc. with responsibility for finance, tax, treasury, investor relations, marketing, business development and strategy, planning and performance management from 2008 to 2013. Prior to Talisman, Mr. Thomson held several executive positions with Bell Canada Enterprises from 2003 to 2008 including the role of Executive Vice President, Corporate Development. Prior to Bell, Mr. Thomson was a Vice President at Goldman, Sachs & Co. Mr. Thomson holds a B.A. (in economics and political science) from Queen’s University and an M.B.A. from the University of Chicago.

Benita Warmbold

Ms. Benita M. Warmbold is the Independent Director of the company. Benita Warmbold is a corporate director and the former Senior Managing Director and Chief Financial Officer of Canada Pension Plan (CPP) Investment Board having retired in July 2017. Over her nine years at CPP Investment Board, Ms. Warmbold was responsible for finance, risk, performance, tax, internal audit, legal, technology, data and investment operations. Prior to joining CPP Investment Board in 2008, Ms. Warmbold held senior leadership positions with Northwater Capital, Canada Development Investment Corporation and KPMG. She is a director of the Canadian Public Accountability Board. Ms. Warmbold holds a B. Comm. (Honours) from Queen’s University and is a chartered professional accountant and a Fellow of CPA Ontario. Ms. Warmbold has been recognized three times as one of “Canada’s Most Powerful Women – Top 100,” and in 2016 was inducted into the WXN Hall of Fame.
