Mr. Remo Taricani serves as Co-CEO Commercial Banking Italy of the Company. He holds a degree in Engineering from Universita degli Studi di Bologna and an M.B.A. from Universita degli Studi di Bologna. He joined UniCredit Group in 2007 in Retail Italy and has since then held various positions in the Group, including most recently as Head of Individual and Small Business Sales and Marketing in Italy and a being a Board member of UNIS. Mr. Carlo Appetiti serves as Chief Compliance Officer of the Company. Previously, he was Head of Global Compliance at the firm from January 2013 to December 1, 2014. Before joining UniCredit, he worked for 8 years at Deutsche Bank where he managed Compliance activities in a number of European countries covering Italy, Belgium, Poland, Portugal and Spain.

TJ Lim

Mr. TJ Lim serves as Group Chief Risk Officer of UniCredit S.p.A. since October 1, 2017. He started his banking career at JP Morgan in 1983 where he was a key member of the original group which started the successful swap business at JP Morgan. He covered the role of European Head of Fixed Income at UBS and moved to Dresdner Kleinwort Benson reaching the role of Co-Head of the Global Markets Division and member of the Management Board. At Merrill Lynch he was Managing Director and Head of Merrill Lynch's International Debt Markets and a member of the Executive Management Committee for Merrill Lynch Europe Middle East and Africa. Tj was a founder and CEO of New Smith Financial Products, the Credit Advisory arm of New Smith Capital Partners, which specializes in restructuring and Collateralized Debt Obligation workouts and event-driven Structured Finance. Tj joined UniCredit Group in 2008, following the acquisition of NSFP. Since the beginning he has covered the role of Global Head of Markets at Corporate & Investment Banking Division. Starting from October 2016 he was appointed as Group Deputy Chief Risk Officer. He was in charge of orchestrating the management and disposals of Non-Performing Loans, Repossessed Assets, Bad Loans and any Distressed Assets. He was the single point of contact for the Group for defining market solutions and exits. In July 2017 Tj became also responsible for the new Group NPE (non performing exposure) structure. In September 2017, in connection with the reorganization of the risk management function, he was appointed, - effective 1st October 2017 - as Group Chief Risk Officer in charge of the Group Risk Management activities, with a specific focus on strategic steering of risks at Group level and the definition of Risk Management policies and guidelines. TJ is member of UniCredit's Executive Management Committee with the Senior Executive Vice President title.

Paolo Cornetta

Mr. Paolo Cornetta serves as Group Head of Human Capital of the Company. Paolo started his career in 1987 with Credito Italiano. After covering various position in the commercial banking area, in 1992 he entered Human Resources as assistant HR Manager. In July 1994 he left Credito Italiano, to join Banca Agricola Mantovana where he remained till 1999 as Head of HR Development. Between 2000 and 2004 he was Head of Human Resources of ING Group Italy. When, in March 2004, part of ING was acquired and merged in UniCredit, he was appointed as Head of HR New Europe. In November 2005 he became Head of Executive Development and from January 2008 he was given responsibility also on Compensation & Benefits, as Head of Executive Development & Compensation. From July 2009 he has been appointed as Head of HR F&SME SBA, becoming also, from 1st Nov. 2010, Head of HR Italy. From December 15th, 2010 he is Head of Group Human Resources and member of the Group Executive Management Committee. In September 2016 he also assumed the responsibility for the Organization function. He holds the Group title of Senior Executive Vice President.

Maurizio Beretta

Mr. Maurizio Beretta serves as Head of Group Institutional Affairs & Sustainability of the Company., since April 2018. Maurizio Beretta began his career at RAI as a reporter and special correspondent. He was formerly a journalist who worked for RAI, Italy's radio and television public service broadcaster, for more than 20 years, serving as director of RAI 1 and, prior to that, deputy director of TG1. He joined the Fiat Group in 2001 as Head of Communications and External Relations and from 2003 to 2004 as Director of Institutional and International Relations. He has extensive experience in Italy's industrial sector, having worked as General Manager of Confindustria from 2004 to 2009 and as Member of the Board of CNEL. From 2009 to 2017 he was the Deputy Vice President of Federazione Italiana Giuoco Calcio and the Chairman of Lega Calcio Serie A. In March 2011 Maurizio Beretta was appointed Head of Group Identity & Communications for UniCredit. On April 2018 he was promoted to Group Head of Institutional Affairs & Sustainability and Chairman of the merged UniCredit Foundation.

Gianfranco Bisagni

Mr. Gianfranco Bisagni serves as Co-CEO Commercial Banking, Central Eastern Europe of the Company. he was Co-Head of CIB Division at UniCredit, Societa per. He holds a degree in Economics and Business Administration with Distinction from Royal Melbourne Institute of Technology (RMTI), Hong Kong Campus. He joined UniCredit Group in 1977 in Genoa and La Spezia and has since then held various positions in the Group, including Head of Corporate Banking Asia Pacific & Chief Manager HK Branch, Head of CIB CEE and Deputy Head of CEE Division. He was most recently Deputy Head of CIB.

Marco Bizzozero

Mr. Marco Bizzozero serves as CEO of Group Wealth Management of the Company. he was Head of Group Wealth Management of UniCredit S.p.A. Marco Bizzozero began his career at UBS in 1994, where he remained till 2002 working in the M&A, Investment Banking and Private Equity areas in Switzerland, UK and USA. After a two year experience at LGT Capital Partners as Head of Private Equity Secondary Investments, in 2004 he moved to Deutsche Bank in Switzerland as Global Head of Private Equity Investments. In 2009 he was appointed Head of Wealth Management EMEA, CEO Deutsche Bank (Switzerland) Ltd and member of Deutsche Bank Wealth Management Global Executive Committee, positions covered till 2017. In March 2018 he joined UniCredit S.p.A. as Head of Group Wealth Management with the Senior Executive Vice President group title.He is permanent guest of UniCredit's Executive Management Committee.

Andrea Casini

Mr. Andrea Casini serves as Co-CEO Commercial Banking Italy of the Company. In 1980 he started his career at UniCredit Group, former Credito Italiano, holding various key roles in the Italian commercial network until 1987. He worked with increasing responsibilities at the branches of Brescia, Venezia, Roma, Thiene, Udine e Firenze. In 1999 he took over responsibility for the implementation of the new Corporate service model in the 7 federated banks of the Group. In 2001, due to the expansion of the Group in Central Eastern Europe, he was appointed manager in the Corporate area of the New Europe Division. In 2002 he started his career abroad as Vice-Chairman of the Board and COO of Unibank in Slovakia. Subsequently, in 2005, he played the same role at the Zivnostenska Banka in Czech Republic. In 2006, after the merger between UniCredit Group and HVB, he took over responsibility for the integration of the three banks of the group in Bulgaria. He was appointed as a member of the Board of Directors first, with responsibility for the business; since 2008 he held the role of,Vice-Chairman of the Board and General Manager of UniCredit Bulbank. On1st September 2016 he became Co-Head of UniCredit commercial bank network in Italy with a particular focus on the Retail business.

Serenella De Candia

Ms. Serenella De Candia serves as Head of Internal Audit of the Company. She holds a degree in Economics from Universita Cattolica di Milano and she holds the certificate of "Dottore Commercialista". She joined UniCredit Group in 2000 were she was involved on audit activities on Italian financial subsidiaries. She has, since then, held various positions both in UniCredit S.p.A. and in UniCredit Audit. In particular in UniCredit Audit she was COO, General Manager and in 2012 CEO. In 2013, subsequently to the merge of UniCredit Audit with UniCredit S.p.A., she was appointed Head of Country Italy Network Audit. Most recently she was Head of Group Audit. Outside the Group, she was Head of Internal Audit in Banca Mediolanum from 2008 to 2010. She started her career in 1994 as a consultant at Arthur Andersen.

Wouter Devriendt

Mr. Wouter Devriendt serves as Head of Finance & Accounts of the Company. Wouter Devriendt holds an MBA from the Rotterdam School of Management (1992) as well as a Master's degree in applied economics from the Catholic University of Louvain (KU Leuven) in Belgium (1989). He has broad experience in the financial sector from business development to organisational transformation coupled with a truly global professional track record, effective stakeholder management and an extensive network across regulatory, banking and advisory communities. Between 1993 and 2011, he gained extensive international experience with ABN AMRO (Amsterdam, London, Prague, Houston, Ecuador and Sydney) and Fortis (Brussels and Amsterdam). From 2011 to 2016, he primarily acted as an independent adviser to the Belgian Federal Holding and Investment Company, where he was responsible for the management of the Belgian State's investments in the financial sector. From 2012 to 2016, Wouter was a member of the Board of Directors of Belfius and from 2013 to 2016, he was also Chairman of the Board of Directors of Amsterdam Trade Bank. From 2014 to 2016, he was a member of the General Council of the Hellenic Financial Stability Fund which aims to contribute to the stability of the Greek banking system. Since May 2016, he has been Chief Executive Officer of Dexia (Brussels) and of Dexia Crédit Local (Paris).

Michael Diederich

Dr. Michael Diederich serves as CEO Commercial Banking Germany of the Company. Michael Diederich joined Bayerische Vereinsbank AG (now UniCredit Bank AG) in 1996, after a three year experience in a consulting and auditing firm. He started as a Trainee in International Markets, worked in the equity capital markets syndicate and served as an Executive Assistant for the Corporate Customer Division until the end of 2000. Following three years of work at Communication Equity Associates in Munich, he re-joined UniCredit Bank AG in 2003, holding various responsibilities in the Markets and Investment Banking Division. In 2009 Michael Diederich became a divisional board member of UniCredit Bank AG in the Corporate & Investment Banking Division, followed by the Unternehmer Bank Division. Here he headed the large corporate segment for the bank. In September 2015, after a brief experience as CEO of Euler Hermes Kreditversicherung AG, he was appointed member of the Management Board of UniCredit Bank AG in charge of the Corporate & Investment Banking Division as well as member of the Executive Committee of CIB UniCredit S.p.A. On January 1, 2018 he took over the role of Spokesman of the Management Board at UniCredit Bank AG and Country Chairman Germany at UniCredit S.p.A. As such he is member of UniCredit S.p.A.'s Executive Management Committee with the Group title of Senior Executive Vice President. Francesco Giordano

Mr. Francesco Giordano serves as Co-CEO - Commercial Banking WEu of the Company. He is in this position since September 1, 2016. He holds a Bachelors degree in Economics from Universita degli Studi di Genova and a Masters in Economics from University of Warwick, UK. He joined UniCredit Group in 2000 as Head of Research. He has since then held various positions in the Group, including Head of Group Planning, Research and Strategy and CFO and Head of Marketing and Strategy for the Corporate and Investment Banking Division. From 2011 to 2015, he was CFO of Bank Austria, with responsibility also for CEE. Most recently he was CFO Finance and Member of the Management Board at UniCredit Bank AG/Hypovereinsbank in Germany. Prior to UniCredit, he was a senior Economist at Credit Suisse First Boston in London and before that he was working as an Economist at San Paolo Bank. He started his career in 1992 as an Economist at MMS/Standard & Poors.

Maximilian Hohenberg

Mr. Maximilian Hohenberg serves as Head of Group Identity & Communication of the Company. Max Hohenberg started his career in 1993 as a Project Manager for PKM GmbH leading economic development and humanitarian aid initiatives in the Balkans and Caucasus regions. From 1996 to 2002, he was Equity Capital Markets Associate at Schroder Salomon Smith Barney in London, working on the execution of international equity offerings with specific responsibility for German-speaking markets. In 2002 Max joined CNC Communication & Network Consulting, a leading international communications consultancy headquartered in Munich. In 2012 he was appointed Partner with overall responsibility for the implantation of political and corporate communication strategies for both nations and large institutions. He gained extensive advisory experience in political communications, corporate communications, IR and crisis communication management. Max is an Austrian national who in addition to German, speaks fluent English, Italian and French. He holds a Master's Degree from the London School of Economics. Max joined UniCredit in May 2018 as Head of Group Identity & Communication and participates in the Group Executive Management Committee. EDUCATION Master's degree at the London School of Economics.

Olivier Khayat

Mr. Olivier Khayat serves as Co-CEO - Commercial Banking WEU of the Company. he was Co-Head of CIB Division at UniCredit, Societa per Azioni since September 1, 2016. He holds a Masters degree in Economics from Ecole Nationale de la Statistique et de l'Administration de l'Economie (ENSAE) and a Masters degree in Engineering from Ecole Polytechnique, France. He joined UniCredit Group in 2012 as Deputy Head of CIB. Prior to this he held various positions at the Corporate and Investment Banking arm of Societe General in London and Paris, including being Advisor to Head of Investoirs services, board member of Newedge and Board member of TCW as well as being head of Fixed income, Currencies and Commodities.

Finja Kutz

Ms. Finja Carolin Kutz serves as Deputy COO, Group Chief Transformation Officer of the Company. Finja Carolin Kütz began her career at Oliver Wyman in 1997, promoted to Partner in 2004 advising leading global and local financial services firms. From 2004 to 2010, Finja was Head of the Munich Office Financial Services. In addition, during 2007, she was also appointed Global Head of Marketing and Strategy Financial Services. In 2011, Finja was appointed as Leader of Financial Services for Germany, Switzerland and Austria (DACH). In September 2015 she was appointed CEO Germany, Austria and Luxembourg. In 2018, Finja joined UniCredit as Group Chief Transformation Officer. From 2019, she also covers the position of Deputy COO.

Aurelio Maccario

Mr. Aurelio Maccario serves as Chief Lending Officer of the Company., since 2015. Aurelio Maccario started his career in 2000 when he joined the Fondo Interbancario di Tutela dei Depositi (FITD) as banking analyst. He joined UniCredit in 2002 as an economist in the Research department of the Corporate & Investment Banking (CIB) Division. He covered different roles until 2005 when he was appointed Chief Eurozone Economist. In 2010, he became Head of Group Strategic Planning, within the Planning Finance & Administration area, directly supervising also the CEE Division strategy out of Vienna. In 2013 he moved to the Group Risk Management Division, taking over the responsibility for the Pillar 2 related activities (Risk Appetite, ICAAP, Stress test, credit strategies) and the monitoring of the consolidated credit risk profile. Since the beginning of 2015, Aurelio is Executive Vice President, responsible for Group Regulatory Affairs. In his capacity, he supports the CEO in the definition of the Group regulatory strategy and manages the relations with the European Central Bank, the Single Resolution Board, the Bank of Italy and all the other competent authorities. He is member of the Supervisory Board of Zagrebacka Banka, Croatia.

Andrea Maffezzoni

Mr. Andrea Maffezzon serves as Head of Strategy and M&A of UniCredit S.p.A. since April 1, 2018. Following an experience as researcher and lecturer at Bocconi, Andrea Maffezzoni joined UniCredit in 1998. Within the Group M&A team, he worked on the definition and implementation of the main acquisition and reorganization projects carried out by the Group until 2008, including the expansion into CEE and the business combination with HVB. From 2008 to 2011, he led the Strategy and Planning unit of UniCredit Private Banking Division, focusing amongst others on the definition of the new European business model and the development of the Division's internal and external growth strategies, before moving to the Planning Department in April 2011, where he was Head of F&SME Planning. In November 2012 he became Head of Group Investor Relations. In September 2013 he was appointed Head of Group Planning, Strategy and Capital Management, covering at the same time and ad interim the IR position until June 2014, and having therefore the chance to work on the Group Multi Year Plan 13-18 both from a strategy and a communication perspective. From October 2015, he served as Head of Strategy, Business Development and M&A Department, focusing on Business Development activity such as Bancassurance, Credit Cards and the Strategic Review, completed in December 2016. On April 1st, Andrea has been appointed Head of Strategy and M&A of UniCredit Spa. He's currently member of the Board of Directors of CNP Vita S.p.A. and ABH Holdings S.A.

Stefano Porro

Mr. Stefano Porro began is Co-Group Chief Financial Officer of the Company. in his career in 1999 in KPMG as an Audit Analyst in Banking, Insurance & Financial Institutions. He then moved to Allianz Group where, after covering different roles, he was appointed Head of Corporate Finance & Financial Markets of RAS in 2004. He was a member of the RAS Private Equity Partners Fund and a board member of CityLife. In 2006, Stefano joined UniCredit as Head of Active Balance Sheet Management in the Group Finance Department. From 2009 to 2015, he led the Group ALM & Financial Planning before becoming Head of Group Planning & Capital Management. He was also appointed board member of UniCredit Employees Pension Fund and UniCredit Bank S.A. From 2017, he was the Head of Group Administrative & Analytics Office (GAAO), coordinating Accounting & Regulatory Reporting, Group Tax Affairs, Group Data Office and PF&A process support activities. He was also appointed as "Dirigente Preposto" for UniCredit Group (manager charged with preparing the company financial reports). In March 2019, as a result of the combination of the GAAO and Group Chief Financial Office areas, Stefano was appointed co-Group Group Chief Financial Officer at UniCredit, with an enlarged role also covering Group Planning & Controlling, Group Finance, Group Shareholdings, Group Investor Relations and responsible for CFOs activities in the Group, while maintaining the position of "Dirigente Preposto", supervisory board member of UniCredit Bank S.A. and board member of the Italian Interbank Deposit Protection Fund. He is a member of UniCredit's Executive Management Committee.

Niccolo Ubertalli

Mr. Niccolo Ubertalli serves as Co-CEO - Commercial Banking CEE of the Company. From 2004-2006, Niccolò was First Vice President in MBNA (USA and UK). In 2006, he relocated to Bulgaria where he started UniCredit Consumer Financing as Chairman and Executive Director. In 2009, he moved back to Italy as Chief of Staff for Group CEO, followed by the role of Head of Group Consumer Finance between 2011-2012. Niccolò moved to Romania in 2012, where he assumed the position of Deputy CEO at UniCredit Tiriac Bank. During his time, he was a member of the UniCredit Tiriac management board as well as a member of the supervisory boards for Pioneer Investments, UniCredit Consumer Finance Bulgaria, UniCredit Consumer Finance Romania and Ergo Asigurari de Viata S.A. Romania. From 2015-2019, he continued his career in Yapi Kredi as executive director and Deputy Chief Executive Officer. In addition, Niccolò held board positions in various Yapi Kredi Group subsidiaries. In 2019, he was appointed co-CEO Commercial Banking, CEE. He is member of the UniCredit Executive Management Committee.

Carlo Vivaldi

Hr. Carlo Vivaldi serves as Co-Chief Operating Officer of the Company., since February 16, 2015. He holds a degree in Business Administration from Universita Ca Foscari di Venezia and has started his career in 1991 as a teller in UniCredit Group in Cassamarca, one of the four banks which merged into UniCredit in 1998. At that time he moved in Group's Planning and Control and then after a brief experience in contributing to the development of Group's internet strategy, in 2000 he moved under the newly established New Europe Division as responsible for Planning and Control, contributing to the expansion of UniCredit in the region. At the end of 2002, he moved to Turkey and pursued the position of Chief Financial Officer and Executive Vice President at KFS and Yapi Kredi in addition to memberships of the Board of Directors at some Group subsidiaries until September 2007. At that time he actively contributed to the largest merger in the turkish banking history between Kocbank and the newly acquired YapiKredi Bank. In October 2007, he was appointed as Member of the Management Board and Chief Financial Officer at UniCredit Bank Austria AG (covering Austria and the CEE countries of UniCredit) and started to serve in several other Supervisory Boards in CEE subsidiaries of UniCredit Group (UniCredit Bank Czech Republic A.S. and Unicredit Bank Slovakia as Chairman, Zagrebacka Banka D.D., UniCredit Tiriac Bank S.A., JSC ATF Bank Kazakhstan, and UGIS). In May 2009, Carlo Vivaldi was appointed as member of the Board of Directors at Yapi Kredi and, in January 2011, UniCredit representative for Turkey in the position of Executive Director and Deputy CEO in Yapi Kredi (4th turkish private bank with € 60b of assets, 10m customers, 1.000 branches and 18.000 employees). Robert Zadrazil

Mr. Robert Zadrazil serves as CEO of Commercial Banking Austria of the Company. he was serves as Country Chairman Austria at UniCredit, Societa per Azioni. He graduated from Vienna's TGM - the Federal Technical Institute for Higher Education and Experimentation - in Information Technology and Electronics in 1990. He joined Bank Austria Creditanstalt as Deputy Head of Retail Banking Organisation in December 2001 and was later appointed Head of Overall Bank Organisation. In January 2004 Zadrazil became Head of Organisation/IT Management Division and one year later he was named Head of Austria and CEE Organisation/ IT Management Division. In January 2006 Zadrazil was appointed Member of the Management Board of BA-CA as Chief Operating Officer (COO), Global Banking Services. In August 2007 he was appointed Head of UniCredit GBS CEE, with responsibility for all GBS activities of UniCredit branch offices in Central and Eastern Europe in addition to being a member of the Management Board of Bank Austria Creditanstalt AG (BA-CA). In June 2009 Zadrazil became Chief Executive Officer of the subsidiary Schoellerbank AG, a position he held until April 2012. In October 2011 he returned to Bank Austria as Member of the Management Board of UniCredit Bank Austria AG, with responsibility for Private Banking. Since March 2016 he has been Chief Executive Officer of UniCredit Bank Austria AG and, additionally, President of the Austrian Bankers' Association.

Mr. Gianpaolo Alessandro serves as Head of Group Legal - Secretary of the Board of Directors at UniCredit S.p.A. He started his career as a lawyer in Milan in 1996 and worked at major international and Italian law firms in Milan and in London until 2005.In September 2005 he started working for M.T.S. S.p.A. (Wholesale Fixed Income Market) as Head of Legal & Compliance and Secretary of the Management Board. Following MTS's integration into Borsa Italiana - London Stock Exchange Group, he became also responsible for the legal function in support of Borsa Italiana's Business Lines. Between 2005 and 2009, within the group, he was member of the Management Board of M.T.S S.p.A., member of the Supervisory Board of MTS Germany and Executive Director of EuroMTS Ltd. In 2009 he joined General Electric as General Counsel and Secretary of the Board of Directors of GE Capital in Italy with Legal & Compliance responsibility and as a member of the Senior Leadership Team for GE Capital Interbanca banking group. In September 2013 he was hired by UniCredit S.p.A. as Head of Corporate Affairs and Board Secretary Office and on the 1st December 2014 he was appointed as Co-Head of Group Legal, keeping at the same time the responsibility as Secretary of the Board of Directors. She has a background in teaching and research and currently she is Full Professor of Finance at Bocconi University focused on finance, financial intermediation, financial crises and regulation. Ms. Carletti is also the Founding and Scientific Director of the Florence School of Banking and Finance (FBF) at the European University Institute and a member of the Advisory Scientific Committee of the European Systemic Risk Board.
