Name Description

Chris Peeters

Prof. Dr. Chris Peeters has served as Chairman of the Management Committee, Chief Executive Officer of Elia System Operator N.V. since July 6, 2015. From February 2012 to June 2015 he was Director Europe/Africa/Middle-East/Russia for the Business Consulting division at Schlumberger. Between January 1998 and February 2012 he was Partner at McKinsey&Company and from April 1996 and January 1998 he acted as Sales & Technical Manager Benelux/Northern France/Czech Republic at Hoogovens Aluminum. Moreover, from November 1991 to April 1996 he was Co-Founder of Altro Steel and served as independent construction engineer between August 1989 and November 1991. He holds M.Sc. degree in Engineering from Katholieke Universiteit Leuven (1989).

Bernard Gustin

Mr. Bernard Gustin has served as Independent Non-Executive Chairman of the Board of Elia System Operator N.V. since December 21, 2017. He served as Independent Non-Executive Director of the Company between May 16, 2017 and December 21, 2017. He is Member of the Strategic Committee of the Company.

Catherine Vandenborre

Mrs. Catherine Vandenborre has served as Chief Financial Officer, Member of the Management Committee of Elia System Operator N.V. since 2014. Prior to that, she was Member of the Management Committee, Chief Corporate Officer, Acting Chief Financial Officer from September 4, 2013; and Member of the Management Committee, Chief Corporate Officer at the Company from July 1, 2012. She previously held the position of Chief Executive Officer at Belpex. In 2011 she joined the Management Board of the APX-Endex group. Prior to her career at the Company, she worked as auditor at Coopers & Lybrand and controller at OCCH. She is Member of the Boards and Chairwoman of the audit committees of Eurogrid International and Contassur. She is also Independent Member of the Board of Proximus. She holds a degree in Business Economics from Universite Catholique de Louvaine as well as degrees in tax law and management of financial risks. She attended the International Executive Program at Insead.

Frederic Dunon

Mr. Frederic Dunon has served as Chief Assets Officer/Chief Operations, Maintenance & Methods Officer; Member of the Management Committee of Elia System Operator N.V. since January 2014. He began his career at Hewlett Packard, working in the Consulting Department. In 2001, he joined Elia at the Brussels Regional Control Centre. He has been in charge of Program Management for three years and Grid Development for five years. During this period he represented Elia on ENTSO-E’s System Development Committee (the European association of transmission system operators). He has been in charge of Grid Operation Management for one year. Mr. Dunon holds a civil engineering degree from ULB (Universite Libre de Bruxelles), a Master’s degree from the Solvay Business School and a Master’s degree in Energy from the EEI (European Energy Institute).

Peter Michiels

Mr. Peter Michiels has served as Chief Human Resources & Internal Communication Officer, Member of the Management Committee of Elia System Operator N.V. since January 3, 2017. He joined Elia as Chief Human Resources & Internal Communication Officer on 1 January 2017. Peter Michiels has many years of experience in the field of human resources. He started his career in 1990 as consultant for VEV, now SD Worx. In 1995 he leaves for the British multinational chemistry group ICI, where he successively fills the positions of Head of Payroll & Admin (1995-1996), HR Lead for Headquarters and other ICI operations in Belgium (1996-1997), and finally HR Director Europe (1997-1999). In 1999 ICI is acquired by Huntsman. Peter Michiels retains his position until 2004, when he is promoted to Corporate HR Director - EMEA for the entire Huntsman group. As of 2009, he was also Global Business Partner. In 2013, Peter Michiels leaves for Esko (a division of American group Danaher), where he becomes Global Vice President HR until late 2016, after which he joined Elia.

Yannick Dekoninck

Markus Berger

Mr. Markus Berger has served as Chief Infrastructure Officer, Member of the Management Committee of Elia System Operator N.V. since 2015. Prior to that, he was Member of the Management Committee, Chief Officer Asset Management and Chief Officer Infrastructure Development of the Company. He earned his degree in Civil Electromechanical Engineering from the Universite Libre de Bruxelles (ULB) and in 2002 he earned executive Master's degree in Management and Business Administration from Ecole de Commerce E.Solvay (Solvay Business School). He began his career in 1988 with Laborelec as System Engineer and in 1996 was appointed Project Engineer at Electrabel. He joined the organization that was put in place in 1999 to prepare the creation of Elia (June 2001) and from 2001 to 2002 was in charge of the Maintenance Services for the Southern part of the country. From 2002 to 2003 he was Head of the Sales Department. From 2004 to end October 2008 he was Chief Officer Grid Services. As from November 2008 he heads Elia Engineering. He also sits on the Investment Committee of Eurogrid International, the holding company created by Elia and Industry Fund Management for their joint acquisition of 50 Hertz. Mr. Berger is also a Board Member of UWE (Union Wallonne des Entreprises), UWEL (Union Wallone des Entreprises de Liege), Bemas, Ampacimon and the CIGRE association.

Patrick De Leener

Mr. Patrick De Leener has served as Chief Customers, Market & System Officer; Member of the Management Committee of Elia System Operator N.V. since February 1, 2017. A qualified civil engineer, Mr. De Leener's career began in 1988 at Intercom, where he was responsible for medium and low voltage electricity distribution in the Brussels-Capital Region. He moved to Tractebel in 1990 and worked as a Project Engineer for the next nine years. He then took on the role of Key Account Manager at CPTE/Elia for energy intensive industry and DSOs in the Region of Flanders. He was one of Elia's first employees, becoming Head of Market Mechanisms & Tariffs in 2002, before serving as Head of Grid Services Areas Nord (2004- 2007), Head of National Control Centre (2007-2010) and, lastly, Head of Energy Management (2011-2012). He spent almost four years (2013-2016) as CEO of Coreso, the technical coordination centre for the high-voltage electricity system in Central West Europe, in which Elia is shareholder.

Ilse Tant

Ms. Ilse Tant has served as Chief Public Acceptance Officer, Member of the Management Committee of Elia System Operator N.V. since 2017. Prior to that, she was Member of the Management Committee, Chief Human Resources and Internal Communication Officer at the Company. She has been Chief Corporate Officer at the Company since January 2014. In this capacity she is responsible for the following departments: Legal, Public & Regulatory Affairs, Communications, Human Resources, Corporate & Social Responsibility, Permits, Property, Environment & Facilities. She previously ran the "Seagrids" projects: Stevin, the new 380-kV high-voltage line in the coastal region; Nemo, an interconnection with the UK; and the Belgian Offshore Grid (BOG). In 1997, she began her career as a lawyer at Stibbe, a Benelux law firm specialized in practicing international commercial law. She joined Elia as Senior Legal Advisor in 2002, served as Senior Regulatory Business Analyst from 2007 to 2009, and was then placed in charge of Permits, Environment and Property as Senior Manager from 2009 to 2013. Ms. Tant also ran the Belgian Electricity Exchange (BelPex) for 5 years, from 2005 to 2010. She took a middle management training program at Vlerick Business School and holds a Master’s degree in law from Katholieke Universiteit Leuven (KUL) and Northwestern University in Chicago. She also obtained a philosophy degree at Katholieke Universiteit Leuven.

Cecile Flandre

Ms. Cecile Flandre has served as Non-Executive Director of Elia System Operator N.V. since May 21, 2013. She has been Chief Financial Officer of Belfius Insurance. A mathematician and actuary, she has previously held various positions in the financial sector and in the supervision of insurance companies at the National Bank of Belgium.

Claude Gregoire

Mr. Claude Gregoire has served as Non-Executive Director of Elia System Operator N.V. since December 21, 2017. He was Acting Chairman of the Board of the Company between May 16, 2017 and December 21, 2017. He was Vice Chairman of the Board of the Company from June 26, 2014 to May 16, 2017. Dominique Offergeld

Ms. Dominique Offergeld serves as Non-Executive Director of Elia System Operator N.V. She is Member of the Audit Committee, and Member of the Remuneration Committee of the Company. She has a degree in economics and social science (specialization: public economics) from Notre Dame de Namur University. She has taken various extra-academic programs, including the General Management Program at Cedep (INSEAD) in Fontainebleau (France). She started her career at Generale de Banque (now BNP Paribas Fortis) in the corporate finance department in 1988, and was subsequently appointed as specialist advisor to the vice-president and minister for economic affairs of the Walloon Region in 1999. In 2001 she became advisor to the Deputy Prime Minister and Minister for Foreign Affairs. Between 2004 and 2005, she was deputy director of the office of the minister for energy, subsequently becoming general advisor to the SNCB holding company in 2005. She was Chief Financial Officer of ORES SCRL between 2008 and 2014. She was previously director of (among others) Publigas and government commissioner at Fluxys. She was also Chairwoman of the Board of Directors and Audit Committee of SNCB. Since the end of October 2014 she has been Director of the Minister for Mobility’s Strategy Unit, with responsibility for Belgocontrol and the SNCB.

Rudy Provoost

Mr. Rudy Provoost has served as Non-Executive Director of Elia System Operator N.V. since May 16, 2017. He is Member of the Audit Committee, and Chairman of the Strategic Committee of the Company. He holds a degree in Psychology from Universiteit Gent, and an MBA from Universiteit Gent.

Geert Versnick

Mr. Geert Versnick has served as Non-Executive Director of Elia System Operator N.V. since May 16, 2017. He was appointed upon proposal of Publi-T. He was Vice Chairman of the Board of the Company from June 26, 2014 to May 16, 2017. He was Member of the Audit Committee of the Company. He is Member of the Strategic Committee of the Company.

Michel Alle

Mr. Michel Alle has served as Independent Non-Executive Director of Elia System Operator N.V. since May 17, 2016. He was appointed acting chairman of the audit committee from 22 June 2017. He has degrees in physics civil engineering and economics (both from Universite Libre de Bruxelles). Alongside his academic career as a professor of economics and finance (Solvay Brussels School, ULB’s Ecole Polytechnique), he worked for many years as a Chief Financial Officer. In 1979, he began his career at the Belgian Prime Minister’s Office, as an advisor in the Science Policy Office. He was appointed Director of the National Energy R&D Program in 1982 and then Director in charge of Innovative Companies. In 1987, he joined the Cobepa group, where he held many positions including Vice President of Mosane from 1992 to 1995. From 1995 to 2000, he was a member of the Cobepa group’s Executive Committee. He then served as Chief Financial Officer of BIAC between 2001 and 2005 and Chief Financial Officer of SNCB (Belgian Railways) between 2005 and 2015. He also has extensive experience as a director, including past and present roles at Telenet, Zetes, Eurvest, Mobistar and D’Ieteren. He has served on the Telenet Audit Committee and chaired the Zetes Audit Committee.

Luc De Temmerman

Dr. Luc De Temmerman has served as Independent Non-Executive Director of Elia System Operator N.V. since May 20, 2014. He is Member of the Corporate Governance Committee, and Chairman of the Remuneration Committee (as of October 22, 2015) of the Company. He holds a Master of Science in Chemical Engineering from Katholieke Universiteit Leuven, and a Doctorate in Philosophy degree in Applied Science from Katholieke Universiteit Leuven.

Frank Donck

Mr. Frank Donck has served as Independent Non-Executive Director of Elia System Operator N.V. since May 20, 2014. He is Member of the Corporate Governance Committee, and Member of the Audit Committee of the Company. He holds a Masters degree in Law from Universiteit Gent, and a Masters degree in Financial Management from Vlerick Management School.

Ms. Jane Murphy has served as Independent Non-Executive Director of Elia System Operator N.V. since February 10, 2010. She has been a Lawyer and has worked in a law firm in Lydian. She is Member of the Company's Corporate Governance Committee (as of February 25, 2010). She holds a Masters degree in Law from Universite Libre de Bruxelles, a Masters degree in Law from Universite Laval, and a Master of Legal Letters degree from Vrije Universiteit Brussel.
