Name Description

Edward Shapiro

Mr. Edward L. Shapiro is Chairman of the Board of Global Eagle Entertainment Inc. Mr. Shapiro is a Managing Partner of PAR Capital Management, Inc., a Boston-based investment management firm specializing in investments in travel, media and Internet-related companies. Prior to joining PAR Capital in 1997, Mr. Shapiro was a Vice President at Wellington Management Company, LLP, and before that an Analyst at Morgan Stanley & Co. He previously served on the board of US Airways from 2005 to 2008.

Jeffrey Leddy

Mr. Jeffrey A. Leddy is Chief Executive Officer, Director of Global Eagle Entertainment Inc. He was Interim Principal Financial Officer of the Company. Mr. Leddy served as the Chief Executive Officer of Verizon Telematics, Inc. (f/k/a Hughes Telematics, Inc. prior to its acquisition by Verizon, Inc. in July 2012) from December 2006 until January 2015 and has served as a member of its Board of Directors since March 2006. From April 2003 through December 2006, Mr. Leddy served as Chief Executive Officer and President of SkyTerra Communications, Inc. (“SkyTerra”) and on the Board of Directors of SkyTerra from 2006 to 2008. Prior to that, Mr. Leddy served as the President and Chief Operating Officer of SkyTerra from October 2002 and its Senior Vice President of Operations from June 2002. From September 1980 to December 2001, Mr. Leddy worked for EMS Technologies serving most recently as Vice President. From 2005 to 2011, Mr. Leddy served on the Board of Directors of Hughes Communications, Inc. and Hughes Systique Corporation and on the board of managers of Hughes Network Systems, LLC.

Paul Rainey

Mr. Paul Rainey serves as Chief Financial Officer, Executive Vice President of the Company. He previously served as Chief Financial Officer of Harris CapRock Communications from May 2014 to April 2017. Prior to Harris CapRock, Mr. Rainey served as Chief Financial Officer of General Electric’s Lighting Professional Solutions business from March 2013 to April 2014 and as Chief Financial Officer of its Power Equipment business from March 2010 to February 2013. Prior to March 2010, Mr. Rainey served in two senior financial planning and analysis roles at General Electric from January 2007 to March 2010 and from October 2003 to October 2005. Between those appointments, Mr. Rainey served as a FamilyLife missionary from November 2005 to December 2006. Mr. Rainey currently serves on the boards of directors of Cutwell 4 Kids and America Responds with Love, and previously served on the boards of directors of Hesed Consulting, Georgia CASA and the Notre Dame Business Advisory Council. Mr. Rainey received a M.S. in Accountancy and a BBA in Finance and Computer Applications from the University of Notre Dame.

Wale Adepoju

Mr. Wale Adepoju is Executive Vice President, Chief Commercial Officer of Global Eagle Entertainment Inc. Mr. Adepoju was Chief Operating Officer of AIA. While at AIA, Mr. Adepoju led the performance growth across the AIA group of companies covering all aspects of in-flight entertainment content, services and applications for airline passengers. From July 2012 to May 2014, Mr. Adepoju also served in management roles for certain of our indirect subsidiaries, including service as Chairman of Inflight Productions Ltd. and President of DTI Software. From April 2012 to August 2013, Mr. Adepoju served as Chief Strategy Officer at AIA. From May 2000 to April 2012, Mr. Adepoju served as Managing Director at IMDC Aviation Consulting, an organization that advises companies on optimizing investment in passenger systems. Prior to IMDC, Mr. Adepoju served as Director of Strategy at Spafax, an international content marketing agency with a focus on inflight magazines. Earlier in his career, Mr. Adepoju worked as an air transport analyst providing key investment advice on Aerospace companies and products. This included new aircraft analysis, re-engine and retrofit analysis. Mr. Adepoju was part of the investment team that successfully executed the turnaround and sale of Thermal Engineering — an aero engine parts supplier.

Stephen Ballas

Mr. Stephen Ballas is Senior Vice President, General Counsel, Secretary of the company. He joins GEE following a successful and impressive track record in corporate law, most recently serving as a Senior Vice President and Deputy General Counsel for CBRE Group, Inc. since 2013, where he managed CBRE's mergers-and-acquisitions, securities law, corporate finance and corporate governance functions. Prior to that, Ballas served as Senior Counsel for CBRE Global Investors, the global organization's real estate investment management division, from 2011 to 2013. Ballas earned his B.A. in Economics from Duke University and his J.D. from Georgetown Law School.

Mike Douglass

Mr. Mike Douglass is Senior Vice President - Global Sales of Global Eagle Entertainment Inc. As the new SVP of Global Sales, Douglass will manage the worldwide sales organization for GEE. With his multiple decades of experience in the industry, Douglass has global relationships with nearly all of the 270+ airlines worldwide, providing a strong foundation to leverage GEE's integrated product offerings that include Connectivity Systems, Content Services, Digital Media Solutions and Operations Solutions. He will lead the consolidated sales and marketing efforts at GEE to offer a complete portfolio of products and services to GEE's mobility customers in aviation, maritime, and other away-from-home markets. Mike earned a BSBA and an MBA in Finance from the University of Missouri at Columbia, where he has also served as a guest professor and currently enjoys mentoring current students.

Jim Griffiths

Jim Griffiths is Senior Vice President - Content Purchasing and Distribution of Global Eagle Entertainment Inc. Griffiths has over thirty years of experience in senior leadership roles at entertainment groups and an extensive portfolio of expertise in the purchasing and distribution of movie and TV programming. Griffiths' impressive background includes serving as President of Worldwide Pay Television and International Home Video at 20 thCentury Fox, President of Worldwide Television Distribution at Metro Goldwyn Mayer, President of Playboy Entertainment Group and Managing Director of Star TV. More recently, Griffiths was Chief Executive Officer at GSD LLC, a consulting firm specialized in supporting international media companies with their business and growth strategies. While at GSD LLC, Griffiths partnered with renowned TV, film and theater producer Colin Callender on the television series "Dancing On The Edge" (Golden Globe winner), "White Queen" (Golden Globe nominee) and "Wolf Hall" premiering on Masterpiece Theater on April 5. During his tenure as Director of Business Development for CAA, Griffiths helped launch the Sundance Channel for actor Robert Redford.

Sarlina See

Ms. Sarlina See has been appointed as Chief Accounting Officer of the Company., effective May 15, 2017. She previously served as Global Business Unit Controller of Stanley Oil & Gas, which is a division of Stanley Black & Decker, Inc. (NYSE:SWK), from May 2013 to May 2017. From January 2008 through May 2013, Ms. See served as the Global Controller at Digital Energy, a division of GE Energy Connections (which is a business unit of General Electric Company (NYSE:GE)). Prior to that, Ms. See held other senior finance positions and audit roles at various General Electric Company business units from 1997 to 2007. Ms. See received a Bachelor of Business Administration in Accounting from Idaho State University and is a Certified Public Accountant.

Julian Gorniok

Julian Gorniok is Vice President - Integration and Operations Development of Global Eagle Entertainment Inc. Gorniok will assist GEE in identifying potential acquisition targets and manage GEE's integration strategy from the company's London office. Gorniok, will also support the development of GEE's Content business by managing the operational leadership of its UK-based content group. Gorniok has over twenty years of experience in M&A roles at Media and Entertainment organisations and Operations Management roles with primarily Media and Consumer products businesses. Prior to GEE, Gorniok was a leading M&A advisor in PwC's Media and Entertainment practice, focused on identifying and delivering value from deals. Whilst at PwC, Gorniok worked extensively with GEE on the pre and post deal stages of several acquisitions. He also worked with Private Equity clients on a number of pre and post deal acquisitions, and with Corporates on due diligence of international media companies and development of a digital media growth strategy for a leading print business. Gorniok has also worked for Ernst & Young, BSkyB, Coopers & Lybrand and GCap Media, where he was the M&A Integration Director during the merger of two of the UK's largest commercial radio operators, and leader of the post deal performance improvement.

Jeffrey Epstein

Mr. Jeffrey (Jeff) E. Epstein is Lead Independent Director of Global Eagle Entertainment Inc. Mr. Epstein is an Operating Partner at Bessemer Venture Partners, a venture capital firm, which he joined in November 2011. Mr. Epstein was Executive Vice President and Chief Financial Officer of Oracle Corporation (NYSE: ORCL) from September 2008 to April 2011. Mr. Epstein has served as a director of The Priceline Group (NASDAQ: PCLN) since April 2003, and is a member of the Audit Committee and the Compensation Committee of that company. Since April 2012, Mr. Epstein has served on the Board of Directors and as a member of the Audit Committee and the Nominating and Governance Committee of Shutterstock, Inc. (NYSE: SSTK), Mr. Epstein serves on the Board of Directors of Kaiser Permanente, a leading non-profit U.S. health care provider and health plan.

Louis Belanger-Martin

Mr. Louis Belanger-Martin is Director of Global Eagle Entertainment Inc. Mr. Bélanger-Martin has over 20 years of management, financial and business development experience. He served as AIA’s Chief Executive Officer from August 2011 to October 2013 and as a member of the Management Board of AIA from October 2010 to October 2013. Mr. Bélanger-Martin previously served as Chief Operating Officer of AIA from October 2010 to August 2011. From 1995 to October 2010, Mr. Bélanger-Martin served as Chief Executive Officer of DTI Software (“DTI”), a provider of in-flight entertainment software and services, which he co-founded and which was sold to AIA in 2008. Mr. Bélanger-Martin served in various roles at DTI, and currently remains on the Board of Directors of DTI. In 1998, Mr. Bélanger-Martin co-founded Groupe W Inc., a private equity firm of which he is currently a director. Mr. Bélanger-Martin is also a director of Sonifi Solutions, Inc. (formerly LodgeNet), a privately held interactive content and connectivity solutions provider, and Hybrid Paytech World Inc., a mobile credit, debit and ecouponing company that is publicly listed on The Canadian Securities Exchange.

Ronald Steger

Mr. Ronald Steger serves as Director of the Company. Mr. Steger has served on the boards of directors of Overseas Shipholding Group, Inc. (NYSE:OSG) since August 2014 and International Seaways Inc. (NYSE:INSW) since November 2016, and currently serves on the Audit Committee, Corporate Governance & Risk Assessment Committee and Human Resources and Compensation Committee of those boards. Since September 2015, Mr. Steger has served as the Senior Technical Advisor to the Effectus Group, an accounting advisory firm based in Silicon Valley. He has also served on the Advisory Board of ATREG, a global advisory firm specializing in the semiconductor and related advanced technology verticals, since February 2014. Mr. Steger began his career with KPMG in 1976 and was admitted into its partnership in 1986. He served as an SEC Reviewing Partner at KPMG from 2003 to 2013, and retired from KPMG in December 2013. Mr. Steger has a BS in Accounting from Villanova University.

Stephen Hasker

Mr. Stephen Hasker is a Independent Director of Global Eagle Entertainment Inc. Mr. Hasker has been Global President of Nielsen N.V. (NYSE: NLSN), an S&P 500 company that provides global performance management services relating to media viewing and consumer behavior, since 2009. Previously, he served as President, Global Products at Nielsen. Mr. Hasker joined Nielsen in 2009 from McKinsey & Company, where he was a partner in McKinsey’s Global Media, Entertainment and Information practice. In this role, Mr. Hasker was responsible for serving clients on issues of strategy, growth and innovation in television, syndicated information, filmed entertainment, sports, and digital advertising. Mr. Hasker joined McKinsey in 1998 and spent three years on the Partner Election Committee at the firm. Prior to McKinsey, Mr. Hasker spent five years in several financial roles in the U.S., Russia, and Australia.

Robert Reding

Mr. Robert W. Reding is an Independent Director of Global Eagle Entertainment Inc. From September 2007 until December 2012, Mr. Reding has been a consultant in the commercial airline industry since January 2012. From September 2007 until December 2012, Mr. Reding was Executive Vice President-Operations for American Airlines and Executive Vice President of AMR Corporation. Prior to that, Mr. Reding served as Senior Vice President-Technical Operations for American from May 2003 to September 2007. In November 2011, AMR Corporation filed for protection under Chapter 11 of the United States Bankruptcy Code pursuant to a pre-packaged plan of reorganization. Mr. Reding joined AMR Corporation in March 2000 and served as Chief Operations Officer of AMR Eagle through May 2003. Prior to joining AMR Corporation, Mr. Reding served as President and Chief Executive Officer of Reno Air from 1992 to 1998 and President and Chief Executive Officer of Canadian Regional Airlines from 1998 to March 2000. Mr. Reding is a distinguished graduate of the United States Air Force pilot training program and served as an officer and pilot flight examiner with the United States Air Force from 1972 to 1979. He has an FAA Air Transport Pilot Rating for Douglas DC-9-MD-80 and Boeing 737 series aircraft and has accumulated over 10,000 hours as a commercial pilot.

Jeffrey Sagansky

Mr. Jeffrey (Jeff) Sagansky has been an Independent Director of Global Eagle Entertainment Inc since January 31, 2013 and, on February 2, 2011, he became President of the Company. From January 2007 through December 2011, he served as Chairman of Elm Tree Partners, a private casino development company and from September 2007 to February 2009, he served as Co-Chairman of Peace Arch Entertainment Group, Inc., or Peace Arch, a Canadian production and sales company. He also served as interim chief executive officer of Peace Arch from November 2007 to July 2008. From December 2002 to August 2003, he was Vice Chairman of Paxson Communications Corporation, a television network and stations group. From 1998 to 2002, Mr. Sagansky served as Chief Executive Officer of Paxson Communications Corporation. Prior to joining Paxson Communications Corporation, Mr. Sagansky was Co-President of Sony Pictures Entertainment, or SPE, a motion picture, television, and home entertainment production and distribution company which is a subsidiary of Sony Corporation of America, or SCA, from 1996 to 1998 where he was responsible for SPE’s strategic planning and worldwide television operations. Prior to his position with SPE, Mr. Sagansky served as executive vice president of SCA, which he joined in 1994. Prior to joining SCA, Mr. Sagansky was President of CBS Entertainment, a television network, from 1990 to 1994. Mr. Sagansky previously served as president of production and then president of TriStar Pictures, a motion picture and television production and distribution company, from 1985 to 1989. He is currently a director of Scripps Networks Interactive, Inc., a publicly traded lifestyle media company, and serves on its audit committee and corporate governance committee.

Harry Sloan

Mr. Harry Evans Sloan is an Independent Director of Global Eagle Entertainment Inc. He was appointed by a consortium comprised of private equity investors, Comcast Corporation and Sony Corporation of America one year after they agreed to acquire MGM through a leveraged buyout in September 2004. MGM filed for protection under Chapter 11 of the United States Bankruptcy Code in November 2010 pursuant to a pre-packaged plan of reorganization, which was confirmed by a federal bankruptcy court in December 2010. Mr. Sloan was Chairman and Chief Executive Officer of Silver Eagle from April 11, 2013 through Silver Eagle’s dissolution in April 2015. From October 2005 to August 2009, Mr. Sloan served as Chairman and Chief Executive Officer of Metro-Goldwyn-Mayer, Inc., or MGM, a motion picture, television, home entertainment, and theatrical production and distribution company, and thereafter continued as non-executive chairman until January 2011. He was appointed by a consortium comprised of private equity investors, Comcast Corporation and Sony Corporation of America one year after they agreed to acquire MGM through a leveraged buyout in September 2004. MGM filed for protection under Chapter 11 of the United States Bankruptcy Code in November 2010 pursuant to a pre-packaged plan of reorganization, which was confirmed by a federal bankruptcy court in December 2010. Mr. Sloan served as an outside consultant to MGM pursuant to a consulting agreement which expired in October 2011. From 1990 to 2001, Mr. Sloan was Chairman and Chief Executive Officer of SBS Broadcasting, S.A., or SBS, a European broadcasting group, operating commercial television, premium pay channels, radio stations and related print businesses in Western and Central and Eastern Europe, which he founded in 1990 and continued as Executive Chairman until 2005. Mr. Sloan currently serves on the UCLA Anderson School of Management Board of Visitors and the Executive Board of UCLA Theatre, Film and Television.
