Name Description

Lachlan Murdoch

Mr. Lachlan Keith Murdoch is Executive Chairman of the Board, Chief Executive Officer of the Company. In this role, he oversees the Company’s premier portfolio of news, sports and entertainment assets. Mr. Murdoch was instrumental in the spinoff of FOX by 21st Century Fox and the establishment of FOX as a standalone public company. Mr. Murdoch has spent the past two decades building, operating and investing in many of the world’s most prominent television and publishing businesses. He currently serves as Co-Chairman of News Corp and Executive Chairman of NOVA Entertainment, an Australian media company. Mr. Murdoch previously served as Non-Executive Chairman of Ten Network Holdings. Mr. Murdoch served as Executive Chairman of 21st Century Fox prior to the closing of the merger of 21st Century Fox and The Walt Disney Company in March 2019. He began that role in 2015, working directly with the company’s senior management and Board of Directors to develop global strategies and set the overall corporate vision. Mr. Murdoch served as a member of the 21st Century Fox Board of Directors from 1996 until the closing of the merger with Disney. Earlier, Mr. Murdoch served as Co-Chairman of 21st Century Fox and also held a number of senior executive roles from 1994 – 2005. From 2000 – 2005, Mr. Murdoch served as Deputy Chief Operating Officer of 21st Century Fox (previously known as News Corporation), a role in which he was directly responsible for the company’s U.S. television stations group and publishing assets. As part of his duties as Deputy Chief Operating Officer, Mr. Murdoch was Chairman of Fox Television Stations (FTS) and Publisher of the New York Post.

Rupert Murdoch

Mr. Rupert Murdoch is Co-Chairman of the Board of the Company. Rupert Murdoch is Co-Chairman of Fox Corporation and Executive Chairman of News Corporation, two of the most recognized and influential media companies in the world. Mr. Murdoch was Executive Chairman of 21st Century Fox, one of the leading portfolios of cable, broadcast, film, pay TV and satellite assets, prior to the closing of the merger of 21st Century Fox and The Walt Disney Company in March 2019. Until July 1, 2015, Mr. Murdoch served as CEO and Chairman of 21st Century Fox, a role he had held since its inception as News Corporation in 1979. In 1954, Mr. Murdoch took control of News Limited, an Australian-based public corporation whose only key asset at the time was a majority interest in the number-two daily newspaper in Adelaide, South Australia. Since then, Mr. Murdoch oversaw the expansion and development of 21st Century Fox into an international media and entertainment company and, in June 2013, the launch of News Corporation as an independent publicly-traded company, where he serves as Executive Chairman. 21st Century Fox purchased Twentieth Century Fox Film Corporation in 1985 and the studio subsequently produced many award-winning films, including the two top-grossing films of all time: Titanic and Avatar. The following year, 21st Century Fox created the Fox Television Stations group, which comprises 27 stations across the U.S. and was the foundation for the launch of FOX Broadcasting Company and FOX Sports. FOX was the leading television network in the U.S. for a record eight consecutive years. In October 1996, 21st Century Fox launched the FOX News Channel — the undisputed leader in 24-hour news service. 21st Century Fox also successfully established some of the U.S. and the world’s most popular cable networks, including Fox Sports Network, FX and the National Geographic Channels.

Steve Tomsic

Mr. Steve Tomsic is Chief Financial Officer of the Company. Mr. Tomsic served as Deputy Chief Financial Officer of 21st Century Fox (21CF) from March 2017 to the March 2019 spin off of FOX by 21st Century Fox and the establishment of FOX as a standalone public company. Earlier he served as Executive Vice President, Corporate Finance of 21CF. Before joining the 21CF corporate team in October 2015, Mr. Tomsic served in leadership positions with 21CF-related entities across the world, including serving for five years as the Chief Financial Officer of the German publicly listed company Sky Deutschland AG. Before that, Mr. Tomsic served in various finance roles across 21CF’s Europe & Asia corporate offices, European channels businesses, Sky Italia, and at FOXTEL in Australia. Prior to joining 21CF, Mr. Tomsic worked in Australia at the Boston Consulting Group, Nomura and ANZ Bank. Mr. Tomsic holds both a Bachelor of Commerce and Post Graduate Diploma in Finance from the University of Melbourne and an MBA from Melbourne Business School.

Michael Biard

Mr. Michael Biard is President, Operations and Distribution of the Company. In this role, he oversees the company’s multi-platform content distribution for all its brands, including FOX Entertainment, FOX News and FOX Sports, and manages all aspects of distribution with the FOX-affiliated television stations in over 200 markets. Mr. Biard also oversees several operational areas, including real estate, security and the FOX Studios Lot in Los Angeles. Working with FOX Sports and FOX Entertainment, Mr. Biard is part of the team that manages content acquisition and related strategies across the company. Mr. Biard previously served as President, Distribution for Fox Networks Group, overseeing every aspect of distribution for the company’s television brands: Fox Broadcasting Company, FX, FOX News, FOX Sports and National Geographic. Over nearly two decades at Fox, Mr. Biard played a key role in the growth of the networks group, including the development of the leading portfolio of regional sports networks, the successful launch and acquisition of FOX Sports 1 and FOX Sports 2, FXX, National Geographic Channel, Nat Geo WILD, Nat Geo Mundo, BTN (formerly Big Ten Network), FOX College Sports and FOX Soccer Plus. Before joining Fox, Mr. Biard was a practicing attorney in the Los Angeles area. He graduated from Columbia University with a bachelor’s degree in biology-psychology. He earned a Jurist Doctorate (Cum Laude) from Loyola Law School, Los Angeles. Mr. Biard serves on the board of BTN. He is also a director on the board of the T. Howard Foundation and a member of the board of the CTAM (Cable & Telecommunications Association for Marketing) Educational Foundation.

Marianne Gambelli

Ms. Marianne Gambelli is President of Advertising Sales of the Company. Before assuming her current role in March 2019, Ms. Gambelli served as President of Advertising Sales for FOX News and FOX Business Network. During her tenure, FOX News experienced record years in advertising sales for both 2017 and 2018. Prior to joining FOX News in May 2017, Ms. Gambelli served as Chief Investment Officer at Horizon Media where she managed its $7 billion investment portfolio. She was responsible for a team of over 350 general market investment specialists and actively developed key new business acquisitions across top tier brands. Ms. Gambelli joined the company in 2012 from NBCUniversal, where she most recently held the title of President of Sales and Marketing. During her 22-year tenure at NBC, Ms. Gambelli oversaw partnerships and strategy across NBC’s News, Sports and Entertainment brands, optimizing its $7 billion in media investments. In 2018, Ms. Gambelli was recognized with the Multichannel News Wonder Women award. In 2012, Advertising Age named Ms. Gambelli as one of the 100 Most Influential Women in Advertising and in 2002, she was honored as part of the American Advertising Women to Watch. While at NBC Universal, she was a member of GE’s Women’s Network and served as a Division NBCUniversal Leader. She was also a Leader in the company’s Commercial Leadership Program. A graduate of Pace University with a Bachelor of Business degree in Marketing, Ms. Gambelli began her career on the agency side, working for Grey Advertising and Backer Spielvogel Bates. In 2016, she was awarded an Honorary Degree from Pace Pleasantville Chapter of Beta Gamma Sigma. She is currently a Board Member of the International Radio and Television Society (IRTS) Foundation.

John Nallen

Mr. John P. Nallen is Chief Operating Officer of the Company. Mr. Nallen has oversight of the Company’s finance, strategy, business development, distribution, real estate and human resources organizations. Before the March 2019 spin off of FOX by 21st Century Fox and the establishment of FOX as a standalone public company, Mr. Nallen was the Senior Executive Vice President and Chief Financial Officer for 21st Century Fox (21CF), a role which he assumed in 2013. Mr. Nallen led all aspects of 21CF’s financial matters, including capital market and merger and acquisition transactions. Earlier, Mr. Nallen served as 21CF’s Executive Vice President and Deputy Chief Financial Officer, a position he held starting in 2001. Mr. Nallen joined 21CF (previously known as News Corporation) in 1995 from Arthur Andersen where he was a partner leading its Media and Entertainment practice

Rita Tuzon

Ms. Rita Louise Tuzon is Executive Vice President and Corporate General Counsel of the Company. Ms. Tuzon also oversees legal and business affairs for many functional areas, including: corporate, distribution, digital, operational M&A, privacy, standards and practices, business development, music, advertising sales and content sales. Before the March 2019 spin off of FOX by 21st Century Fox and the establishment of FOX as a standalone public company, Ms. Tuzon served as Executive Vice President and General Counsel for Fox Networks Group (FNG), where she supervised business and legal affairs for FNG’s broadcast, cable and digital properties, as well as several business operations units. Fox Networks Group included Fox Broadcasting Company, FX Networks, FOX Sports Media Group, Fox Digital Media, and National Geographic Partners. Ms. Tuzon also oversaw the business and legal affairs of the international divisions of Fox Networks Group, headquartered in Europe, Asia and Latin America. Ms. Tuzon has served on numerous boards, including National Geographic Channel, and was part of the founding team of BTN (formerly Big Ten Network, a joint venture with the Big Ten Conference) on whose board she still serves. Earlier, Ms. Tuzon spent seven years as Senior Vice President of Litigation for Fox Group, where she managed litigation affecting many of Fox Entertainment Group’s key companies, including 20th Century Fox Television, Fox Television Studios, Fox Television Stations, Fox Cable Networks and Twentieth Television. Before that, she was a litigation partner for five years at the entertainment and commercial law firm of Hill Wynne Troop and Meisinger. Ms. Tuzon graduated from Stanford University with a bachelor’s degree in human biology and earned her law degree from UC Berkeley’s Boalt School of Law.

Kevin Lord

Mr. Kevin Lord is Executive Vice President of Human Resources of the Company. In this role, he oversees the Company’s talent acquisition, colleague development, diversity and inclusion, compensation and benefits and employee volunteering strategies. In addition, Mr. Lord leads all aspects of the human resources function for FOX News. Before the March 2019 spin off of FOX by 21st Century Fox and the establishment of FOX as a standalone public company, Mr. Lord served as Executive Vice President of Human Resources and Head of Compliance at FOX News Channel. Prior to being named to this position, Mr. Lord was the Senior Vice President and Chief Human Resources Officer at TEGNA Inc. (formerly known as Gannett, Co. Inc.) and a member of the company’s leadership team. While there, he oversaw employee relations, performance management, employee development, total rewards administration, diversity and inclusion for a workforce of more than 10,000. He was also responsible for creating initiatives that attracted and retained essential talent, enabling TEGNA to execute many of its key initiatives. Earlier, Mr. Lord served as the Executive Vice President of Human Resources for NBC News and was the HR Integration leader during NBCUniversal’s extensive transition from General Electric (GE) to Comcast ownership. His initial role at NBCUniversal was Senior Vice President of Human Resources for its Integrated Media & International divisions prior to the Comcast ownership. Before his time at NBC, Mr. Lord held several HR leadership positions with General Electric, including Chief Human Resources Officer for GE Plastics, GE Corporate HR Leader for Commercial & Communications, Senior Vice President of Human Resources for GE Vendor Financial Services, as well as various HR roles at GE Aviation. Mr. Lord began his career in human resources at Burlington Industries, later moving on to similar positions at Hewlett-Packard, Colgate-Palmolive and Roche.

Joe Dorrego

Mr. Joe Dorrego is Chief Investor Relations Officer and Executive Vice President of Corporate Initiatives of the Company. Before assuming his current role, Mr. Dorrego served as Chief Financial Officer for FOX Television Stations, a position he held for four years starting in 2015. Previously, he spent 11 years serving in various executive roles at 21st Century Fox, including Vice President of Investor Relations for the company. Mr. Dorrego earlier served as Vice President of Finance, overseeing 21st Century Fox’s financial planning and analysis functions. Mr. Dorrego joined the Company (previously known as News Corporation) in 2004 from PricewaterhouseCoopers LLC, where he started his career in the business advisory services group, serving clients in the telecommunications and professional sports industries. Mr. Dorrego holds a Bachelor of Science degree in Accounting from Salisbury University and received an MBA from New York University.

Hope Hicks

Ms. Hope Hicks is Executive Vice President and Chief Communications Officer of the Company. Before joining FOX, Ms. Hicks served as White House Communications Director and Director of Strategic Communications. In this role, Ms. Hicks oversaw the administration’s communications strategy and led a team responsible for creating and coordinating key messages relating to economic issues, domestic policies and international affairs. She directly advised the president, members of the cabinet and senior White House officials on strategic communications opportunities and positioning. Ms. Hicks earlier served as Press Secretary and Communications Adviser to the Trump campaign throughout the 2016 presidential election, during which she was responsible for creating and executing the campaign’s communications strategy. Prior to joining The Trump campaign in January 2015, she served as the Director of Communications for the Trump Organization. In this role, Ms. Hicks oversaw public relations and marketing campaigns for the real estate, hospitality, entertainment and golf portfolios. Previously, Ms. Hicks worked at Hiltzik Strategies, a firm specializing in crisis management, brand building for high-profile individuals and corporate communications for clients at the intersection of celebrity, media, finance, technology and sports. Prior to this, she worked for the Zeno Group, a DJE Holdings company, as an assistant account executive working on consumer PR, earned media and social media campaigns for major consumer brands and publicly traded companies. Ms. Hicks earned a BA in English from Southern Methodist University.

Danny O'Brien

Mr. Danny O'Brien is Executive Vice President and Head of Government Relations of the Company. In this role, he leads the Company’s legislative, regulatory and strategic policy matters. Before joining FOX in October 2018, Mr. O’Brien served as the Government Relations Leader for GE Transportation, where he oversaw GE’s global engagement on commercial and public policy issues impacting GE’s aviation and locomotives businesses. Mr. O’Brien served as a long-time senior advisor in the United States Senate where he was chief of staff to Senators Torricelli, Biden and Menendez. Serving the three Senators, Mr. O’Brien managed their policy, communications and political strategies. In the Senate, Mr. O’Brien also served as the staff director for the Senate Foreign Relations Committee where he managed the Committee’s policy and legislative priorities in the areas of national security, economic statecraft, human rights and democracy. Mr. O’Brien holds a bachelor’s degree from University of Redlands in political science and Spanish.

Jeff Taylor

Mr. Jeff A. Taylor is the Executive Vice President and Chief Litigation Counsel of the Company. Mr. Taylor oversees litigation, labor and employment, content protection and compliance for all of FOX’s operations, including the FOX Network, FOX Sports, FS1, FS2, FOX Deportes, FOX News Channel, FOX Business Network, FOX Television Stations and its multi-platform assets. From 2006 to 2009, Mr. Taylor served as the United States Attorney for the District of Columbia. Prior to FOX, he was Deputy General Counsel and Chief Compliance Officer for General Motors and General Counsel of Raytheon Integrated Defense Systems. Mr. Taylor holds a B.A. in history from Stanford University and a J.D. from Harvard Law School.

Paul Cheesbrough

Mr. Paul Cheesbrough is Chief Technology Officer and Head of Direct to Consumer Platforms of the Company. In this role, he leads the Company’s technology teams and operations and also oversees FOX’s digital strategy and streaming products. Before the March 2019 spin off of FOX by 21st Century Fox and the establishment of FOX as a standalone public company, Mr. Cheesbrough served as Chief Technology Officer for 21st Century Fox, where he oversaw the Company’s technology operations globally. Prior, he served as Chief Technology Officer for News Corp, overseeing the enterprise technologies and digital products and platforms across the business as well as the technology investment portfolio. In these roles, Mr. Cheesbrough has led significant change and transformation through the implementation of modern technologies using internal teams and a range of established and earlier stage technology partners. Before joining News Corp, Mr. Cheesbrough served as Chief Information Officer at the Telegraph Media Group, where he pioneered the development of a wide range of new digital products. Earlier, he was the Controller of Digital Media for the BBC, having started his career in IBM’s media division as a software engineer.

Viet Dinh

Mr. Viet D. Dinh is Chief Legal and Policy Officer of the Company.Mr. Dinh joined FOX in September 2018 and helped establish the company ahead of the March 2019 spin off of FOX by 21st Century Fox and the establishment of FOX as a standalone public company. Before joining FOX, Mr. Dinh was a partner at Kirkland & Ellis. He founded Bancroft PLLC, a leading Supreme Court and high-stakes litigation firm until it was acquired by Kirkland. He was a Georgetown University law professor for 20 years and U.S. Assistant Attorney General for Legal Policy from 2001 to 2003. He previously served on the Boards of Directors for 21st Century Fox, Revlon, LPL Financial, Scientific Games, and MacAndrews & Forbes Worldwide. Mr. Dinh is a graduate of Harvard College and Harvard Law School, and clerked for Judge Laurence Silberman and Justice Sandra Day O’Connor.

Chase Carey

Mr. Chase Carey is Director of the Company. Mr. Carey has served as Chairman of Formula 1 since September 2016 and Chief Executive Officer of Formula 1 since January 2017. Mr. Carey previously served in a number of roles at 21st Century Fox, including as Vice Chairman from 2016 to 2019 and Executive Vice Chairman from 2015 to 2016, as President and Chief Operating Officer and Deputy Chairman from 2009 to 2015 and as a director from 1996 to 2007 and again from 2009 until the closing of the merger of 21st Century Fox and The Walt Disney Company. Previously, Mr. Carey served as a Director, and the President and Chief Executive Officer of DIRECTV, Inc. from 2003 to 2009, where he led the operations and strategic direction of the DIRECTV, Inc. companies – which include DIRECTV, Inc. in the United States and DIRECTV Latin America. Mr. Carey has served as a Director of Saban Capital Acquisition Corp. since September 2016. From 2008 to 2018, he served as a Director of Sky plc. He is a graduate of Colgate University and Harvard Business School. He is also a Trustee Emeritus at Colgate University.

Anne Dias

Ms. Anne Dias is Independent Director of the Company. She is the Founder and Chief Executive Officer of Aragon Global Holdings, an investment fund focused on global media, technology and telecommunications companies. From 2001 to 2011, Ms. Dias was the Founder and Managing Partner of Aragon Global Management, a hedge fund investing in U.S. and international stocks, seeded by Julian Robertson of the Tiger Fund. Ms. Dias was a founding member of Viking Global Investors, a portfolio manager at Soros Fund Management, and a financial analyst at Goldman Sachs in London and New York. Ms. Dias is a member of the Board and Chair of the Audit Committee of Eurazeo, a leading European alternative asset manager. Ms. Dias is a trustee of the Museum of Modern Art, where she serves on the Finance Committee and the Painting & Sculpture Committee. She is also a trustee of the Foundation for Contemporary Art, where she heads the Investment Committee, and the Musée des Arts Décoratifs in Paris. She is a member of the advisory board of the Dean of Harvard Business School, and serves on the board of directors of the French American Foundation and the Sciences Po American Foundation in New York. Ms. Dias graduated Summa Cum Laude, Phi Beta Kappa from the Georgetown University School of Foreign Service and received her MBA from Harvard Business School. She is an adjunct professor at the Georgetown University McDonough School of Business, where she teaches a class on hedge fund investing.

Roland Hernandez

Mr. Roland A. Hernandez is Independent Director of the Company. Mr. Hernandez is the Founding Principal and CEO of Hernandez Media Ventures. Mr. Hernandez served as CEO of Telemundo Group, Inc. from 1995 to 2000 and as its Chairman from 1998 to 2000. Mr. Hernandez serves on the board of directors of MGM Resorts International, Belmond Ltd., U.S. Bancorp, and Vail Resorts, Inc. He serves on the advisory board of Harvard Law School, which he attended after graduating from Harvard College. Mr. Hernandez previously served on the board of directors of The Ryland Group, Inc., Sony Corporation and Walmart Inc.

Jacques Nasser

Mr. Jacques Albert Nasser is Independent Director of the Company. Mr. Nasser is the Lead Independent Director and Chair of the Compensation Committee. He served as an Advisor to One Equity Partners LLP from 2013 through March 2019, after having served as a Non-Executive Advisory Partner from 2010 to 2013 and a Senior Partner from 2002 to 2010. Mr. Nasser previously served as a Director of BHP Billiton Limited and BHP Billiton Plc from 2006 to September 2017 and the Chairman of each from 2010 to September 2017. He has been a Director of Koç Holding A.S. since 2015, served on the International Advisory Board of Allianz since 2001 and served as a Director of Sky plc from 2002 to 2012. Mr. Nasser served as a member of the Board of Directors and as President and Chief Executive Officer of Ford Motor Company from 1998 to 2001; during his career at Ford that spanned over 30 years, he held various leadership positions across Europe, Australia, Asia, South America and the United States. Mr. Nasser served on the 21st Century Fox Board of Directors from June 2013 until the closing of the merger of 21st Century Fox and The Walt Disney Company. He has more than three decades of experience in large-scale global businesses and a decade of private equity investment and operating expertise.

Paul Ryan

Mr. Paul D. Ryan is Independent Director of the Company. Mr. Ryan previously served as the 54th Speaker of the U.S. House of Representatives. In office from October 2015 to January 2019, he was the youngest speaker in nearly 150 years. During his tenure, Mr. Ryan spearheaded efforts to reform our nation’s tax code for the first time in a generation, rebuild our national defense, expand domestic energy production, combat the opioid epidemic, reform our criminal justice system, and promote economic opportunity. First elected to Congress in 1998, Mr. Ryan spent two decades representing the people of Wisconsin’s First Congressional District. A fifth-generation Janesville, Wisconsin native, he continued Wisconsin’s proud tradition of reform-minded leadership in the House of Representatives. Before becoming speaker, Mr. Ryan was chairman of the House Ways and Means Committee. As chairman, he worked to simplify the country’s tax code, protect health care choices, advance free trade, and strengthen the economy. Before that, Mr. Ryan served as chairman of the House Budget Committee, where he outlined revolutionary blueprints to balance the federal budget and pay off the national debt. In 2012, Mr. Ryan was selected to serve as Governor Mitt Romney’s Vice Presidential nominee.
