Name Description

R. Wilson Orr

Mr. R. Wilson Orr, III, is Independent Chairman of the Board of Kirkland's Inc., since March 2006. Since 1993, Mr. Orr has been Chairman of our Board of Directors since March 2006. Since 1993, Mr. Orr has been a Managing Partner of SSM Partners, a private equity investment firm. He joined SSM Partners in 1988 as a Vice President. From 1984 to 1988, Mr. Orr worked in corporate lending at Chemical Bank. Mr. Orr received a B.S. degree from Vanderbilt University.

Michael Cairnes

Mr. Michael B. Cairnes has been appointed as President, Chief Operating Officer of the Company. He was Acting Chief Executive Officer, Chief Operating Officer, Executive Vice President of the Company. Mr. Cairnes is responsible for the daily operation of the Company and will help implement the strategy for the Company’s Stores and Merchandising operations. He is responsible the Company’s Ecommerce operations, as well as Planning, Allocations and Supply Chain operations. Mr. Cairnes served as the President of the Aaron Brothers and Artistree divisions of Michaels Inc., a publicly-traded retailer of arts, crafts and custom framing. He was President of Artistree from June of 2007 through August of 2016, and President of Aaron Brothers from September of 2015 through August of 2016. Prior to joining Michaels in 2006 as a Divisional Merchandise Manager, Mr. Cairnes held various leadership positions with Brushstrokes, Larson-Juhl and Texas Instruments.

Steve Woodward

Mr. Steve C. Woodward is Chief Executive Officer, Director of the Company. He has served as the President and Chief Merchandising Officer of the global home furnishings retailer Crate and Barrel since August 2015. Prior to joining Crate and Barrel, Mr. Woodward was a Senior Vice President for Fossil, Inc., where he helped grow and develop the company’s portfolio of licensed brands for top luxury retailers and was head of the Michael Kors watch and jewelry business for Fossil Group. Before joining Fossil, Mr. Woodward held several key executive roles in the home furnishings industry, including Executive Vice President and General Merchandise Manager of The Bombay Company, CEO of Illuminations and Vice President of Pier 1 Imports.

Nicole Strain

Ms. Nicole Strain has been appointed as Interim Chief Financial Officer of the Company., effective June 14, 2017. She currently serves as Kirkland’s Controller. Prior to her current role, which she has held since November of 2016, Ms. Strain served as the Vice President of Finance and Principal Accounting Officer for Logan’s Roadhouse, Inc., a Nashville-based restaurant company, from 2005 through July of 2015. While at Logan’s, Ms. Strain also served as the interim Chief Financial Officer and Principal Financial Officer. During her tenure at Logan’s, Ms. Strain was a key member of the leadership team that structured and executed two transactions with private equity firms, which included filing registration statements with the Securities and Exchange Commission in both 2006 and 2010. She earned her Bachelor of Science in Business Administration from the University of Tennessee in 1995, and received a Master of Accountancy, with a concentration in tax, from the University of Tennessee in 2001.

Michelle Graul

Mrs. Michelle R. Graul is Executive Vice President - Stores and Merchandising of Kirkland's Inc., since August 21, 2014. Ms. Graul has been Executive Vice President of Stores and Merchandising since August 2014. Prior to her appointment as Executive Vice President of Stores and Merchandising, Ms. Graul served as Senior Vice President of Human Resources and Stores since January 2010, Senior Vice President of Human Resources from August 2008 to December 2009, and Vice President of Human Resources from March 2005 to July 2008. Prior to joining Kirkland’s, Mrs. Graul was employed with Pier 1 Imports and served in various positions of increasing responsibility over 13 years culminating as Zone Human Resources Director. Prior to joining Pier 1 Imports, Mrs. Graul had positions with four other retailers serving in various store operational roles and as a buyer.

Gregory Sandfort

Mr. Gregory A. Sandfort is Director of the Company. He Sandfort has over 30 years of experience across a wide range of retail companies. He has held his current role as Chief Executive Officer of Tractor Supply sinceDecember 2012. He also served as President of Tractor Supply fromDecember 2012toMay 2016, President and Chief Operating Officer sinceFebruary 2012, and President and Chief Merchandising Officer since 2009. Mr. Sandfort joined Tractor Supply in 2007 as Executive Vice President and General Merchandise Manager. Prior to joining Tractor Supply, Mr. Sandfort was President and Chief Operating Officer of Michaels Stores, Inc. fromMarch 2006toAugust 2007, and Executive Vice President, General Merchandise Manager fromJanuary 2004toFebruary 2006. Prior to Michaels Stores, Mr. Sandfort held management roles at Federated Department Stores, Sears Roebuck and Company andF.W. Woolworth/Woolco. He currently serves as a Director of Tractor Supply Company and WD-40 Company.

Chris Shimojima

Mr. Chris L. Shimojima is Director of the company. He is the founder and Chief Executive Officer of C5 Advisory, a privately-owned management advisory firm focused on helping its business clients with the challenges of ecommerce business, a position he has held since 2017. From 2012 to 2015, Mr. Shimojima served as the Chief Executive Officer of Provide Commerce, Inc., which operated a portfolio of online specialty retailers best known for ProFlowers, Shari’s Berries, Red Envelope and Gifts.com. Provide Commerce was acquired by FTD Companies in 2014 for $430 million. From 2006 to 2012, Mr. Shimojima served as Vice President of Global Ecommerce at Nike, Inc. Prior to Nike, he held various marketing and business positions for Sears Holding Company, Prudential Financial, kozmo.com, AT&T and Pepsi-Cola Company. Mr. Shimojima received a B.A. degree from the University of Colorado and an M.B.A. from the University of Chicago. Mr. Shimojima previously served as a Director of XOOM Corp. (NASDAQ:XOOM), until it was acquired by PayPal, Inc. in 2015.

Steven Collins

Mr. Steven J. Collins is Independent director of Kirkland’s, Inc. since November 2004. Mr. Collins is a Managing Director of Advent International. Mr. Collins joined Advent in 1995 and rejoined after graduate school in 2000. Mr. Collins served as Kirkland’s Chief Financial Officer from January 1997 to February 1998 and its Treasurer from January 1998 to December 1998. Before joining Kirkland’s, Mr. Collins was an Associate at Advent International from 1995 to 1997. Mr. Collins also serves on the Board of Directors of Bojangles’, Charlotte Russe, lululemon athletica, and Party City Holdings and served on the board of Five Below through March 2015. Mr. Collins received a B.S. from the Wharton School of the University of Pennsylvania and an M.B.A. from Harvard Business School.

Carl Kirkland

Mr. Carl T. Kirkland is an Independent Director of Kirkland's Inc. Mr. Kirkland has served as a director of the Company since he co-founded Kirkland’s in 1966 and he served as Chief Executive Officer from 1966 through March 2001 and President from 1966 through November 1997. Mr. Kirkland also served as Chairman of the Board of Directors from June 1996 to November 2004. He has over 45 years of experience in the retail industry. Mr. Kirkland also serves on the Board of Directors of Hibbett Sporting Goods, Inc.

Miles Kirkland

Mr. Miles T. Kirkland is an Independent Director of Kirkland's Inc. From 2010 until April 2013, Mr. Kirkland is Vice President and Portfolio Manager for Truxton Trust, a private bank and wealth management services company based in Nashville, TN. From 2010 until April 2013, Mr. Kirkland was a Principal with Mastrapasqua Asset Management, a private asset management firm, where he previously served as a Senior Research Analyst and Associate Portfolio Manager from 2007 to 2010. He joined Mastrapasqua Asset Management in 2000 as a Research Analyst. Before joining Mastrapasqua, he spent three years working with Kirkland’s in store operations. He received a B.A. in English from The University of the South in 1994 and an M.B.A. from Vanderbilt University Owen Graduate School of Management in 2000. Mr. Kirkland is also a CFA Charterholder.

Jeffery Owen

Mr. Jeffery C. Owen is Independent Director of the company. Mr. Owen worked over 20 years for Dollar General, the nation’s largest small box retailer of discount consumable basic merchandise. Most recently, he served as the Senior Vice President, Operations from 2011 to 2014. Prior to his appointment as Senior Vice President, Operations, Mr. Owen served as the Vice President, Operations for Dollar General from 2006 to 2011. Mr. Owen received his undergraduate degree and MBA from Vanderbilt University.

Ralph Parks

Mr. Ralph T. Parks is an Independent Director of Kirkland's Inc. Mr. Parks served as the interim Chief Executive Officer of Heelys, Inc. from February 2008 until May 2008, but has otherwise been retired since 1999 after a 34-year career in the retail industry, including eight years as Chief Executive Officer of Footaction, USA, an athletic footwear and apparel retailer. Since 2002, he has served as President of RT Parks, Inc., a retailer of New Balance® footwear and apparel. Mr. Parks also serves on the board of directors of Hibbett Sporting Goods, Inc.

Murray Spain

Mr. Murray M. Spain is an Independent Director of Kirkland's Inc. Mr. Spain was the co-founder of Dollar Express, Inc. and acted as its President and Chief Operating Officer from its inception in 1961 until May 2000, when Dollar Express merged with Dollar Tree Stores, Inc. At that time, Dollar Express was a chain of 126 retail stores in five states. Mr. Spain graduated from Temple University with a BA in accounting in 1965.
