Name Description

Stratton Nicolaines

Mr. Stratton J. Nicolaides has been appointed as Executive Chairman of the Board of the Numerex Corp., effective September 1, 2015. He is no longer Chairman of the Board, Chief Executive Officer of Numerex Corp. Mr. Nicolaides has served as CEO of the Company since April 2000, and served as COO from April 1999 until March 2000, and as Chairman of the Board since December 1999. In 2007, Mr. Nicolaides began serving as a director of the Taylor Hooton Foundation, a non-profit organization formed to fight steroid abuse by America’s youth. He was elected to the Telecommunications Industry Association (TIA) Board of Directors in November 2011.

Kenneth Gayron

Mr. Kenneth L Gayron is Interim Chief Executive Officer, Chief Financial Officer of the company. Ken brings with him an extensive background in corporate finance, treasury, financial planning and analysis, tax, investor relations, strategic planning and risk management. He brings to Numerex more than 20 years of experience in corporate finance, accounting, mergers and acquisitions, and investor relations for technology driven organizations. Ken will be responsible for managing and improving processes in financial planning, accounting, treasury, tax, investor relations and capital markets along with managing general administration including human resources and legal. Moreover, Ken will be a key member of the executive team and partner with the CEO and other executives in driving the strategy and execution of the business.

Kelly Gay

Ms. Kelly Gay is Chief Operating Officer of the company. From May 2014 until May 2016, Ms. Gay served as the Company's President, Network Solutions. Prior to that time, Ms. Gay was CEO and President of Omnilink Systems Inc. (electronic tracking and monitoring devices) since April 2010. The Company acquired Omnilink in May 2014. From May 2016 until January 2017, Ms. Gay served on the Board of Directors of 1105 Media, a privately-held provider of business-to-business (B2B) marketing and media services.

Shu Gan

Mr. Shu Gan is Chief Marketing Officer of Numerex Corp. With more than 25 years of management experience in the high-tech and wireless industries, Shu Gan will be responsible for product management, strategic market development and marketing for Numerex. Shu most recently served as corporate VP and GM of Strategic Solutions at Syniverse. Prior to Syniverse, he served as EVP at Aicent, a global leader in mobile data interconnection services, where he led multiple functions spanning product management, marketing, strategic BD, and global sales as the company grew from startup stage to market leadership serving 200+ carriers worldwide, with most of its products and services ranked among the top three in global market share. Shu has also held executive positions for Danghong Technologies and FutureDial, both pioneering software-as-a-service (SaaS) providers. He holds bachelor's and master's degrees in physics from Peking University, a master's degree in electrical engineering from Georgia Tech, and an MBA from University of California at Berkeley.

Andrew Ryan

Mr. Andrew J. Ryan is General Counsel, Director of Numerex Corp. Mr. Ryan has served as a director of the Company since May 1996. Mr. Ryan currently practices law with The Ryan Law Group (TRLG) a law firm he founded in May 2014. Prior to TRLG he practiced law with the firm of Salisbury & Ryan since August 1994. Mr. Ryan serves as the Board designee of Gwynedd Resources, Ltd. in accordance with its contractual right to designate a member of the Board.

Vincent Costello

Mr. Vincent Costello is Chief Revenue Officer of Numerex Corp. Vin Costello will oversee sales strategy, business development and revenue generation for Numerex. Previously, Vin served as President and VP of Sales of the Americas for Allot Communications, a leading provider of mobile, fixed and enterprise network solutions for service providers, carriers and enterprise. In that position, he was instrumental in major revenue growth and enabling the creation of unique business units for North and South America. Earlier in his career, Vin held numerous positions of increasing responsibility at NYNEX, where he founded and led the NYNEX Network Integration business unit. Upon the merger with Bell Atlantic, Vin was named President and CEO of Bell Atlantic Network Integration (BANI) where he grew the start-up business to $325 million in annual revenue and 1,200 employees in four years, eventually becoming part of Verizon Communications. After serving as Corporate Vice President of Global Sales, Vin helped lead an optical networking start-up Corvis Corporation, where he served as VP of Sales and assisted in achieving an initial public offering which exceeded $1B. He was subsequently named VP and General Manager of the Managed Storage Division of Broadwing after the Corvis acquisition. Vin graduated magna cum laude with a bachelor's degree in computer applications and information systems from New York University and holds a master's degree in telecommunications management, where he also graduated magna cum laude, from Polytechnic University.

Eric Singer

Mr. Eric B. Singer is Director of the company. He has served as the managing member of each of VIEX GP, LLC, the general partner of VIEX Opportunities Fund, LP – Series One (“Series One”) and VIEX Opportunities Fund, LP – Series Two (“Series Two”), VIEX Special Opportunities GP II, LLC, the general partner of VIEX Special Opportunities Fund II, LP (“VSO II”), and Viex Capital Advisors, LLC, the investment manager of Series One, Series Two, VSO II and certain other investment funds, since May 2014. The principal business of Series One, Series Two and VSO II is investing in securities. From March 2012 until September 2014, Mr. Singer served as co-managing member of Potomac Capital Management III, L.L.C., the general partner of Potomac Capital Partners III, L.P. (“PCP III”), and Potomac Capital Management II, L.L.C., the general partner of Potomac Capital Partners II, L.P. (“PCP II”) and served as an advisor to Potomac Capital Management, L.L.C. and its related entities from May 2009 until September 2014. The principal business of PCP III and PCP II is investing in securities. From July 2007 to April 2009, Mr. Singer was a senior investment analyst at Riley Investment Management. Mr. Singer currently serves on the board of directors of TigerLogic Corporation (NASDAQ: TIGR), a global provider in engagement solutions, including Postano social media aggregation, display and fan engagement platform and Omnis mobile development platform, since January 2015, and IEC Electronics Corp. (NYSE MKT: IEC), a provider of electronic manufacturing services to advanced technology companies primarily in the military and aerospace, medical, industrial and communications sectors, since February 2015. Mr. Singer previously served as a director of Meru Networks, Inc. (NASDAQ: MERU), a Wi-Fi network solutions company, from January 2014 until January 2015, PLX Technology, Inc. (NASDAQ: PLXT), a semiconductor company, from December 2013 until its sale in August 2014, Sigma Designs, Inc.

E. James Constantine

Mr. E. James Constantine is Independent Director of Numerex Corp., since October 2008. From 2006 through 2011, Mr. Constantine has served as a director of the Company since October 2008. From 2006 through 2011, Mr. Constantine has served as CEO of HPE America LLC, a holding of Piero Ferrari involved in power train development for NASCAR and Formula 1 racing vehicles. The Company closed its operations in the U.S. at which time Mr. Constantine retired. From February 2003 until July 2006, Mr. Constantine was the CEO of Delta Motors LLC and a private holding company, MY Ventures, LLC, which held entities engaged in development of embedded cellular transceivers, GPS and location-based services and technology, special purpose vehicles, and commercial real estate. He previously served on the Board of Governors of Claremont McKenna College’s Kravis Leadership Institute, and was the commercial consultant to the City of Los Angeles for the creation of its electric vehicle initiative and development of the first parallel hybrid vehicle. Mr. Constantine’s tenure as CEO of a company in the auto industry and a wireless communications company provide valuable business, leadership and management experience, including expertise in creating value and product development for our customers in the auto and real estate sectors.

Tony Holcombe

Mr. Tony G. Holcombe is Independent Director of Numerex Corp., since October 1, 2011. Currently, Mr. Holcombe was appointed as a director on October 1, 2011. Currently, Mr. Holcombe is Vice Chairperson of the Board of Syniverse, where he served as that company’s President and CEO from 2006 to until his retirement in 2011. He has been a member of the Syniverse Board since 2003. During his time as President and CEO of Syniverse, Mr. Holcombe’s many accomplishments included diversifying the business through several key acquisitions; defining a strategic vision that transformed Syniverse from a North American roaming and clearing house provider to a leading global provider of technology and business services to the mobile industry; and solidifying The Carlyle Group as the company’s single investor in January 2011 for $2.6 billion. Before becoming Syniverse’s President and CEO, Mr. Holcombe served as president of Emdeon Corp., formerly WebMD, and as president of Emdeon Business Services. Mr. Holcombe has more than 20 years of executive-level experience in the transaction processing and technology services industry. He was CEO of Valutec Card Solutions and served in various executive positions at Ceridian Corporation, including EVP of Ceridian Corporation, president of Ceridian Employer Employee Services and president of Comdata. Mr. Holcombe received his bachelor’s degree from Georgia State University, where he currently serves as an Advisor for the Robinson College of Business.

Sherrie McAvoy

Ms. Sherrie G. McAvoy is Independent Director of Numerex Corp., effective May 10, 2013. Ms. McAvoy was appointed to the board in 2013. She spent her 31 year career at Deloitte & Touche LLP, a global accounting, auditing and professional services firm. During her last five years with Deloitte, Ms. McAvoy served as the lead audit partner supervising audits of both public and private companies in a diverse group of industries including retail, leisure and technology services. She also held regional and national leadership positions in the retail and governance practices. Ms. McAvoy brings to our Board diversified business experience as well as deep expertise on accounting, auditing, internal controls, risk management, corporate compliance and ethics, and corporate governance. Ms. McAvoy received her Bachelor of Science degree from The Pennsylvania State University in 1980. She is a Certified Public Accountant and a member of The American Institute of Certified Public Accountants. Ms. McAvoy served as an advisor to The Institute for Excellence in Corporate Governance at The University of Texas at Dallas from its inception in 2002 through 2011.

Jerry Rose

Mr. Jerry A. Rose is an Independent Director of Numerex Corp., effective April 8, 2013. He was appointed to the board in 2013 and brings a successful track record of leading and driving growth in key businesses such as General Electric (GE) and United Technologies Corporation (UTC). He was a Vice President of Product Management of GE Security, Inc since June 2007. He was instrumental in the sale of GE Security to UTC in 2010 and joined UTC as Vice President of Global Product Management. Mr. Rose held several global leadership positions during his 26 years at GE including Executive Officer roles in GE’s Appliances, Lighting and Security businesses.
