Name Description

Monica Mondardini

Dr. Monica Mondardini has served as Chairman at Sogefi S.p.A. since June 5, 2015. Previously, she was Executive Vice Chairman at the firm from October 21, 2014 to June 5, 2015. Prior to that, she was Director at the firm from April 19, 2013. She has been Chief Executive of CIR since April 2013 and Chief Executive of Gruppo Editoriale L’Espresso since January 2009. Within the CIR group she is also a director of the subsidiaries Sorgenia, Sogefi and KOS. She graduated in Statistical and Economic Sciences from the Universita degli Studi di Bologna. Her professional activity has been in the publishing and finance sectors and she has had considerable experience abroad. She started her career in 1985 in the Fabbri publishing group, taking part in an international development project which in 1989 took her to Spain. In 1990, she joined Hachette, the leading French publisher belonging to the Lagardère group; first she managed the Spanish branch of Hachette Livre and then, in 1993, was appointed Director of the international branch, with headquarters in Paris, and member of the Executive Committee of Hachette Livre. In 1998, she joined the Generali group as Managing Director of Europ Assistance with headquarters in Paris. In 2000, she became head of the “Planning and Control” department of the Generali group, with headquarters in Trieste, and in 2001 was appointed as Chief Executive of Generali Spain, with headquarters in Madrid, where she stayed until 2008. She is also an independent director of Crédit Agricole S.A., Atlantia S.p.A. and Trevi Finanziaria Industriale S.p.A.

Carlo De Benedetti

Eng. Carlo De Benedetti has served as Honorary Chairman of the Board of Sogefi S.p.A. since April 19, 2005. Prior to this, he served as Chairman of the Board of the Company. He was also Member of the Remuneration Committee of the Company. He is the founder of the Company. He has also served at Cofide SpA and Gruppo Editoriale L’Espresso SpA as Chairman and as Chairman of the Supervisory Board at M&C Management & Capitali SpA. He has also served as Member of the Supervisory Board of Compagnie Financiere Edmond de Rothschild Banque. He is the founder of the CIR SpA. He was Vice Chairman and Chief Executive Officer of the CIR SpA from 1976 to 1995, after which serves as Executive Chairman. In March 2000 he founded CDB Web Tech where he serves as Executive Chairman. In 1983 he has been a founding member of the European Round Table of Industrialists of which he was Vice Chairman until 2004. He has also been member of the European Advisory Committee of the New York Stock Exchange from 1985 until June 2005. He is currently a member of the International Council of the CSIS-Center for Strategic & International Studies in Washington; The Royal Swedish Academy of Engineering Science, and The Italian Council of INSEAD. In December 1998 he established the Rodolfo De Benedetti Foundation which he chairs. He started his career in 1959 in the family business company Compagnia Italiana Tubi Metallici Flessibili, which was transformed into Gilardini of which he was Chairman and CEO from 1972 to 1976. From 1978 to 1983 he was Vice Chairman and CEO of Olivetti, Chairman and CEO from 1983 to 1996, and Honorary Chairman from 1996 to 1999. He was awarded the title of Cavaliere del Lavoro in 1983 and the French Legion d’Honneur in 1987. In 1986 he received honorary degree in Law from the Wesleyan University. He graduated in Electrical Engineering from Politecnico di Torino in 1958.

Laurent Hebenstreit

Mr. Laurent Hebenstreit has served as Chief Executive Officer, Executive Director at Sogefi S.p.A. since June 5, 2015. He graduated in Engineering from the Ecole Centrale de Paris. He has had long international experience in the automotive components sector and has held important positions in groups such as Faurecia, Plastic Omnium, Allied Signal Automotive and Valeo. In his career, Mr Hebenstreit has managed global businesses with annual revenues of between € 2 and € 3 billions and has also acquired experience in complex restructuring processes. Before joining Sogefi he managed for two years the restructuring process of Française de Roues, the French company that produces light alloy wheels. From 2009 to 2012 he was Vice President for Finance and IT systems then Chief Executive of the Exterior Division of Plastic Omnium, a a productor of vehicle exterior components. From 2002 to 2006 he was Chief Executive of the Interieur division of Faurecia, a top producer worldwide of interiors for motor vehicles. From 1998 to 2002 he was President and Chief Operating Officer of the Inergy Division of Plastic Omnium, the main world producer of plastic petrol tanks. During the nineteen-nineties he was Director for Europe of the Friction Materials business and subsequently of the Safety Systems Division of Allied Signal Automotive and Sales Manager and Director of Research and Development of Valeo Electrical Systems. Mr Hebenstreit began his career in Saft, the global producer of batteries where he was Sales and Marketing Director.

Mr. Paolo Riccardo Rocca has served as Non-Executive Lead Independent Director of Sogefi S.p.A. since 2003. He also serves as Member of the Remuneration, Nominating, Audit and Related Party Transactions Committees of the Company. He graduated in Law from Universita degli Studi di Torino in April 27, 1971. He is in the registry of advocates since February 26, 1975 and he is an Auditor since January 25, 1980. He also serves as Director of Cofide SpA and as Statutory Auditor of Maggio 88 SpA, Symphonia Multi Sicav SpA, Symphonia Sicav SpA, Symphonia SGR SpA, Metan Alpi Sestriere Srl, among others and as Chairman of the Board of Statutory Auditors of Metan Alpi Val Chisone Srl, LARC Srl and Bim Fiduciaria SpA.

Rodolfo De Benedetti

Mr. Rodolfo De Benedetti has served as Non-Executive Director at Sogefi S.p.A. since June 5, 2015. He was Chairman of the Board of Sogefi S.p.A. until June 5, 2015. Mr. Rodolfo De Benedetti has been Chairman of CIR and COFIDE since his appointment in April 2013. In the COFIDE-CIR group, of which he is controlling shareholder together with his brothers Edoardo and Marco, operates in various business sectors, particularly Auto components (Sogefi), Media (Gedi Gruppo Editoriale) and Healthcare (KOS). Within the group he is also a member of the Board of Directors of Sogefi and Gedi Gruppo Editoriale. Previously he was Chief Executive Officer of CIR from 1993 and of COFIDE from 1995. He joined COFIDE in 1988 as Director of International Affairs and was subsequently appointed as General Manager. In 1990 he became General Manager of CIR. Before that, he worked from September 1985 to December 1986, for Lombard Odier, one of the main private banking groups in Switzerland based in Geneva, as Assistant to the Chief Executive. From January 1987 to January 1988 he worked for Shearson Lehman Brothers (New York) as an Associate in the Merchant Banking Group. Currently he is a Shareholder and Director of Decalia Asset Management S.A., an international investment management company established in 2014. He is also a member of the European Round Table of industrialists (ERT), a forum made up of more than 50 of the most important European companies in various sectors; chairman of the European Advisory Board of Harvard Business School; a board member of Aon Italia (risk management, insurance and re-insurance brokerage). Rodolfo De Benedetti completed his education in Geneva where he graduated in 1982 in Political Economics and in 1985 in Law.

Raffaella Pallavicini

Ms. Raffaella Pallavicini acts as Non-Executive Director of SOGEFI S.P.A. After completing secondary school specialising in Humanities, in 1993 she graduated with honours in law from the Universita degli Studi di Roma La Sapienza. Admitted to the Bar in 1998, she practiced as a lawyer until November 2000 when she joined Gruppo Editoriale L'Espresso S.p.A., initially as head of litigation, then as head of legal affairs, finally, since 2010, as head of corporate affairs for the holding company and group companies. Since 2012 she has held the position of secretary of the Board of Directors of the parent company. She is a director of Editoriale Corriere di Romagna S.r.l., Mo.Net S.r.l. and T.P.S. S.p.A. (Technical Publications Service S.p.A.). Thanks to her professional career within the company she has acquired considerable experience in M&A and contract law. As head of corporate affairs she developed considerable expertise in corporate governance and compliance, with specific reference to the rules applicable to listed companies, as well as with regard to Italian Legislative Decree 231/01 and related subjects, personal data protection, anti-trust and relationships with the Authorities.

Patrizia Canziani

Ms. Patrizia Canziani has acted as Non-Executive Independent Director of SOGEFI S.P.A. since April 2016. She is Member of the Audit and Related Party Transactions Committees of the Company. Ms. Patrizia Canziani is a senior finance professional with over 20 years’ experience at investment banks. She is responsible for advising European institutions on large financing transactions, asset solutions and capital management. Before her experience in finance, she worked as an Economist at the IMF advising the Italian Government on its pension system, and at the London School of Economics as a Lecturer and Research Officer. Ms. Patrizia Canziani has a PhD in Economics from MIT and a degree in Economics from Universita Commerciale Luigi Bocconi.

Roberta Di Vieto

Ms. Roberta Di Vieto has served as Non-Executive Independent Director of Sogefi S.p.A. since April 20, 2010. She also serves as Member of the Audit and Related Party Transactions Committees of the Company and as Member of the Supervisory Body of the Company. She graduated in Law from Universita degli Studi di Parma in the academic year 1993/1994. She has been in the register of Lawyers of Brescia since 1999. She is consultant in groups in Italy and abroad. She is in the Board in a number of companies including Rovagnati SpA, Eurocommercial Properties SpA, Merck SpA, and of companies of Hewlett-Parcard Italiana Srl and Clariant Srl groups. She is Member of the legal and fiscal observatory of the Chamber of Commerce of Brescia. She was Speaker at national and international seminars. She is Member of the Supervisory Body of Clarinat Prodotti Italia SpA, Clariant Distribuzione Italia SpA, Clariant Servizi Italia SpA, Clariant Masterbatches Italia Spa, HP ES Italia Srl, HP ES Energy Srl, Eurocommercial Properties Italia Srl, Rovagnati SpA, Merck SpA and is Member of the Board of Auditors of Parker ITR Srl and Sapsa Bedding Srl.

Giovanni Germano

Mr. Giovanni Germano has served as Non-Executive Independent Director of Sogefi S.p.A. since 1987. He is Member of the Remuneration and Compensation Committees of the Company. He has also been Chairman of the Board and Chief Executive Officer of CSL SpA and Director of CIR SpA since 1989. He previously served as Director of Valeo SA from 1987 to 1996, as Director of Iveco SpA from 1984 to 1986, as Chairman of the Board and Chief Executive Officer of Fiat Allis from 1982 to 1987, as Chief Executive Officer of Magneti Marelli SpA from 1979 to 1982, and as Chief Executive Officer of Gilardini SpA from 1974 to 1979.

Mauro Melis

Mr. Mauro Melis serves as Non-Executive Independent Director of SOGEFI S.P.A. He is Member of the Remuneration and Nominating Committees of the Company. He graduated in Nuclear Engineering at Universita degli Studi di Pisa in 1979. Since April 2012, he has acted as Managing Director of ISTITUTO EUROPEO DI ONCOLOGIA S.r.l. as well as Director of CENTRO CARDIOLOGICO MONZINO, Ttfactor SrL and Gruppo Merceologico Sanita Assolombarda. From 2009 to 2010, he was Managing Director of Si Holding Group and President of VISA Italy.
