Biographies

Name Description

Pierre Pasquier

Mr. Pierre Pasquier serves as Chairman of the Board of the Company. He is also Member of the Nomination, Ethics and Governance Committee at the Company. Prior to this, he served as Chairman and Chief Executive Officer of Sopra Group SA from May 30, 2006. He had already held the post of Chief Executive Officer of the Company from 2001 until June 30, 2003 and was also Chairman until 2001, as well as Chairman of the Management Board of the Company from June 30, 2003 until May 30, 2006. He has been Chairman of the Board of the Company since 1968. Mr. Pasquier holds several other mandates, including Chairman of the Board of Directors of Axway Software, Chairman and Chief Executive Officer of Sopra GMT, among others. He is a graduate of the University of Rennes (mathematics, 1962). Pierre Pasquier has over 50 years’ experience in IT services and corporate management.

Vincent Paris

Mr. Vincent Paris serves as Chief Executive Officer of the Company. He joined Sopra Group on July 27, 1987 after graduating from the Ecole Polytechnique, and has spent nearly his entire career with the group. He held several different leadership positions, notably Director of French operations and Deputy Chief Executive Officer of Sopra. A Member of the Executive Committee since 2011, he was most recently Deputy Chief Executive Officer of Sopra Steria since September 3, 2014.

John Torrie

Mr. John Torrie has been appointed as Deputy Chief Executive Officer, Non-Executive Chairman of Sopra Steria UK and Asia of the Company effective 7/1/2020. He is also Chief Executive Officer of Sopra Steria UK. He joined Steria in 2002 as Managing Director of the United Kingdom operations and became a Member of the Executive Committee in 2007. He has been a recognized professional in the information technology industry for over 40 years, and before joining Steria he held various positions of responsibility, in particular as Global Services Managing Director at SchlumbergerSema.

Eric Hayat

Mr. Eric Hayat serves as Vice Chairman of the Board of the Company. He is Member of the Compensation Committee and Member of the Nomination, Ethics and Governance Committee at the Company. He is President of Eric Hayat Conseil, Chairman of the public interest group Modernisation des Declarations Sociales (MDS GIP). He was co-founder and then Deputy CEO of Steria SA. Mr. Hayat holds an engineering degree from the Ecole Nationale Superieure de l’Aeronautique. He was previously Chairman of Syntec Informatique (1991-1997), and of Federation Syntec (1997-2003), and then a member of the Executive Board of the French employers’ union MEDEF (1997-2005).

Eric Pasquier

Mr. Eric Pierre Pasquier serves as Vice Chairman of the Board of the Company. He was previously Director at the company as of June 27, 2014. He is Chief Executive Officer of Sopra Banking Software, Managing Director and Member of the Board of Directors of Sopra GMT and Director or company officer of subsidiaries (direct and indirect) of Sopra Steria Group. After completing his engineering studies at EPITA, he joined Sopra Steria Group in 1999, handling the operational management of major IT projects. In 2004, he became head of the Group’s operations in Spain to define its delivery model there, which would later be rolled out across the entire Group. Eric Pasquier was then appointed Managing Director of the Spanish subsidiaries, where he oversaw their growth and profitability in a difficult economic context. In 2014, he became Deputy Chief Executive Officer of Sopra Banking Software, and then its CEO in 2016. Since 2014, Eric Pasquier has supported major banking clients in Europe, the Middle East and Africa through their digital transformation, while overseeing the rollout of Sopra Banking Software’s project.

Astrid Anciaux

Ms. Astrid Anciaux serves as Director of the Company. She is Chief Finance Officer of Sopra Steria Benelux, Director or company officer of subsidiaries (direct and indirect) of Sopra Steria Group, Chairman of the Supervisory Board of the Steriactions company mutual fund (FCPE) and Director of Soderi. After studying at EPHEC (Ecole des Hautes Etudes Commerciales) in Brussels, she gained professional experience at an accounting firm before joining the finance department at Steriabel, Steria’s first Belgian subsidiary, in 1987.

Helene Badosa

Ms. Helene Badosa serves as Director representing the employees of the Company. She has worked at Sopra Steria Group for over 20 years. Alongside her professional role, she has also long experience of employee representative bodies. With a master’s degree in information systems, Hélène Badosa began her career running a department at EDS’s data processing centre and went on to become a SAP ERP consultant. She joined Sopra Steria Group in 2001, heading up numerous engineering projects in France and abroad. She is currently a testing specialist for one of Sopra Steria’s key account clients. Thanks to her experience in a broad range of roles, she has in-depth knowledge of issues in the field and the technological environment.

Kathleen Clark Bracco

Ms. Kathleen Clark Bracco serves as Director, Permanent Representative of Sopra GMT of the Company. Prior to that, she served as Director and Director of Financial Communications at the Company from June 19, 2012. She is a Member of the Company's Compensation Committee and Chairman of the Nomination, Ethics and Governance Committee. She is Director of Corporate Development of Sopra Steria Group, Vice-Chairman of the Board of Directors of Axway Software, Director with responsibility for Sopra GMT and Director or permanent representative of Sopra GMT at Sopra Steria Group subsidiaries. A graduate of the University of California, Irvine (literature, 1994) and the University of California, San Jose (English, 1989), Kathleen Clark Bracco began her career in teaching in the United States. She headed up Group Investor Relations for over 12 years.

Gustavo-Alberto de Belmira

Mr. Gustavo-Alberto Roldan De Belmira serves as Director representing the employees of the Company. He has spent his entire career with Sopra Steria Group and has held a number of elected positions on employee represented bodies. He joined the Group in 1985 after graduating with qualifications in civil engineering and urban planning. He was soon running key programmes in banking and insurance, giving him in-depth knowledge of electronic payment systems, lending, tools and practices in this strategic vertical market for the Group. In particular, he ran the Sopra-Atos consortium that managed migration for Crédit Agricole’s regional banks in western France. Technical Director of Services for key banking clients since 2012, Gustavo-Alberto Roldan de Belmira is also highly committed to serving the Group in elected office. His constant concern for social issues and employees’ interests has seen him hold a number of offices including Works Council treasurer, member of the La Défense Health, Safety and Working Conditions Committee and member of the Group’s Board of Directors from 2015 to 2018. He also has experience of starting and running a family-owned business in South America, enabling him to maintain his in-depth knowledge of Hispanic cultures.

Jean-Bernard Rampini

Mr. Jean-Bernard Louis Rampini serves as Non-voting Director of the Company. He is Director of Offers and Innovation at Sopra Steria Group, Chairman of the Board of Directors of Soderi and Founder and Director of Fondation Sopra Steria Group - Institut de France. An alumnus of the Ecole Superieure d’Electronique-Informatique-Automatique, Jean-Bernard Rampini is currently Innovation Executive Manager at Sopra Steria Group and Chairman of the Board of Directors of Soderi. He is also the founder and a Director of the Sopra Steria – Institut de France Foundation. Jean-Bernard Rampini has been with Sopra Steria Group for over 37 years. He became Chief Operating Officer at Steria after having led and developed Steria’s Transport and Manufacturing vertical markets for over 20 years, both in France and abroad, as Deputy Director and then Director of Steria’s Transport and Industry business unit, and Chief Executive Officer of Steria’s Singapore subsidiary. He qualified as an independent director certified by IFA-Sciences Po in 2017.

Solfrid Skilbrigt

Ms. Solfrid Skilbrigt serves as Director of the Company. She is Director of HR & Strategy at Sopra Steria Group Scandinavia, Director of Soderi and Director of the French-Norwegian Chamber of Commerce. She currently oversees Sopra Steria’s Human Resources, Strategy, Marketing and Communications department in Scandinavia. She has a Master’s of Management from the Norwegian Business School specializing in knowledge management, change management, information management and business intelligence. She has been with Steria Group since 2001, holding a variety of positions in human resources in Scandinavia, as well as at the same time taking charge of social and environmental responsibility at Group level, until the tie-up with Sopra in 2015. From 1986 to 2001, she worked for the Bull group in Norway as Business Director, head of the infrastructure unit and Human Resources Director.

Michael Gollner

Mr. Michael S. Gollner serves as Independent Director of the Company. He is Director of Axway Software, Executive Chairman of Madison Sports Group, Managing Partner of Operating Capital Partners and Director of Get Healthy Inc., The Idea Village. Michael Gollner has been a member of the Board of Directors of Axway Software since 24 May 2012. Since 2013, he has been Executive Chairman of Madison Sports Group, promoter of the Six Day Series professional cycling events. He is also Managing Partner of Operating Capital Partners, an investment firm that he founded in 2008. He previously served as Managing Director – Europe for Citigroup Venture Capital (and then its successor, Court Square Capital) from 1999 to 2008. Before that he had worked for several investment banks: Marine Midland Bank from 1985 to 1987, Goldman Sachs International from 1989 to 1994 and Lehman Brothers International from 1994 to 1999. Michael Gollner is a graduate of Tulane University in New Orleans and holds an MBA from the Wharton School as well as an MA in International Studies from the University of Pennsylvania.

Jean-Luc Placet

Mr. Jean-Luc Placet serves as Independent Director of the Company. He is Chairman of the Compensation Committee and Member of the Nomination, Ethics and Governance Committee at the Company. He is also PwC Partner, Chairman of IDRH SA and EPIDE. He is a graduate of ESSEC and began his career in Saint-Gobain's marketing department, then worked for the French monthly business magazine L'Expansion, before joining IDRH in 1981, where he has served as Chairman and Chief Executive Officer since 1992. In 2005, Mr. Placet was named to the Conseil Economique et Social, a consultative body for economic and social policy established by the French Constitution, and became vice-chairman of the Conseil's labour and employment section in 2010. Since 2007, he has been a member of the Executive Committee of MEDEF, the French employers' union, and was named chairman of its "Respect de l'Homme" (human rights) committee in 2010, a position he still occupies today. In 2011, Mr. Placet was appointed Chairman of Federation Syntec, the umbrella organization for French professional associations in the IT services, consulting, engineering, market research and public relations sectors. He previously served as Chairman of Syntec Conseil en Management, one of the five professional associations grouped under Syntec Etudes et Conseil, from 2004 to 2010 and as Chairman of FEACO, the European federation of management consultancy associations, from 2006 to 2008. Mr. Placet was appointed Honorary Chairman of ESSEC Alumni. In 2009, he was named a Director of EPIDE, a French government agency that assists young people in finding employment. In 2001, he became a Director of the Association du Musee de la Legion d’Honneur and a member of the Institut de l'Entreprise.

Sylvie Remond

Ms. Sylvie Remond serves as Independent Director of the Company. She is currently Chief Risk Officer of Societe Generale and Director of Sogecap, SGBT Luxembourg, Rosbank Russia (Societe Generale group), and of KB Financial Group, among others. After graduating from the ESC business school in Rouen, she joined Societe Generale in 1985 and held a number of positions, first within the Personal Customers business and then in Large Corporates. In 1992, she joined the acquisition finance team within the structured finance business. In 2000, she was placed in charge of the team responsible for syndicated corporate and acquisition finance. She joined the Risk department in 2004 as Head of Credit Risk, Corporate and Investment Banking and was appointed Deputy Group Risk Director in January 2010, a position she held until January 2015. In January 2015, she was appointed Co-Head of the Coverage and Investment Banking Division, a position she held until May 2018.

Marie-Helene Rigal-Drogerys

Ms. Marie-Helene Rigal-Drogerys serves as Independent Director of the Company. She is Chairman of the Audit Committee at the Company. She is Advisor to the President on Campus Policy, Ecole Normale Superieure de Lyon and Expert member of the Advisory Board, Institut Mines-Telecom (IMT) Albi-Carmaux, and she has previously been Consultant and Partner of ASK Partners. With a PhD in mathematics, she began her career as a lecturer and researcher at the University of Montpellier and then at Ecole Normale Superieure de Lyon. She then joined Mazars as Senior Manager, where she notably managed Sopra Group’s financial audit. Since 2009, she has worked in strategic and organizational consulting.

Jean-Francois Sammarcelli

Mr. Jean-Francois Sammarcelli serves as Independent Director of the Company. He is Chairman of the Supervisory Board at NextStage, Director of Credit du Nord, Director of Boursorama, Director of Sogeprom, Member of the Supervisory Board of Societe Generale Marocaine de Banques, Director of Societe Generale Monaco and Non-Voting Director of Ortec Expansion. He is a graduate of the Ecole Polytechnique and spent his entire career at Societe Generale. In particular, he served as Deputy Chief Executive Officer and Head of Retail Banking in France from 2010 to 2014, his last positions before his retirement in 2015. He also was Chairman of the Board of Directors of Crrdit du Nord and a Director of Banque Tarneaud and Amundi Group.

Jessica Scale

Ms. Jessica Scale serves as Independent Director of the Company. She is Chairman of Digitfit and Independent consultant specializing in the challenges posed by the digital transformation. Jessica Scale is currently Chair of DigitFit, a hub that provides executive consulting services in the area of digitization, and an independent consultant specializing in the challenges posed by the digital transformation. A graduate of Sciences Po Paris and holder of a PhD in political science, she has taught at Sciences Po Paris since 1990. Having begun her career in strategy consulting (at Bossard and PwC), she held a number of operational management positions at tech companies (including IBM Global Services, Unisys and Logica). She has also written a number of books on strategy, communication and marketing.

Olivier Psaume
