Catia Bastioli

Ms. Catia Bastioli serves as Chairwoman of the Board at Terna - Rete Elettrica Nazionale Societa per Azioni since May 2014. She co-founded the research center Fertec renewable raw materials, which became Novamont SpA, a company in which she holds the position of Chief Executive Officer and where it has operated since 1999 covering various positions, most notably those of the first Technical Director and Director General. She is President of Mater-Biopolymer Srl, Member of the Board and the Steering Committee of Federchimica, the Executive Committee of PlasticsEurope and Italy President of Kyoto Club. Since May 2013, Director of Fondazione Cariplo. She is a member of Advisory Board important at European level, such as the High Level Group on Key Enabling Technologies and Bioeconomy Panel, the strategic platform designed to support the implementation of the Bioeconomy strategy in Europe. She is Chairman of SPRING - Sustainable Processes and Resources for Innovation and National Growth, Cluster technology National Green Chemistry. 2014 is also a member of the Board of Advisors of the Foundation for Symbola Italian Quality and the Presidential Committee of the Foundation for Sustainable Development, the Presidential Committee Civita association and of the Evaluation Committee of the foundation Raul Gardini. Since December 2014 Full Member the international NGO The Club of Rome. She has developed and tested the model of Biorefineries third generation. Luigi Ferraris

Mr. Luigi Ferraris serves as Chief Executive Officer, General Manager of TERNA - RETE ELETTRICA NAZIONALE SOCIETA PER AZIONI since May 1, 2017. He started his career in the auditing sector of PriceWaterhouse back in 1988 and from 1990 onwards held various managerial positions followed by senior management positions in major Italian and multinational industrial companies, starting out with businesses like Agusta, Piaggio VE, Sasib Beverage and Elsag Bailey Process Automation, at the time a member of the Finmeccanica Group and listed on the NYSE. From 1998 to 1999, he was Chief Financial Officer (CFO) for Elsacom, a company of the Finmeccanica Group operating in the field of satellite telephony. In 1999, he then joined the Enel Group where, until 2001, he was CFO of Eurogen, Elettrogen and Interpower, generation companies intended to be sold off as part of the liberalisation of the Italian electricity market. He then went on to hold numerous offices of increasing importance in the administration of important subsidiaries, as CFO. More specifically: from 2002 to early 2004, he was Head of Planning, Control, Administration and Services of the “Infrastructures and Networks” and “Markets” Divisions; from December 2004, Sole Director of ENEL Servizi, a company of which he was then made Chairman with delegations from 2007 to March 2014; from 2004 to 2005, Head of Planning and Control of the Enel group and from June 2005 Manager of the Administration, Planning and Control Function; from June 2009 to November 2014, he was then made CFO of the Enel Group, at this time guiding both the listing of Enel Green Power S.p.A., a company he chaired from 2009 to 2014 and all the Group’s important capital market activities, as well as the rationalisation of the Latin American subsidiaries, strategic planning and M&A operations. From November 2014 to January 2015, he was Head of the Latin America Area and CFO of the Chilean Enersis S.A.

Agostino Scornajenchi

Mr. Agostino Scornajenchi serves as Chief Financial Officer, Head of Administration, Finance and Control of TERNA - RETE ELETTRICA NAZIONALE SOCIETA PER AZIONI since September 1, 2017. He previously held the position of Planning and Control Manager of the Poste Italiane Group, where he also managed the company’s listing on the stock exchange. He was also previously CFO of GDF Suez Italia, the holding of the French Group’s business in Italy and Greece, for which he also managed Tirreno Power debt restructuring; as well as CFO of Acea Electrabel (joint venture between the Italian company Acea and the Belgian Electrabel). In addition, in the past he held several important positions in the context of the Administration and Control Department of Enel Group companies. Agostino Scornajenchi has a degree in Business and Economics.

Luigi Michi

Mr. Luigi Michi serves as Chief Executive Officer of Terna Plus and Director of Strategy and Development Department of TERNA - RETE ELETTRICA NAZIONALE SOCIETA PER AZIONI. He is also CEO of Terna Plus Srl, (company group focused on the Non Regulated Activites). He joined the company after a long and intense experience in Enel as Executive Vice President, Head of the Energy Management Business Area, engaged in managing and dispatching the whole Italian generation portfolio, as well as dealing with the trading activities in the European markets, over the last ten years. Before joining the generation industry, starting since 1988, he had been undertaking several activities related to the grid and power transmission line world (design, construction, control). From 1984 to 1987 he joined the ENI group, dealing with turbogas power station designing and job management (turn key contracts). Luigi Michi graduated from the Universita degli Studi di Pisa in Electrical Engineering in 1983. During the following years he attended several senior executive business programs (Columbia University, Harvard, IESE).

Pier Francesco Zanuzzi

Mr. Pier Francesco Zanuzzi serves as Chief Executive Officer Terna Rete Italia of TERNA - RETE ELETTRICA NAZIONALE SOCIETA PER AZIONI since May 2015. He has been working for Terna since its incorporation, Responsible for Maintenance activities for the Sardinia Island portion of the National Transmission Grid from 2005 to 2009, then as Responsible for Grid Development Planning and Connection to the Grid. In 2011 he has been appointed Director of the National Dispatching Department in Terna Rete Italia S.p.A., responsible for real time operation of the National Electric System and ancillary market operation. From 1996 to 1999 in Enel, he worked as controller within the Planning & Internal Control Direction of the Transmission Division. In June 2015 he has been appointed Chairman of Coreso Board of Directors, a Belgian company participated by main European TSO’s in charge of the operational security coordination in the European electricity system. Member of CESI S.p.A Board of Directors, he also represents Terna at CEI (Comitato Elettrotecnico Italiano), the Italian organization for technical standardization in the electrotechnical, electronic and telecommunication field. Pier Francesco Zanuzzi graduated in Electrical Engineering in 1994 from Universita degli Studi di Roma La Sapienza and attended the Young Managers Programme at INSEAD in 2005.

Giovanni Cerchiarini

Mr. Giovanni Cerchiarini serves as Head of the International Engineering & Construction of TERNA - RETE ELETTRICA NAZIONALE SOCIETA PER AZIONI. Giovanni devoted the major part of his career to Saipem, a global leader in engineering, procurement, construction and installation of complex onshore and offshore projects in the oil & gas, power and infrastructure industry sectors, where he served in a number of leadership capacities. Giovanni began his professional relationship with the firm in 1990 as a Site Superintendent, and he quickly progressed to more senior roles, including Construction Manager, Project Manager and Project Director in various jurisdictions. Within just ten years, Giovanni was promoted to Operations Manager Onshore in Nigeria, a position which expanded his responsibilities to include all onshore projects within his region. Four years later he became the country’s Managing Director. His responsibilities included overseeing the overall regional operations and project acquisitions, defining bid strategies and execution schemes, as well as promoting the interests of the Saipem Group regionally, coordinating the development of assets and facilities to fit the country national content’s requirements.

He was also responsible for managing personnel, planning, development, organisation, industrial relations, workplace safety and personnel administration. Head of Personnel and Structure from November 2013 to October 2014 at Enel Green Power SpA, the company works on developing, designing, building and managing energy production plants using renewable sources. It has roughly 4,000 employees, of whom about 55% in Italy, 15% in the rest of Europe and in South Africa, 21% in Latin America, 9% in the USA. Luca Torchia

Mr. Luca Torchia serves as Head of External communication and Sustainability of TERNA - RETE ELETTRICA NAZIONALE SOCIETA PER AZIONI. Head of Investor Relations at Poste Italiane Group, from March 2015 to May 2017, with management responsibilities of the relationships with national and international institutional investors, whether equity (shareholders and potential shareholders - including so-called SRI (socially responsible investors)) or fixed Income; with financial analysts and rating agencies. In this context, he also had the responsibility of drafting the Group’s equity story, as well as managing meetings between top management and the financial community (also through worldwide roadshows). In particular, from March to October 2015, he managed responsibility and coordination roles, various phases of origination, investor targeting, pre-marketing and marketing of Poste Italiane’s privatization and subsequent IPO process that led to the company’s blue chip listing on the Italian Stock Exchange. From September 1999 to March 2015 he was Head of Investor Relations at the Enel Group. In this position he covered, with increasing roles of responsibility, important operations such as: IPO Enel S.p.A. and successive listing on the Italian Stock Exchange and the NYSE; private placement of the 2nd instalment of Enel shares on the market, OPV of the 3rd and 4th instalments of Enel shares on the market. Paola Giannotti

Ms. Paola Giannotti serves as Independent Director of TERNA - RETE ELETTRICA NAZIONALE SOCIETA PER AZIONI. Since 2016, she has been a Director on the Supervisory Committee, Chairwoman of the Risks Committee and a member of the Related Parties Committee in UBI Banca S.p.A. She has been a Board Member and member of the Audit and Risk, Corporate Governance and Sustainability Committee of Terna S.p.A. since 27 April 2017. From 2015 to 2016, she was Director on the Board of Ansaldo STS S.p.A., as well as member of the Audit and Risk Committee, also acting on the Related-Party Transactions Committee. She has held various managerial roles throughout her thirty years of experience both in Italy and internationally, in the financial sector, in the Corporate and Investment Banking area, working in corporate finance, as well as in the capital-markets, extraordinary-operations and project-financing sectors. Her company experience includes the role of financial analyst for Montedison (1986-1987) and Sviluppo Finanziaria Milano (1988-1989), as well as business analyst at The Mac Group (1987-1988). From 1989 to 1998, she worked at the London office of Morgan Stanley as corporate finance analyst first and thereafter as head of operations in Portugal, followed by New York, in the equity-capital-markets sector, and Milan developing the Italian customer base. Later, at the London Citigroup, from 1998 to 2001, she was made Managing Director and Head of the Italian Investment Banking business in Italy, whilst from 2001 to 2003, she was Managing Director at Dresdner Kleinwort Wasserstein of London, responsible for the bank’s business in Italy, member of the European Committee, Managing Director and member of the European Council of Country Heads as well as member of the Board of Directors of Dresdner Kleinwort Wasserstein SGR. At BNP Paribas, in Milan from 2003 to 2013, she was Managing Director responsible for the management and development of the Key Accounts portfolio, which included Terna S.p.A., and was Head of the Energy.

He has held prestigious public commissions and executive positions in major companies Italian. Since February 2005 he has been Director of External Relations, Institutional and Business Development Group under Caltagirone which he is also a Director of Cementir Holding SpA. He is also a Directo ofr Grandi Stazioni SpA, "Il Gazzettino", BSI (Italian Swiss Bank), and, since 2009, Senior Advisor for Italy of Credit Suisse. Also is a Director of the CRT Foundation (of which he is Chairman of the Investment Committee) and Vice President of Foundation Development and Growth. A Director, member of the Remuneration Committee and the Related Party Transactions Committee of Terna SpA from May 2014. Among his professional experience is past include: the head of the Technical Secretariat of the Minister of Economy and Finance (2001) and member of the for the introduction of the euro, the activities for the preparation of international issues carried out in the Ministry of Defense in the Office of the Diplomatic Advisor to the Minister at the Centre for Military and Strategic Studies (1997), and, in Enel, the role of head of Institutional Affairs, relations with the Territory and relations with Confindustria (2003). From 1998 to 2001 he worked in Olivetti / Mannesmann, with the Company Infostrada in the fields of communication, Human Resources, right down to assume the role of Head of public Affairs. Stefano Saglia

Mr. Stefano Saglia serves as Non-Executive Independent Director at Terna - Rete Elettrica Nazionale Societa per Azioni since May 2014. He is Strategic consultant in the industrial and financial sectors, operates at the company "Palace Novecento" from March 2013. He is a professional journalist writing to the Order of Journalists of Lombardy and accountant. Currently he is also a member of the Senior Council Strategic Advice, Expert Group Committee Ideas for Sustainable Development ENEA and the Scientific Committee of the Magna Carta Foundation. Board Member and Chairman of the Committee Related Party Transactions Terna S.p.A. from May 2014. He began his career as a professional journalist (from 1993) in various newspapers and, from 1995 to 2000 he served as Director the Office of the Presidency of the Regional Council of Lombardy. He has held numerous important positions and institutional, including: ember of the Chamber of Deputies from 2001-2013; Undersecretary at the Ministry of Economic Development with responsibility for Energy, roadworthy, cooperatives, the protection of competition and the Presidency of the National Consumer Council from 2009 to 2011; President of the Commission "Public and Private Sector" at the Chamber of Deputies; Vice President of Commission of Inquiry into the waste cycle as part of the Productive Activities Commission of the Chamber of Deputies. He carried out tasks of administration in some Italian companies like Immobiliare Fiera SpA Brescia 2000-2002 and Consortium INN.TEC srl to which the Vice President.
