Name Description

Rory Cutaia

Mr. Rory J. Cutaia is Chairman, President, Chief Executive Officer, Secretary, Treasurer and Director of the Company. Rory J. Cutaia founded bBooth USA (formerly Cutaia Media Group, LLC) in August 2012. Prior to joining bBooth USA, Mr. Cutaia was a partner with Corinthian Capital Group, Inc., a private equity fund based in New York involved in investing in middle market U.S. based companies, from October 2006 to August 2011. During his tenure at Corinthian, from June, 2008 to October 2011, Mr. Cutaia was the co-founder and Executive Chairman of Allied Fiber, Inc., a company engaged in the construction of a nation-wide fiber-optic network and from June 2007 to August 2011, Mr. Cutaia was CEO of GreenFields Coal Company, a company engaged in the deployment of technology to recycle coal waste and clean-up coal waste sites. Before joining Corinthian, from January 2000 to October 2006, Mr. Cutaia was the Founder, Chairman and CEO of The Telx Group, Inc., a company engaged in the telecom carrier inter-connection, colocation and data center business, which he sold in 2006. Before founding Telx, Mr. Cutaia was a practicing lawyer with a prominent New York firm. Mr. Cutaia obtained his JD in law from the Fordham University School of Law in 1985 and his Bachelor of Science from the New York Institute of Technology in 1982.

Jeffrey Clayborne

Mr. Jeff Clayborne is Chief Financial Officer of the Company. Mr. Clayborne is an experienced finance professional with an entrepreneurial spirit and proven record of driving growth and profit for both Fortune 100 as well as start-up companies. He brings with him more than 20 years of experience in all aspects of strategy, finance, business development, negotiation, and accounting. Mr. Clayborne earned his MBA from University of Southern California, with high honors and began his career as a CPA at McGladrey & Pullen, then KPMG Peat Marwick. He then moved on to senior finance positions at The Walt Disney Company, including Senior Finance Manager at Walt Disney International, where he oversaw financial planning and analysis for the organization in 37 countries. Thereafter, Mr. Clayborne moved on to Universal Music Group where he was Vice President, Head of Finance & Business Development for Fontana, where he managed the financial planning and analysis of the sales and marketing division, and led the business development department.

Chad Thomas

Mr. Chad Thomas is Chief Technology Officer of the company. Mr. Thomas has extensive engineering, technology, programming, and software development experience, and a proven track record of innovation and building for scale. Mr. Thomas' background includes: Architect, designer and coder of MySpace, where he built the platform that accommodated rapid global growth for millions of users; Co-Founder, architect and CTO of Lifespeed, Inc., a revolutionary health and wellness platform that allows families, medical professionals, and caretakers to safely store and share medical history data and participate in clinical trials; and CTO of Swarm Engineering, where he created the technology to allow edge IoT devices to work in a swarm to solve problems in a traditional cloud-based analytics architecture. Mr. Thomas began his career as an Airborne Ranger. Mr. Thomas studied electrical engineering at the University of Nebraska and has an M.S. in electrical engineering and computer science from Massachusetts Institute of Technology.

Mitchell Bledsoe

Mr. Mitchell Duane Bledsoe serves as Chief Information Officer of the Company. He joins the Company with decades of leadership experience, including nearly 20 years of strategic IT senior leadership experience across the high tech, financial services, advertising and retail industries. He served as Vice President of Technology at AutoZone from October 2019 to September 2020 and as Vice President of Technology at Assurant from October 2013 to October 2019. He also previously served as Vice President of Technology at ALLDATA, Vice President of Technology at iHeartMedia and Vice President of Technology at First American Corporation. While working for these companies in these capacities, Mr. Bledsoe led multiple domestic and international teams through successful large-scale product development efforts, legacy modernizations, corporate applications, and the buildout and maintenance of IT infrastructure. Mr. Bledsoe holds a Bachelor of Science degree in Business Administration and Management from Canterbury University.

Julie Holdren

Ms. Julie Ann Holdren serves as Chief Product Officer of the Company. She brings to the Company 25 years in executive-level operations and product management positions within multiple technology companies, including as the Chief Product Officer of Koolspan from September 2015 to February 2020. She was recognized as SmartCEO magazine’s top CPO for executive management. Ms. Holdren has testified before the U.S. Senate on technology workforce issues and has also served on the White House Millennium Council and boards of directors of the Girl Scouts of the Nation’s Capital, the Alexandria, Virginia Chamber of Commerce, and the Greater Washington Board of Trade. Ms. Holdren holds a Bachelor of Science degree in Computer Science from George Mason University, where she has been named Alumnus of the Year and received the Outstanding Engineering Entrepreneurial award from the School of Engineering.

Kym Nelson

Ms. Kym Nelson serves as Chief Content Officer of the Company. A digital advertising and sales executive recognized as a subject matter expert on gaming, live streaming media, eSports and branded content, Ms. Nelson joins VERB after highly successful stints at Twitch, Maxim Magazine, Interplay Games and Fox Interactive, among others. As Vice President of West Coast Sales for Fox Interactive, IGN Entertainment and Myspace, she championed and gained approval to create Fox Interactive Media's first vertical sales team to represent both IGN Entertainment and Myspace. Her vision paid off, achieving annual sales of $35 million and tripling Myspace gaming industry revenue from $3 million to $10 million. In 2013, Ms. Nelson was recruited as Senior Vice President, West Coast Sales at Twitch, at the time an early-stage pre-IPO company. Kym played a critical role in positioning the company—which has become the world's leading live streaming video platform and community for gamers with up to three million broadcasters and 100 million monthly viewers—for acquisition by Amazon. At Twitch, she built and inspired a world-class team of 20, built the sales story and methodology, and was instrumental in driving revenue growth from $2 million to $40 million.

James Geiskopf

Mr. James P. Geiskopf serves as Lead Independent Director of the Company. Mr. Geiskopf has 32 years of experience leading companies in the services industry. From 1975 to 1986, Mr. Geiskopf was the Chief Financial Officer of Budget Rent a Car of Fairfield California and from 1986 to 2007, he was the President and Chief Executive Officer. In 2007, Mr. Geiskopf sold the franchise and its four locations. Mr. Geiskopf served on the Board of Directors of Suisun Valley Bank from 1986 to 1993. Mr. Geiskopf also served on the Board of Directors of Napa Valley Bancorp from 1991 to 1993. The bank holding company was sold to a larger institution in 1993. Mr. Geiskopf is currently serving on the Board of Directors of Electronic Cigarettes International Group since June 2013, a public company quoted on the OTCQB. He is the Chairman of the Compensation Committee. Mr. Geiskopf has also served as an officer and director of several other public companies.

Phillip Bond

Hon. Phillip J. Bond is Director of the Company. From 2001 to 2005, Mr. Bond was Undersecretary of the U.S. Department of Commerce for Technology, and from 2002 to 2003 served concurrently as Chief of Staff to Commerce Secretary Donald Evans. In his dual role, Mr. Bond worked closely with Secretary Evans to increase market access for U.S. goods and services and further advance America's technological leadership at home and around the world. He oversaw the operations of the National Institute of Standards and Technology (NIST), the Office of Technology Policy, and the National Technical Information Service. During his tenure, the Technology Administration was the pre-eminent portal between the federal government and the U.S. technology industry. Earlier in his career, Mr. Bond served as Senior Vice President of Government Relations for Monster Worldwide, the world's largest online career site, and General Manager of Monster Government Solutions. Mr. Bond also served as Director of Federal Public Policy for the Hewlett-Packard Company; Senior Vice President for Government Affairs and Treasurer of the Information Technology Industry Council; as Chief of Staff to the late Congresswoman Jennifer Dunn (R-WA); Principal Deputy Assistant Secretary of Defense for Legislative Affairs; Chief of Staff and Rules Committee Associate for Congressman Bob McEwen (R-OH); and as Special Assistant to the Secretary of Defense for Legislative Affairs.

Kenneth Cragun

Mr. Kenneth S. Cragun is Independent Director of the Company. Mr. Cragun is currently Chief Financial Officer of CorVel Corporation, (NASDAQ: CRVL), a $1.1B market cap company and a nationwide leader in technology driven risk management programs. Mr. Cragun has been with CorVel since January 2018. He is also a CFO Partner at Hardesty, LLC, a national executive services firm since October 2016. Among his achievements prior to joining CorVel, Mr. Cragun served as chief financial officer of two NASDAQ-listed companies: Local Corporation, from April 2009 to September 2016, which operated Local.com, a U.S. top 100 website; and Modtech Holdings, Inc., from June 2006 to March 2009, a supplier of modular buildings. Mr. Cragun is also a CPA and began his professional career at Deloitte. Mr. Cragun earned his BS in Accounting from Colorado State University-Pueblo and his AAS in Business Management from Brigham Young University-Idaho. He is also a two-time finalist for the Orange County Business Journal “CFO of the Year” – Public Companies.

Judith Hammerschmidt

Ms. Judith Hammerschmidt has been appointed as Independent Director of the Company effective 12/20/2019. She will bring to VERB's board nearly 40 years of experience as an international attorney, corporate general counsel, and public company director, with experience at the highest levels of the direct sales industry. Ms. Hammerschmidt is the principal of JLH Advisors, LLC, through which she serves as outside counsel and advisor to global companies looking to expand both domestically and internationally. Ms. Hammerschmidt began her legal career at The United States Department of Justice (DOJ), where she served as a Special Assistant to two consecutive Attorneys General. As Special Assistant, she focused on international matters of interest to the U.S. government, including negotiating treaties and agreements with foreign governments. Following her tenure at the DOJ, Ms. Hammerschmidt joined Dickstein, Shapiro & Morin, LLP, a Washington, DC-based law firm, where she represented global companies as they expanded into highly-regulated environments. Her client base included: Guess?, Inc., Pfizer Inc., Merck & Co., Inc., The Receiver for BCCI Bank of the United Arab Emirates, Recycled Paper Products, and Herbalife International, Inc., among many others. In 1994, Ms. Hammerschmidt joined Herbalife International as Vice President and General Counsel of Europe and was promoted to Executive Vice President and International Chief Counsel in 1996, where she was responsible for managing all legal matters across 60 countries. Ms. Hammerschmidt served as an integral part of the management group that sold Herbalife International in 2002. Ms. Hammerschmidt received her B.A. in Public Policy and Political Science from Duke University and her J.D. from the University of Pittsburgh School of Law.

Nancy Heinen

Ms. Nancy R. Heinen serves as Independent Director of the Company. She is currently a board member, investor, strategy consultant, and startup advisor with more than 25 years of experience in senior executive roles in Silicon Valley. In 1997, she was recruited by Steve Jobs to join the executive team of Apple Inc. (“Apple”) and assisted in its turnaround. During Ms. Heinen’s tenure at Apple, her responsibilities included all legal matters, including intellectual property litigation, acquisitions, corporate governance, and securities compliance, as well as global government affairs and corporate security. Previously, she served as General Counsel of NeXT Software, Inc., and Associate General Counsel at Tandem Computers, Inc. Ms. Heinen currently acts as Board Chair of Teen Success and First Place for Youth, is a board member and past board chair of SV2 – Silicon Valley Social Venture Fund, and serves on the advisory boards of Illuminate Ventures, University of California, Berkeley Center for Law and Business, and the Northern California Innocence. Ms. Heinen received her B.A. and J.D. from the University of California at Berkeley.
