Name Description

Elizabeth Duke

Ms. Elizabeth A. Duke is re-designated as Independent Chairman of the Board of the Company effective January 1, 2018. Ms. Duke served as a member of the Federal Reserve Board of Governors from August 2008 to August 2013, where she served as chair of the Federal Reserve’s Committee on Consumer and Community Affairs and as a member of its Committee on Bank Supervision and Regulation, Committee on Bank Affairs, and Committee on Board Affairs. From March 2014 to September 2015, she served as executive-in-residence at Old Dominion University, Norfolk, Virginia (higher education). Previously, she was chief operating officer of TowneBank from 2005 to 2008, and was an executive vice president at Wachovia Bank, N.A. (2004 to 2005), and at SouthTrust Bank (2001 to 2004), which was acquired by Wachovia in 2004. Ms. Duke also served as CEO of Bank of Tidewater, which was acquired by SouthTrust, and CFO of Bank of Virginia Beach.

Timothy Sloan

Mr. Timothy J. Sloan serves as President, Chief Executive Officer, Director of Wells Fargo & Company. Sloan joined Wells Fargo 29 years ago, launching a career that would include numerous leadership roles across the Company’s wholesale and commercial banking operations, including as head of Commercial Banking, Real Estate and Specialized Financial Services. He became president and COO in November 2015, when he assumed leadership over the Company’s four main business groups: Community Banking, Consumer Lending, Wealth and Investment Management and Wholesale Banking. Previously, he headed the Wholesale Banking group after serving as the Company’s Chief Financial Officer and, prior to that, as the Company’s Chief Administrative Officer.

John Shrewsberry

Mr. John R. Shrewsberry has been appointed as Chief Financial Officer, Senior Executive Vice President of the Wells Fargo & Company, effective May 15, 2014. Mr. Shrewsberry is currently head of Wells Fargo Securities, which is the trade name for the capital markets and investment banking services of the Company and its subsidiaries, including Wells Fargo Securities LLC which he has led since 2009. He has served in various other leadership capacities at Wells Fargo Securities and its related predecessor businesses since 2006, including head of the Securities and Investment Group. Prior to 2006, Mr. Shrewsberry served as head of Wells Fargo Commercial Capital, the successor to a commercial finance company that he cofounded prior to its acquisition by the Company in 2001. Mr. Shrewsberry has served with the Company or its predecessors for 18 years.

Hope Hardison

Ms. Hope A. Hardison is Senior Executive Vice President, Chief Administrative Officer, and Human Resources Director of Wells Fargo & Company. She was Executive Vice President - Human Resources since September 2010 of Wells Fargo &Company. Senior Vice President (Human Resources) from April 2008 to September 2010. Ms. Hardison has served with the Company or its predecessors for 24 years.

C. Parker

Mr. C. Allen Parker has been appointed as Senior Executive Vice President, General Counsel of the Company, effective March 27, 2017. Mr. Parker will join Wells Fargo from Cravath, Swaine & Moore LLP, where he currently serves as a partner in the firm's Corporate Department and as a member of its Corporate Governance and Board Advisory Practice. During his more than 25 years with the firm, he served in a number of leadership positions, including presiding partner and head of the firm's Corporate Department. He also served as the chair of the firm's Diversity Committee for many years. As Cravath's presiding partner, the firm's most senior position, Parker was responsible for strategic planning, risk management, financial analysis and reporting, business development, and the management of the firm's 86 partners and more than 1,200 employees. Parker has extensive experience in a broad range of matters in the areas of general corporate practice, commercial bank financing, securities offerings, mergers and acquisitions, and derivative transactions. Earlier in his career, he served in a clerkship with Hon. Amalya Kearse of the U.S. Court of Appeals for the Second Circuit. Parker received a B.A. degree magna cum laude from Duke University, and earned an M.A. from the University of Chicago. He earned a J.D. magna cum laude from Columbia Law School, where he was a Harlan Fiske Stone Scholar and Notes and Comments Editor of the Law Review. He is a member of the New York State Bar Association and of the New York City Bar Association, where he served on the Corporation Law Committee from 2009 to 2012.

Richard Levy

Mr. Richard D. Levy serves as Executive Vice President and Controller of Wells Fargo & Company. He was Executive Vice President and Controller since February 2007; Senior Vice President and Controller from September 2002 to February 2007. Mr. Levy has served with the Company for 14 years. He is an accounting graduate of Pennsylvania State University and received his master's degree in taxation from Pace University's Lubin School of Graduate Studies. He is also a Certified Public Accountant.

Avid Modjtabai

Ms. Avid Modjtabai is Senior Executive Vice President - Payments, Virtual Solutions and Innovation of the Company, effective November 1, 2016. She was Senior Executive Vice President - Consumer Lending of Wells Fargo & Company. She was Executive Vice President and Chief Information Officer from April 2007 to July 2011; and Executive Vice President (Human Resources) from June 2005 to April 2007. Ms. Modjtabai has served with the Company or its predecessors for 23 years.

Perry Pelos

Mr. Perry G. Pelos is Senior Executive Vice President - Wholesale Banking of the Company, with effect from November 1, 2016. He was Executive Vice President (Commercial Banking Services Group) from January 2016 to November 2016; Executive Vice President (Commercial Banking, f/k/a Middle Market Banking) from May 2009 to January 2016. Mr. Pelos has served with the Company or its predecessors for 29 years.

Jonathan Weiss

Mr. Jonathan G. Weiss serves as Senior Executive Vice President - Wealth and Investment Management of the Company. He served as President and Chief Executive Officer of Wells Fargo Securities, LLC from May 2014 to June 2017; Managing Director of Wells Fargo Securities, LLC (Investment Banking, Securities & Markets, f/k/a Investment Banking & Capital Markets) from June 2008 to May 2014. Mr. Weiss has served with the Company or its predecessors for 12 years.

Mary Mack

Ms. Mary T. Mack is Senior Vice President - Consumer Lending of the Company. She was Executive Vice President (Wells Fargo Clearing Services, LLC, f/k/a Wells Fargo Advisors, LLC) from December 2009 to November 2016. Ms. Mack has served with the Company or its predecessors for 32 years.

Amanda Norton

Ms. Amanda Norton is Chief Risk Officer of the Company. As Wells Fargo’s chief risk officer, Norton will oversee all aspects of the company’s independent corporate risk function and risk oversight activities, including credit risk, market risk, operational risk, compliance, information security risk and conduct risk. She will report directly to Sloan and to the risk committee of the company’s Board of Directors. She will also serve as a member of the company’s Operating Committee and as an executive officer. Norton will be instrumental in driving the company’s efforts to become a leader in risk management, one of the company’s six goals. Norton, who spent the first six years of her career at Chase Manhattan Bank, joined JPMorgan Chase in 2011 as the chief risk officer for home lending; in 2013 she took on her most recent role, where her responsibilities included risk oversight for home lending, card services, auto finance, business banking, consumer banking, and payments. Previously, she was with Ally Financial serving as a market and credit risk executive. She also spent 14 years at Bank of America in various roles. Norton is a board director of the Risk Management Association. She also volunteers her time with The Financial Clinic and with the University of Bath Alumni Foundation. At Bath University, she established a scholarship for female students pursuing mathematical sciences, and a scholarship for those pursuing a PhD in Mathematics.

John Baker

Mr. John D. Baker, II, is an Independent Director of Wells Fargo & Company. Mr. Baker has served as Executive Chairman and a director of FRP Holdings, Inc. (formerly Patriot Transportation Holding, Inc. prior to the spin-off of its transportation business in early 2015), Jacksonville, Florida (real estate company) since October 2010. He served as President and Chief Executive Officer of Patriot from February 2008 until October 2010. He served as President from May 1989, and Chief Executive Officer from February 1996 of Florida Rock Industries, Inc., Jacksonville, Florida until November 2007. Mr. Baker also currently serves as Chairman of Panadero Aggregates Holdings, LLC, a construction aggregates company located in Jacksonville, Florida, and a senior advisor for Brinkmere Capital Partners, LLC, a private equity firm. He was formerly a director of Duke Energy Corporation, Progress Energy Inc., Texas Industries, Inc., and Patriot Transportation Holding, Inc.

Celeste Clark

Dr. Celeste A. Clark, Ph.D., serves as Independent Director of the Company., effective January 1, 2018. Clark is a principal of Abraham Clark Consulting, LLC, a health and regulatory policy consulting firm. She is the retired senior vice president of Global Public Policy and External Relations and chief sustainability officer of Kellogg Company, a food manufacturing company. She served as senior vice president of Global Public Policy and External Relations from 2010 and chief sustainability officer from 2008 until 2011. Clark joined Kellogg in 1977 and held other senior management positions, including vice president of Corporate and Scientific Affairs and senior vice president of Global Nutrition and Corporate Affairs. She is an adjunct professor at Michigan State University in the Department of Food Science and Human Nutrition. Clark is a member of the board of directors of The Hain Celestial Group, Inc. and Omega Protein Corporation. She has previously served as a director of several other public and private companies, and currently is member of the board of trustees of W.K. Kellogg Foundation.

Theodore Craver

Mr. Theodore F. Craver, Jr., has been appointed Independent Director of the Company. Craver is the retired chairman, president, and CEO of Edison International, an electric utility holding company located in Rosemead, Calif. He served as chairman, president and CEO of Edison from 2008 to 2016 and as chairman, president and CEO of Edison Mission Energy, a subsidiary of Edison, from 2005 to 2008. He joined Edison in 1996 and held other senior management positions, including executive vice president, chief financial officer, and treasurer. Before joining Edison, Craver served as executive vice president and corporate treasurer of First Interstate Bancorp, a Wells Fargo predecessor company, and executive vice president and chief financial officer of First Interstate’s wholesale banking subsidiary. Craver is a member of the board of directors of Duke Energy Corporation, where he chairs the audit committee. He also serves on the Federal Reserve Bank of San Francisco’s Economic Advisory Council.

Donald James

Mr. Donald M. James serves as Independent Director of Wells Fargo & Company. Mr. James served as Chairman and a director from 1997 until December 2015 and Chief Executive Officer from 1997 until July 2014 of Vulcan Materials Company, Birmingham, Alabama (construction materials). He was formerly a director of Vulcan Materials Company.

Maria Morris

Ms. Maria R. Morris is Independent Director of the Company. Morris is the retired executive vice president and head of the Global Employee Benefits business of MetLife, Inc., a global provider of life insurance, annuities, employee benefits and asset management services. She served as executive vice president and head of the Global Employee Benefits business from 2011 and former interim head of the U.S. Business from 2016 until July 2017, with responsibility for MetLife’s employee benefits business in more than 40 countries, including its relationships with multinational companies and distribution relationships with financial institutions. Morris served in multiple other leadership roles after joining MetLife in 1984, including as interim chief marketing officer from April 2014 to January 2015 and as head of Global Technology and Operations from 2008 until 2011 where she oversaw the successful integration of MetLife’s $16.4 billion acquisition of American Life Insurance Company. She is a member of the board of directors of S&P Global Inc.

Karen Peetz

Ms. Karen B. Peetz is an Independent Director of the Company. Ms. Peetz served as President of The Bank of New York Mellon Corporation, New York, New York (global financial services company) from January 2013 until her retirement in December 2016. She served as chief executive officer of BNY Mellon’s financial markets and treasury services group and vice chair from 2007 until December 2012. Ms. Peetz served in leadership positions at JPMorgan Chase & Co. and its predecessor companies prior to joining BNY Mellon in 1998. She was formerly a director of SunCoke Energy, Inc.

Juan Pujadas

Mr. Juan Pujadas is appointed as Independent Director of the company effective September 1, 2017. He is a retired principal of PwC LLP and served as the Vice Chairman, Global Advisory Services of PwC International from 2008 to 2016. Previously, Pujadas led PwC's U.S. firm's Advisory Practice from 2003 to 2009 and held several other senior management positions at PwC, including Managing Partner for Strategy and leader of the Global Risk Management Solutions ("GRMS") practice for the Americas, the Financial Services GRMS practice, and the global Financial Risk Management Group. Before joining PwC, Pujadas served as the Chief Risk Officer of Santander Investment, the international investment banking arm of the Santander Group, from 1995 to 1998. He was a member of the executive committee of Santander Investment and the management committee of the commercial banking division of Banco Santander. Before joining Santander, Pujadas was a principal in the Capital Markets and Treasury Group of PwC's U.S. firm's financial services industry practice, specializing in the development and application of financial and information technology to balance sheet risk management and capital markets and treasury activities.

James Quigley

Dr. James H. Quigley is an Independent Director of Wells Fargo & Company. Mr. Quigley served as senior partner of Deloitte LLP, New York, New York (audit, financial advisory, risk management, tax, and consulting) from June 2011 until his retirement in June 2012, when he was named CEO Emeritus. Prior to his retirement, he served as CEO of Deloitte Touche Tohmatsu Limited (DTTL, the Deloitte global network) from June 2007 to June 2011, and as CEO of Deloitte LLP, the U.S. member firm of DTTL, from 2003 until 2007.

Ronald Sargent

Mr. Ronald L. Sargent is an Independent Director of the Company. Mr. Sargent served as Chairman from March 2005 until January 2017 and Chief Executive Officer from February 2002 until June 2016 of Staples, Inc., Framingham, Massachusetts (business products retailer). He was formerly a director of Staples, Inc. and The Home Depot, Inc.

Suzanne Vautrinot

Maj. Gen. (Retd.) Suzanne M. Vautrinot is an Independent Director of Wells Fargo & Company. Ms. Vautrinot has served as President of Kilovolt Consulting Inc., San Antonio, Texas (a cyber security strategy and technology consulting firm) since October 2013. Ms. Vautrinot retired from the United States Air Force in October 2013 after 31 years of service. During her distinguished career with the United States Air Force, she served in a number of leadership positions including as Major General and Commander, 24th Air Force, Air Forces Cyber and Air Force Network Operations from April 2011 to October 2013, Special Assistant to the Vice Chief of Staff of the United States Air Force in Washington, D.C. from December 2010 to April 2011, Director of Plans and Policy, U.S. Cyber Command from May 2010 to December 2010 and Deputy Commander, Network Warfare, U.S. Strategic Command from June 2008 to December 2010, and Commander, Air Force Recruiting Service from July 2006 to June 2008. She has been awarded numerous medals and commendations, including the Defense Superior Service Medal and Distinguished Service Medal.
