Frans Cremers

Dr. Frans J. G .M. Cremers Ph.D. serves as Independent Chairman of the Supervisory Board of the Company. Position: Former CFO and member of the Executive Board of VNU N.V. Supervisory directorships and other positions: •Member of the Board of Directors of Stichting Preferente Aandelen Philips, Stichting Preferente Aandelen Heijmans, and Stichting Preferente Aandelen B KPN; and •Investigator appointed by the Enterprise Section of the Amsterdam Court of Appeal in relation to the policy and course of events in the matter of SNS Reaal N.V. and SNS Bank N.V.

Nancy McKinstry

Ms. Nancy McKinstry serves as Chief Executive Officer and Chairman of the Executive Board of the Company.V. since September 1, 2003. Before assuming her present position in 2003, Ms. McKinstry gained more than a decade of experience at Wolters Kluwer and its operating companies in North America. She previously served as CEO of Wolters Kluwer’s operations in North America. She also was President and CEO of Legal Information Services, currently part of Wolters Kluwer’s Governance, Risk & Compliance division. Earlier, Ms. McKinstry held product management positions with CCH INCORPORATED, part of Wolters Kluwer’s Tax & Accounting division since 1995. Early in her career, she held management positions with Booz & Company (formerly Booz Allen Hamilton), an international management-consulting firm, where she focused on assignments in the media and technology industries. Ms. McKinstry earned her MBA in Finance and Marketing from Columbia University, New York, where she graduated Beta Gamma Sigma and a Bachelor of Arts degree in Economics from the University of Rhode Island, Kingston, where she graduated Phi Beta Kappa. In May 2005, she was awarded the honorary degree of Doctor of Laws by the University of Rhode Island in recognition of her contributions to business. As CEO and Chairman of the Executive Board, Ms. McKinstry is responsible for division performance, Global Strategy, Business Development, Technology, Global Business Services, Communications, Human Resources, Corporate Governance, and Sustainability.

Kevin Entricken

Mr. Kevin B. Entricken CPA serves as Chief Financial Officer and Member of the Executive Board of the Company.V. since April 24, 2013. In his current role, he is responsible for the corporate areas of Accounting, Business Analysis & Control, Internal Audit and Internal Controls, Investor Relations, Mergers & Acquisitions, Legal, Real Estate, Risk Management, Taxation, and Treasury. Mr. Entricken joined Wolters Kluwer in 2003. He has been CFO of Wolters Kluwer Health for three years, during which time he played a major role in transforming the Health portfolio. Prior to this role, he served as Vice President, Investor Relations, and as CFO of the business unit Law & Business at Wolters Kluwer. Before joining Wolters Kluwer, Mr. Entricken held senior finance positions in the operating units of information and media companies, including Reed Elsevier and EMI Music. He began his career and worked for several years at KPMG. Kevin Entricken is a member of the Board of Trustees of Becket-Chimney Corners YMCA and Berkshire Outdoor Center. in his professional career he also was appointed Member of the American Institute of Certified Public Accountants and the CNBC Global CFO Council. Mr. Entricken graduated in 1987 from Montclair State University, New Jersey and was qualified as a Certified Public Accountant.

Ms. Karen Abramson serves as Chief Executive Officer - Tax & Accounting of the Company. Dennis Cahill

Mr. Dennis M. Cahill serves as Chief Technology Officer - Digital eXperience Group of the Company.V. since October 2010. In this position, Mr. Cahill leads the Online Services Organization within GPO to support Wolters Kluwer’s business units with the design and implementation of online services that are delivered through the company’s content delivery and publishing platform Global Atlas, Portal Technologies (Vesta), and Mobile Platforms (iOS, Android, RIM). Prior to joining Wolters Kluwer, Mr. Cahill was Senior Vice President of Technology and Chief Product Officer Enterprise Media Group at Dow Jones & Company, a global provider of news and business information and a developer of technology to deliver content to consumers and organizations across multiple platforms, where he led the launch and commercialization of Factiva as a joint venture between Dow Jones and Reuters. He released Factiva versions across Europe, Asia Pacific, and North America. Mr. Cahill is a business and technology visionary with an outstanding track record of increasing market share and bottom line profits. He has strong accomplishments in customer-centric product development, agile product and technology development, P&L leadership, and change management. Mr. Cahill holds a Bachelor of Science in Electrical and Computer Engineering from State University of New York in the United States.

Ms. Stacey Caywood has been appointed as Chief Executive Officer - Health of the Company effective 6/1/2020. Ms. Caywood led the transformation of this multi-national business into a growing and innovative provider of digital legal and regulatory solutions by accelerating digital product development, investing in transformative new technologies, and by creating a culture of innovation and customer collaboration. She simultaneously led the division's strategic expansion into the environmental, health & safety and operational risk (EHS/ORM) adjacency through selected acquisitions, expanding into an attractive and high-growth global software market.

Mr. Sonderegger has more than 25 years of experience in the tax and legal software and services industries. He received his M.B.A. from George Washington University and holds both a B.S. and M.S. in Electrical Engineering from Columbia University.

Ken Crutchfield

Mr. Ken Crutchfield serves as Vice President - LRUS Legal Markets General Manager of the Company. Crutchfield brings three decades of experience to his new role. Prior to joining Wolters Kluwer Legal & Regulatory U.S., he was the Senior Vice President & General Manager for the Bloomberg Tax Technology division of Bloomberg BNA. Crutchfield also served in executive-level positions at organizations including Thomson Reuters and LexisNexis. Throughout his career, he has successfully led the growth of multiple businesses in varying industries, including tax & accounting and legal. Crutchfield earned an MBA from Wright State University and holds a B.S. degree in Electrical Engineering from The Ohio State University.

Maryjo Charbonnier

Ms. Maryjo T. Charbonnier serves as Chief Human Resources Officer of the Company.Prior to her appointment at Wolters Kluwer, Ms. Charbonnier worked at Broadridge, most recently as its Chief Human Resources Officer since 2009. Broadridge, a US-based public company, is the leading provider of investor communications and technology-driven solutions for broker-dealers, banks, mutual funds and corporate issuers globally. The company employs 6,500 employees worldwide and had revenues amounting to $2.6 billion. Prior to that, she held various senior Human Resources roles for over thirteen years at PepsiCo Inc. in the US, Mexico and Canada. Maryjo has extensive global HR experience, and has managed all areas of the HR function. While at Broadridge, she designed and delivered an HR strategy and processes that have resulted in increasing associate engagement and being a recognized employer of choice in key talent markets, including New York State’s Best Employer list for seven years in a row; recognized by Gallup as one of 25 most engaged organizations in the world; six years on Canada’s Great Place to Work list and one year on India’s Great Place to Work List. Maryjo Charbonnier earned her BA in Washington DC at Catholic University, and her MBA at the Cox School of Business of Southern Methodist University, Dallas, TX.
